I am the business head of a small and medium-sized foreign trade enterprise in Shanghai, mainly engaged in the export of household products. We have been operating commission-free orders for 3 years, and recently won a large annual order from Germany.
The other party explicitly requires that 3% overt commission be listed on the contract and invoice, and deducted directly from the export foreign exchange receipt. I heard from peers that improper handling of overt commissions can easily get stuck in customs valuation, may lead to failure to get export tax refunds, and even trigger inspection by the foreign exchange administration.
The total value of this order is about 280,000 euros, and we will arrange customs declaration next week. I want to figure out how to operate overt commissions in the three links of customs declaration, foreign exchange settlement and tax refund to be compliant, what materials need to be prepared in advance, and whether there is a clear proportion limit.

First of all,pre-document review shall be carried out. Before signing the contract,a standardized overt commission agreement must be formulated separately, clarifying the commission ratio, payment conditions and corresponding order number. The agreement shall be affixed with official seals of both parties and the original copies shall be retained. Before customs declaration,it is necessary to verify that the commission caliber of the invoice, contract and customs declaration form is completely consistent.
The customs declaration link is the core node. The overt commission amount must be filled in separately in the "sundry charges" column of the customs declaration form, and the ratio shall not exceed 5% of the total contract value in principle. If it exceeds 5%,supporting materials for transaction authenticity shall be prepared in advance to avoid triggering valuation warning. The commission amount declared at customs must be completely consistent with the amount listed on the contract and commercial invoice, and no difference is allowed.
In the foreign exchange receipt and settlement link, priority shall be given to directly deducting the overt commission from the foreign exchange receipt of the corresponding order. When making outward payment, submit the commission agreement, customs declaration form and export invoice to the bank, and go through the formal current account payment channel. Private accounts or offshore accounts shall not be used for private transfer. After the payment is completed, the original payment voucher issued by the bank shall be retained as the document for subsequent tax refund inspection.
For abnormal contingency plans,if you encounter customs valuation queries, submit the commission agreement, past transaction records of both parties, and supporting materials of the same industry commission level at the first time, and the review can be completed within 3 working days generally. If you encounter tax letter investigation, ensure that the four streams of contract, customs declaration form, payment voucher and foreign exchange receipt slip are fully matched, and you can pass normally if there is no logical conflict.
Finally, document filing shall be done. All materials related to overt commissions shall be retained together with export documents for at least 10 years, which meets the latest regulatory traceability requirements in 2026 and can be implemented in full compliance.

The latest 2026 customs valuation rules clearly stipulate that if the overt commission for agent export is listed separately in the contract and invoice, and the ratio does not exceed 5% of the cargo value, it can be directly deducted from the dutiable value without submitting additional materials. If the ratio exceeds 5%, the commission agreement, commission collection qualification certificate of the overseas purchaser, and similar transaction records of both parties in the past 12 months shall be uploaded to the additional document column of the single window before customs declaration to avoid valuation pending.
If you have completed customs declaration but failed to declare the overt commission, you cannot directly modify the customs declaration form. You need to submit an application for deleting and re-declaring, and provide a situation explanation to explain the reason for non-declaration, so as to avoid being identified as low-price smuggling.
If the same purchaser has a commission ratio exceeding 8% for 3 consecutive times, it will be included in the key monitoring list, and all subsequent orders will be subject to manual valuation. It is recommended to retain transaction authenticity materials in advance.

For the document connection between overt commission handling and logistics links, note that the consignee information on the bill of lading must be consistent with the commission payee. If the commission is paid to a third-party intermediary, the name of the intermediary shall be listed in the notify party column of the bill of lading, and the order number corresponding to the commission shall be noted in the manifest information to avoid subsequent cargo right disputes.
For FCL export, it is recommended to mark the words "including X% overt commission" separately on the bill of lading, which is consistent with the information on the customs declaration form, so as to avoid the local customs questioning the transaction price during customs clearance at the port of destination and resulting in additional tariff costs. In case of container rolling or port change, the corresponding delivery time in the commission agreement shall be updated synchronously to keep the time logic of all documents consistent, so as to avoid contradictions during subsequent inspection.

For the tax treatment of overt commissions, the latest 2026 cross-border labor VAT policy stipulates that overt commissions paid to overseas non-resident enterprises belong to overseas services, and there is no need to withhold and pay VAT, only 10% withholding income tax is required. If the two countries have signed a tax agreement and the overseas payee meets the beneficial owner status, they can apply for a lower withholding tax rate, which can be reduced to 5% at the minimum.
When paying the commission, outward payment filing shall be done in the tax system. If the single payment exceeds 50,000 US dollars, the filing application shall be submitted 3 working days in advance, and the payment shall be handled at the bank after obtaining the filing form, so as to avoid being judged by the tax authority as failing to perform the withholding obligation and resulting in a fine of 0.5 to 3 times the amount.

The foreign exchange receipt and payment compliance requirement for overt commissions is that the commission payee must be an overseas purchaser or a third-party intermediary listed in the contract, and cannot be paid to a domestic personal account or an overseas account unrelated to the transaction. If the net amount after deducting the overt commission is received when collecting foreign exchange, note "X% overt commission deducted, actual receivable XX euros" in the transaction postscript when declaring foreign exchange receipt, and upload the commission agreement to the foreign exchange monitoring system to avoid being included in the abnormal foreign exchange receipt list.
If a single overt commission payment exceeds 100,000 US dollars, it will be subject to key inspection by the foreign exchange administration, and a transaction authenticity explanation is required. It is recommended to split into different payment batches, with each payment amount not exceeding 80,000 US dollars, to reduce the inspection probability.

For contract clauses related to overt commissions, it must be clear that the payment premise of the commission is that the exporter receives the full payment from the purchaser and there is no quality dispute over the goods, so as to avoid the situation that the commission has to be paid before the goods are received. It shall be clearly specified in the commission agreement that if there is subsequent order cancellation, return, deduction and other situations, the paid commission shall be refunded in full, or deducted from the subsequent commission.
For long-term cooperative purchasers, it is recommended to specify the commission adjustment mechanism in the framework agreement to avoid subsequent disputes due to exchange rate fluctuations or changes in cargo value. Do not use sensitive words such as kickback, rebate in the commission agreement, and uniformly use the standard expressions of "intermediary service fee" or "commission" to avoid being identified as commercial bribery.

If the agent exported goods are selected for on-site inspection by customs due to overt commission declaration issues, first take the initiative to submit the original copies of the overt commission agreement, commercial invoice and order contract to the inspection officer, and explain the calculation method and payee of the overt commission. If the customs officer requires unpacking inspection, accompany the whole process, and do not touch the goods or seals without permission, so as to avoid being identified as illegal operation.
If samples need to be sent for testing after inspection, clearly mark on the inspection submission form that the transaction price of the goods has deducted the corresponding proportion of overt commission, so as to avoid the valuation after testing deviating from the actual transaction price. After receiving the inspection pass notice, retain the original copy and file it together with other customs declaration documents, which can be used as supporting materials in case of subsequent valuation disputes.

The calculation base of overt commission shall be consistent with the quotation terms of the goods. If the transaction is based on FOB terms, the calculation base of overt commission is the FOB price of the goods excluding freight and insurance premium, and packaging costs and inland transportation costs cannot be included in the calculation base of the commission.
If the exported goods are dangerous goods, the cost of UN packaging is part of the cost of the goods, so it shall be clarified whether it is included in the commission calculation base and listed separately in the contract to avoid subsequent disputes with the purchaser. For goods requiring special moisture-proof reinforcement, if the additional packaging cost is borne by the purchaser, it shall not be included in the calculation base of the overt commission, and the amount of packaging cost shall be listed separately in the invoice, distinguished from the cargo value, to avoid valuation disputes during customs declaration.

The impact of overt commission handling on export tax refund mainly depends on whether the overt commission is deducted from the export cargo value. If the overt commission amount has been deducted in the sundry charges column of the customs declaration form, the tax calculation basis for tax refund is the FOB value after deducting the commission, and no additional adjustment is required.
If the commission is not deducted at the time of customs declaration and paid outward after receiving foreign exchange, the adjustment of freight, insurance and commission shall be made when declaring the tax refund, and the current export sales revenue shall be offset. Otherwise, it will lead to over-declaration of tax refund, and the tax authority will recover the refund and impose a fine. The overt commission materials required for tax refund inspection include commission agreement, bank payment voucher, foreign exchange receipt slip and customs declaration form.
The amount, ratio and transaction object of the four must be completely consistent, and there shall be no logical conflict, otherwise the tax refund will be suspended until the inspection is completed. According to the latest 2026 tax refund management requirements, documents related to overt commissions shall be retained together with other tax refund documents for 10 years and shall not be destroyed.

From the perspective of supply chain optimization, the handling of overt commissions can be combined with the selection of trade terms. For long-term cooperative purchasers, it is recommended to adopt FOB terms for transaction, and the overt commission is calculated based on the FOB value, so as to avoid changes in the commission amount due to fluctuations in freight and insurance premium. If the overt commission ratio exceeds 5%, part of the commission can be split into subsequent service orders, such as overseas market promotion fees, customer service fees, etc., to reduce the risk of customs valuation during declaration.
If the annual overt commission payment exceeds 1 million euros, you can consider setting up a special service entity overseas to handle commission payment uniformly, enjoy local tax preferential policies, and reduce the overall tax cost. Note that the payment rhythm of overt commissions shall be consistent with the delivery rhythm of orders, and do not pay in advance or delay for too long, so as to avoid the mismatch between capital flow and cargo flow.
