I am a salesperson at a small foreign trade factory. This year, I just received an EU agency export order worth 1.2 million Euros.

The client designated us to find a professional agency company to operate it. Now I am stuck at the payment collection stage, completely undecided: should we let our factory collect foreign exchange ourselves, or let the agency company collect it on our behalf, or is there another compliant third-party method?

I heard from peers that if the payment recipient and the customs declaration subject are inconsistent, it will trigger a tax refund verification inquiry, or even make us unable to get the tax refund. Our small factory cannot afford this trouble. Can you help me analyze which method is more secure and will not fall into compliance traps?

First,it must be clarified that in the latest regulatory requirements of the Customs and Foreign Exchange Administration in 2026,consistency of the four flows (flow of goods, flow of funds, flow of documents, flow of contracts) is the core red line. The collection subject must remain consistent with the customs declaration operator, otherwise it will trigger an audit warning. In the traditional mode, the factory collecting foreign exchange itself needs to complete the electronic port filing in advance. Although it can retain financial autonomy,it bears the risk of exchange rate fluctuations, and the foreign exchange settlement quota for a small factory is limited.

The agency company collection mode can simplify the filing process, but one must be alert to service fee costs and title to goods risks,as some non-compliant agencies may misappropriate payments. The compliant collection special account service launched in 2026 can avoid both types of risks: the agency company opens a dedicated regulatory account, only responsible for collection and transfer, funds do not enter its operating account, and the whole process is traceable.

From the perspective of cost hedging,if cross-border RMB settlement is chosen, one can enjoy the cross-border RMB settlement facilitation quota launched by the State Administration of Foreign Exchange in 2026,without verification and with lower exchange losses. Selection should be based on order size: single orders over 500,000 Euros can use the compliant collection special account, while small orders can directly use the factory's RMB settlement account, while locking the exchange rate through forward foreign exchange settlement to reduce costs.

Finally, note that regardless of the method chosen, the rights and responsibilities of collection must be clarified in the agency agreement, and complete trade background materials must be retained to avoid subsequent verification inquiry risks.

Regarding the consistency of the agency export collection subject and the customs declaration subject, the new 2026 GACC customs clearance integration regulations explicitly require that the foreign exchange collection subject must fully match the operator and the declarant, otherwise it will trigger a document audit warning or even lead to deletion of the declaration and resubmission. If the factory is entrusted to collect foreign exchange itself, the collection subject filing must be completed in advance at the electronic port, uploading the bank account opening permit and the trade contract. The filing validity period is 180 days, and renewal can be completed online.

If using an agency company for collection, the full name and account information of the collection subject must be noted in the remarks column of the customs declaration form, and a "Collection Confirmation Letter" must be signed and uploaded to the customs system. In addition, for cross-port agency export, pay attention to differences in regulatory details at different ports. Shanghai Port currently supports online filing of collection subjects, while Guangzhou Port requires on-site submission of paper materials. You can consult the specific requirements of the port customs in advance.

The collection of payments for agency export is directly bound to the control of title to goods. In the 2026 international ocean bill of lading rules, the consignee of an "order bill of lading" must correspond to the collection subject. If the factory collects foreign exchange itself, the bill of lading consignee must be specified as the factory on the shipping order, and the collection unit information must be marked on the packing list.

If the agency company collects payment, it must be noted during bill of lading endorsement that it is "for collection of payment only", and a "Title Isolation Agreement" must be signed to clarify that the agency company cannot dispose of goods or payments without authorization. In addition, in 2026 some shipping companies launched an "electronic bill of lading payment lock service", which can lock the release of the bill of lading until payment is received via the platform, reducing title risks. Orders over 300,000 Euros can apply for this service, and cooperation qualifications must be confirmed with the shipping company in advance.

From the perspective of cross-border tax architecture, the choice of collection subject directly affects VAT deferral and withholding tax costs. If the factory collects foreign exchange itself, it must complete VAT registration in the EU member state and file returns on time, otherwise late penalties will be incurred. In 2026, the minimum fine for EU VAT declaration was raised to 1,500 Euros.

If collected through an agency company, the agency's cross-border VAT deferral account can be used to defer tax payment until after the goods are sold, reducing capital holding costs. In addition, the 2026 BEPS anti-avoidance new rules require that payment collection between related parties must comply with the arm's length principle. Pricing documents must be prepared in advance to avoid tax authority anti-avoidance investigations, and the collection fee for related transactions must not exceed 1.5% of the collection amount.

In 2026, the State Administration of Foreign Exchange launched the "Cross-border RMB Settlement Facilitation" policy. Agency export businesses can choose to use the CIPS system for RMB collection, without the need for foreign exchange verification, simplifying compliance processes. If choosing foreign currency collection, note that the beneficiary information in the SWIFT message must be consistent with the customs declaration form.

Avoid using offshore accounts for collection, as the SAFE strengthened regulation on foreign exchange receipts and payments for offshore accounts in 2026, requiring complete trade background materials, including contracts, invoices, bills of lading, etc. In addition, when settling exchange, you can choose the "forward foreign exchange settlement" product to lock the exchange rate and reduce exchange loss risks. Enterprises with an annual export scale exceeding 1 million US dollars can apply for higher forward settlement quotas from banks, and the specific quota is determined based on the enterprise's credit rating.

The selection of the collection subject for agency export needs to clarify rights and responsibilities through contract terms. The 2026 "International Trade Law Convention" added a "Third-party Liability for Collection of Payments" clause, which can be referenced to improve the agency agreement.

It is recommended to agree on a "dedicated regulatory account for collection" in the agreement, clarifying that the agency company only bears the obligation of collection and does not bear the ownership risk of the payment. At the same time, a "payment receipt confirmation clause" must be added, requiring the agency company to notify the entrusting party within 3 working days after receiving the payment, and transfer it to the entrusting party's account after deducting service fees.

If the payment is frozen, the force majeure clause in the contract must be activated immediately, and property preservation must be applied to the local court to avoid capital losses. At the same time, all communication records and vouchers related to the payment must be retained for potential subsequent legal disputes.

In the tax refund declaration for agency export, the collection subject is one of the core audit points. The 2026 new export tax refund audit regulations of the State Administration of Taxation require that "proof of matching between collection vouchers and customs declaration forms" must be provided.

If the collection subject is inconsistent with the collection unit on the customs declaration form, a legal collection certificate must be provided, including the agency agreement, collection voucher, bank slip, etc., otherwise the tax refund cannot be completed. If the factory collects foreign exchange itself, the bank slip and collection explanation must be uploaded during the tax refund declaration, clarifying that the collection amount is consistent with the declaration amount.

If the agency company collects payment, the agency agreement and collection voucher must be provided, and the information of the collection subject must be entered into the tax refund declaration system. In addition, pay attention to the flow of funds in the "consistency of the four flows". If the collection amount is is inconsistent with the declaration amount, a discrepancy explanation must be provided to avoid triggering a tax verification inquiry.
