I am in the home furnishing products business. I recently wanted to find an agency company to export to Southeast Asia, but I heard that export agency requires foreign exchange.
My company was just established and hasn't opened a foreign exchange account yet, nor have we dealt with foreign exchange settlement. I am panicking now—if I don't have foreign exchange, does that mean I can't do export agency?
Also, if foreign exchange is mandatory, do I need to open an account myself, or can the agency company handle it? Furthermore, if using the agency's foreign exchange account, are there any risks? For example, delayed arrival of funds, or issues with coordination regarding tax or customs?

In export agency, the enterprise itself **does not need to directly hold a foreign exchange account or possess foreign exchange receipt/payment qualifications**,but must complete compliant foreign exchange settlement through the agent. The core logic can be broken down into four key nodes:
First is pre-document review: The agent needs to confirm the authenticity of the enterprise's exported goods (requiring procurement contracts, sales contracts, packing lists, etc.),while complying with the latest "Guidelines on Foreign Exchange Receipt and Payment for Export Agency" published by the State Administration of Foreign Exchange (SAFE) in 2026—in 2026,the prior requirement of "filing the agency agreement in advance" was cancelled, and it only needs to be submitted simultaneously upon receipt of foreign exchange.
Next is the core settlement node: The agent receives foreign exchange in its own name (requiring customs declaration forms, agency agreements, and foreign exchange receipts). In 2026,CIPS (Cross-Border Interbank Payment System) covered over 90% of banks in Southeast Asia. Settlement can be completed within 3 working days after receipt, transferred to the enterprise's RMB account at the agreed exchange rate,if the enterprise needs to retain foreign exchange,it can also entrust the agent to open an account to be verified, but the enterprise does not need to open an account itself.
Regarding contingency plans: If receipt is delayed (e.g。client payment cycle exceeds 60 days),the agent can apply for "Delayed Receipt Filing" via the SAFE online system, approved within 3 working days,if the difference between the received amount and the declared amount exceeds 5%,a reasonable explanation must be provided (e.g。relevant vouchers for adjustments in freight or insurance premiums) to avoid being listed as "abnormal receipt".
Finally is compliance implementation: The enterprise must ensure the consistency of the four flows (contract, capital, logistics, invoice) to avoid foreign exchange receipt and payment without a real trade background, the agent must retain foreign exchange verification documents for more than 5 years to meet tax inquiry and customs verification requirements. Note that if an enterprise entrusts an agent to receive foreign exchange without a real trade,it will face SAFE penalties and the risk of export tax refund cancellation.

The connection between the customs declaration stage of export agency and foreign exchange lies in the use of the "Foreign Exchange Verification Copy of the Customs Declaration Form". In 2026, Customs achieved real-time online comparison between customs declaration forms and foreign exchange verification data. In export agency, the "Domestic Consignor" on the customs declaration form is the agency company, and the "Production/Sales Unit" is the actual exporting enterprise.
If the agent fails to complete foreign exchange verification, the customs system will automatically mark the declaration form as "Unverified Status", affecting the clearance efficiency of subsequent similar goods; if the actual enterprise provides false documents leading to verification failure, it may also be listed by Customs as a "Credit Abnormal Enterprise", lowering its credit rating. Note that the "Foreign Exchange Verification Number" on the customs declaration form must be consistent with the agent's receipt voucher; a difference exceeding 1% requires re-declaration.

In the logistics stage of export agency, foreign exchange is mainly reflected in the settlement of freight and insurance premiums. If the CIF trade term is used, the agent needs to pay the sea/air freight on behalf of the client (using foreign exchange or RMB), but must provide a genuine freight invoice (e.g., an English copy of the bill of lading or freight bill issued by the shipping company); if the FOB term is used, the freight is borne by the overseas client, and the agent only needs to confirm that the received amount includes the payment for goods.
In 2026, some ports already supported "Synchronous Docking of Logistics Fees and Foreign Exchange Verification", allowing agents to upload freight vouchers directly to the foreign exchange management system via the logistics system, reducing duplicate submissions. Note that failure to truthfully declare freight may lead to discrepancies between the verified foreign exchange amount and the declared amount, affecting verification progress.

The core connection between tax handling and foreign exchange in export agency is the "receipt requirement for export tax refunds". In 2026, the State Taxation Administration stipulated that export agency goods could only apply for tax refunds after receipt of foreign exchange (cancelling the restriction on the pilot scope of "refund first, receipt later"). If the agent fails to complete receipt, the enterprise cannot handle the tax refund; if the received amount is less than 95% of the declared amount, a reasonable explanation must be provided (e.g., bad debts, discounts), otherwise the refund amount is calculated based on the actual received amount.
Additionally, foreign exchange handling fees paid by the agent can be deducted as corporate financial expenses before tax, but bank-issued handling fee vouchers must be provided. Note that if fund flows between the agent and the enterprise do not comply with "consistency of the four flows", the tax authority may deem it as "issuing false invoices", cancelling the refund and imposing a fine.

The core of foreign exchange receipt and payment compliance in export agency is "real trade background" and "fund flow". In 2026, SAFE required that when receiving foreign exchange, the agent must provide "four-in-one" documents: "agency agreement, export contract, customs declaration form, and logistics voucher" to ensure the fund flow is consistent with the trade; if the receipt comes from an offshore account, legal proof of the offshore account must be provided (e.g., account proof issued by the bank in the place of registration) to avoid being identified as "abnormal fund flow".
Additionally, the agent must complete settlement within 10 working days after receipt (unless the enterprise entrusts to retain foreign exchange). The settlement exchange rate is calculated based on the bank's middle rate of the day and must not be adjusted without authorization. Note that if the agent fails to retain foreign exchange documents as required, it will face warnings or fines from SAFE (in 2026, the maximum fine amount reached 1% of the received amount).

Legal risks related to foreign exchange in export agency are mainly reflected in the terms of the agency agreement. The enterprise must clarify in the agency agreement: the agent's receipt obligations (e.g., time of receipt arrival, agreed exchange rate), the timing of fund transfer (e.g., transfer to the enterprise account within 3 working days after receipt), and the bearer of foreign exchange risks (e.g., who bears exchange rate fluctuations).
If the agent fails to transfer funds as agreed, the enterprise can demand compensation based on the agreement; if the agent causes foreign exchange to be frozen due to its own compliance issues, the enterprise must provide proof of trade authenticity in time to avoid capital loss. The 2026 "Guidelines for Foreign Trade Agency Contracts" clarified that the agent is responsible for the authenticity of receipt, and in case of false trade, the enterprise can terminate the agreement and claim compensation.

In export agency tax refund audits, the focus of foreign exchange verification is the "matching of receipt vouchers and customs declaration forms". During the audit, the agent's bank slip (must include receipt date, amount, payer information) is checked for consistency with the "Foreign Exchange Verification Copy" of the customs declaration form; if the receipt date is more than 90 days later than the declaration date, proof of delayed receipt filing must be provided; if the difference between the received amount and the declared amount exceeds 5%, a reasonable explanation and relevant vouchers (e.g., discount agreement, freight bill) must be provided.
Additionally, the audit will check the fund transfer records between the agent and the enterprise to ensure the fund flow is consistent with the trade and avoid "fund return" issues. The 2026 audit system has achieved "automatic comparison of foreign exchange data and tax refund data", and abnormal data will trigger automatic warnings.

The core of foreign exchange planning for export agency is "cost optimization and risk control". If the enterprise has frequent export business, it is suggested to ask the agent to adopt the "centralized receipt" mode (in 2026, SAFE supported agents receiving foreign exchange centrally for multiple enterprises) to reduce handling fees for single receipts; if the export destination is a region with high exchange rate volatility, it is suggested to use "RMB settlement" (CIPS has wide coverage and low exchange rate risk) or agree on an "exchange rate locking clause" with the agent (e.g., settling based on the average exchange rate of the 3 working days before receipt).
Additionally, receipt time can be planned based on the export cycle to avoid delays affecting tax refund progress. Note that centralized receipt requires the agent and the enterprise to sign a separate centralized receipt agreement to clarify the fund ownership of each enterprise.
