I am a factory that exports small home appliances. Recently, I tried exporting to Europe via an agency for the first time. The customer requested that the foreign exchange be transferred to the agency's account, but I am worried whether the agency will misappropriate the money.
In addition, I heard that if the agency collects foreign exchange, will there be problems with subsequent tax refunds? Also, can I ask the customer to transfer foreign exchange directly to my own account? These questions make me very anxious.
After all, this is our first large order, and I am afraid of any mistakes. I want to know who should collect foreign exchange under export agency business in a compliant manner, and what risks need attention?

In export agency business, the selection of foreign exchange receipt entities must strictly comply with the 2026 Guidelines on Foreign Exchange Business under Current Accounts issued by the State Administration of Foreign Exchange (SAFE). There are two types of compliant receipt entities: one is the agency company as the receipt entity, and the other is the principal (factory) receiving foreign exchange directly, but specific conditions must be met.
If the agency is chosen to collect foreign exchange,it must ensure that the agency has valid foreign exchange settlement qualifications, and the signed agency agreement clearly stipulates the receipt responsibility and fund transfer time limit. After receiving the foreign exchange, the agency shall transfer the funds after deducting agency fees to the principal's account within 3 working days, and provide bank slips and receipt vouchers for the principal to handle export tax refunds.
If the principal collects foreign exchange directly,it shall submit supporting documents such as the agency export agreement, customs declaration form, and bill of lading to SAFE,and can receive foreign exchange directly after registration. However,it should be noted that the principal's account must be a foreign exchange settlement account, and the receipt amount must be consistent with the amount on the customs declaration form, otherwise it may trigger a compliance review by SAFE.
In addition, regardless of the method,it is necessary to ensure the alignment of four streams (contract stream, goods stream, capital stream, and invoice stream) to avoid the suspicion of capital backflow or fictitious trade. If the agency misappropriates funds, the principal can pursue legal liability in accordance with the agency agreement, but it is recommended to choose a qualified agency and specify fund security clauses in the agreement.
Regarding the impact on tax refunds,as long as the receipt entity is consistent with the operating entity on the customs declaration form (agency company),or the principal has registered for direct foreign exchange collection, tax refunds can be handled normally. It should be noted that the receipt voucher must correspond to the customs declaration form, otherwise the tax refund review may be rejected.

From the perspective of customs declaration, the foreign exchange receipt entity under export agency must be consistent with the "operating entity" on the customs declaration form. If the agency is the operating entity, the foreign exchange must be transferred to the agency's account; if the principal is the operating entity (i.e., double-head declaration), the principal can collect foreign exchange directly.
It should be noted that when declaring with double heads, the principal must provide the agency agreement and customs filing documents to ensure the consistency between the customs declaration form and the receipt entity. If the receipt entity does not match the operating entity, the customs may determine it as fictitious trade, leading to the customs declaration form being put on hold or returned, which will affect the subsequent tax refund process.

In the logistics link, attention should be paid to the connection between cargo ownership and foreign exchange receipt. If the agency is responsible for logistics, the consignee on the bill of lading is usually the overseas agent designated by the agency, in which case transferring foreign exchange to the agency's account is more conducive to the transfer of cargo ownership. If the principal collects foreign exchange directly, it must ensure the correct endorsement of the bill of lading to avoid the disconnection between cargo ownership and capital flow.
In addition, if the agency delays transferring funds after collecting foreign exchange, it may lead to the principal being unable to pay logistics fees in time, resulting in the risk of port detention or cargo rejection. It is recommended to specify the fund transfer time limit in the agency agreement and require the agency to provide synchronous feedback on logistics progress and fund arrival.

From the tax perspective, the compliance of foreign exchange collection under export agency directly affects export tax refunds. If the agency collects foreign exchange, it must ensure that the agency provides the receipt voucher to the principal in time for the principal to submit when declaring tax refunds. If the principal collects foreign exchange directly, it shall attach the filing certificate of SAFE and the bank slip when declaring tax refunds. It should be noted that the receipt amount must be consistent with the FOB price on the customs declaration form, otherwise the tax authority may require a letter investigation, extending the tax refund cycle. In addition, if there is related party transaction between the agency and the principal, the pricing must be fair to avoid being identified as profit transfer, affecting tax compliance.

The 2026 foreign exchange management policy requires that foreign exchange collection under export agency must be handled through compliant channels. When the agency collects foreign exchange, it must use SWIFT or CIPS systems for cross-border payments and ensure that the message information is consistent with the customs declaration form. When the principal collects foreign exchange directly, it shall file in SAFE's "Enterprise List for Trade Foreign Exchange Receipts and Payments" and declare through the "Monitoring System for Goods Trade Foreign Exchange". It should be noted that personal foreign exchange accounts must not be used to collect trade funds, otherwise it may be listed as an abnormal transaction leading to the account being frozen. In addition, when settling foreign exchange, authentic trade background materials must be provided to avoid being rejected by the bank.

From the legal perspective, the agency agreement must clarify the responsibilities and risks of foreign exchange collection. The agreement should stipulate: after receiving the foreign exchange, the agency shall transfer the funds to the principal's account within X working days; if the agency misappropriates funds, it shall bear liability for breach of contract and compensate for losses.
In addition, if the principal collects foreign exchange directly, the payment path of the customer must be specified in the agreement to avoid the customer mistakenly transferring funds to the agency's account. It is recommended to add force majeure clauses in the agreement to deal with risks brought by foreign exchange control or exchange rate fluctuations. At the same time, all receipts related to foreign exchange must be retained as evidence in case of disputes.

In the export tax refund audit, the receipt voucher is a key review material. If the agency collects foreign exchange, it must provide the bank slip and transfer voucher of the agency; if the principal collects foreign exchange directly, it must provide the bank slip of the principal and the SAFE filing certificate. It should be noted that the receipt time must be within 180 days after the export date of the customs declaration form, otherwise it may not be eligible for tax refunds. In addition, the audit will check whether the four streams are consistent. If it is found that the capital stream does not match the goods stream, the tax refund may be suspended and an investigation initiated. It is recommended that the principal regularly check the collection data with the agency to ensure that the documents are complete and authentic.
