I am engaged in the production of outdoor household goods. I just received three bulk self-operated overseas orders this year. Previously, I only supplied goods to domestic foreign trade companies and have never looked for an agent to handle export by myself.

Recently, I have contacted two export agency service providers, both of which only quoted a rough agency fee rate, and did not clearly explain the rest such as division of rights and responsibilities, tax refund credit time, foreign exchange loss bearing, and settlement nodes. I am afraid that after I agree to cooperate, there will be slow tax refund, arbitrary fee deduction, or even all responsibilities will be shifted to me when problems occur.

Now I cannot figure out what core points should be discussed in export agency negotiation, and which clauses must be written into the contract. I am afraid of falling into traps but do not know how to ask, so I want to know how to negotiate specifically and what core requirements to grasp.

Many small and medium-sized factories negotiating export agency for the first time most easily fall into the misunderstanding of only paying attention to the level of agency fee rate, not implementing rights and responsibilities on paper, even accepting verbal promises of tax refund time limit given by the agent, and not making clear agreements on core clauses. Many small agents in the industry attract customers to cooperate with agency fees far lower than the market price, and later make profits by charging hidden fees such as inspection urgent fee, declaration amendment fee, document production fee, etc. When encountering problems such as tax refund delay, foreign exchange loss fluctuation, customs clearance abnormality, they will shift all responsibilities to the cargo owner. In serious cases, there will be withholding of customs declaration documents, malicious account suspension, and even customs audit and inspection, leading to cargo detention at the port, resulting in tens of thousands or even hundreds of thousands of port detention and container demurrage charges, which will also affect the enterprise's own import and export credit rating and leave hidden dangers for subsequent exports.

To achieve effective risk isolation, three core negotiation directions should be grasped. First, all verbal agreements must be fully specified in the written contract, leaving no ambiguous space. Second, the charging standards and trigger scenarios of all possible additional fees should be clearly agreed to avoid arbitrary price increases. Finally, the responsible parties for emergencies such as foreign exchange loss, tax refund delay and customs clearance abnormality should be clearly divided, and no blurred boundaries should be left.

The exclusive loss mitigation tip is that when negotiating, the jurisdiction clause for dispute resolution should be agreed in advance, and the other party should be required to provide tax refund credit records of the past six months to verify its operation qualification, and do not simply pursue low prices. Give priority to service providers with public charging standards and transparent operation processes,so as to eliminate hidden dangers from the source and protect your legitimate rights and interests.

When negotiating export agency services, you need to clarify the rights and responsibilities in the customs declaration link in advance, especially the responsibilities related to valuation and commodity classification. In the process of export agency, if the commodity information provided by the cargo owner is inaccurate, leading to customs valuation objections and tax supplementation due to classification, the responsibility shall be borne by the cargo owner; if the agent makes false or omitted declaration when submitting the declaration, the responsibility shall be borne by the agent. You need to confirm in advance whether the agent has the qualification for integrated customs clearance operation and whether it can handle abnormal situations such as declaration cancellation and re-submission, declaration pending and account suspension.

During negotiation, you need to require the agent to promise that it will conduct pre-audit on the full set of documents before declaration. If customs declaration abnormality is caused by the agent's operation error, the agent shall bear the corresponding declaration amendment fee, late fee and other losses arising therefrom. If special documents such as certificate of origin and fumigation certificate are involved, the cost and responsibility attribution of document processing shall also be clarified to avoid disputes in the later stage.

In case of port diversion or transshipment, it shall be clarified that the agent shall inform the cargo owner at the first time and can only operate after obtaining the written confirmation of the cargo owner, so as to avoid additional costs caused by the agent's unauthorized port diversion.
