I am a home furnishings manufacturing factory in Zhejiang. I just took a few small batch orders from North America this year and found an agency company to handle the export. Now, the overseas buyer says the transfer process is too troublesome and wants to pay the factory's corporate account directly to skip the intermediate transfer steps.
I am a bit unsure now. I heard from a colleague at a neighboring factory that this operation might affect the export tax refund and could be judged as non-compliant in foreign exchange settlement.
However, the agency company requires the payment to be made to their account, and I am afraid the funds will be held up for a long time, affecting turnover. I want to figure out who the payment should actually go to in this situation, whether paying the factory directly is okay, what the clear risks are, and what the compliant operation method actually is.

The most common misconception in the industry is agreeing to let the overseas buyer pay the domestic supplier directly to simplify the process and skip intermediate transfers. Many factories feel that changing the collection account does not affect the export customs declaration, but in reality, this crosses the red line of compliance supervision.
According to current foreign exchange settlement and export tax refund supervision requirements for 2026,agency export business requires consistency of four flows, meaning the contract flow, goods flow, invoice flow, and capital flow must correspond and match. Paying the supplier directly will cause a mismatch between the capital flow and the agency export entity. Projecting the chain reaction, this will first trigger a letter verification investigation by the tax authorities. At best, the export tax refund process will be suspended,at worst, the business will be deemed non-compliant and no refund will be granted. It will also leave a record of compliance anomalies, affecting the tax refund processing for all subsequent export businesses. If a special foreign exchange settlement check occurs, the agent entity's account may be marked as abnormal. In severe cases, goods may be stranded at the port and unable to clear customs normally, incurring high demurrage charges.
The physical risk isolation measure in conventional agency export scenarios is very clear: payment must be made to the account of the export agent with agency qualifications. After the agent completes the settlement, deducts the agreed agency fees, and transfers the remaining funds to the supplier's corporate account, the entire transaction leaves a trace and fully complies with regulatory matching requirements.
If you encounter a special situation where the overseas buyer insists on paying the factory directly, the corresponding exclusive solution is: communicate with the agent in advance to adjust the agreement, supplement corresponding capital flow explanation materials, and complete the compliance filing for four-flow matching before proceeding. Never collect payment privately without informing the agent to avoid subsequent compliance issues that cannot be remedied.

If the payment is made directly to the supplier, the customs declaration stage will suffer from a mismatch between the foreign exchange settlement entity and the customs declaration entity, leading to inconsistent subject information between export declaration and import country clearance, which easily triggers a review in the export price verification stage. During customs price verification, corresponding payment and collection vouchers will be required.
If they are inconsistent, a large amount of explanatory materials will be required, delaying clearance time. In severe cases, the declared information will be deemed doubtful, the declaration will be suspended for processing, and the declaration will need to be deleted and re-submitted to reorganize the financial information.
This not only incurs additional amendment fees but also causes missed shipping schedules and goods stranded at the port. Even if clearance is successful, an abnormal customs record will remain, increasing the probability of inspection for subsequent goods of the same category. In the long run, this will affect the enterprise's customs clearance credit rating.

A misalignment of capital flow in agency export business can trigger cross-border tax risks. If the supplier directly collects overseas payments, the tax authorities will deem it a self-operated export business rather than an agency export business. If the supplier does not have independent import and export rights, it will be judged as operating illegally and required to pay back the corresponding value-added tax and late fees.
If an agency export tax refund has already been processed, it may be deemed as fraudulently obtaining the export tax refund, requiring the recovery of the refunded tax, and will incur fines, affecting the enterprise's tax credit rating. This capital flow misalignment breaks the original compliant structure, triggers BEPS-related related transaction checks, triggers the withholding tax payment obligation for non-resident enterprises, and increases additional tax costs.

Current cross-border RMB and foreign currency collection and payment require subject matching. The subject of collection and payment in agency export business must be the agent who handles the export customs declaration. If overseas payment enters the supplier's account directly, the foreign exchange management system will mark this payment as abnormal income that has not been verified.
The enterprise will be required to submit a large amount of materials to explain the nature of the business. If it cannot be explained, it will be deemed a violation, fined, and affect the enterprise's foreign exchange quota.
If using CIPS for cross-border RMB payment, abnormal fund records will be synchronized directly to the RMB Cross-border Payment Information Management System. Subsequently, all cross-border RMB businesses of the enterprise will be subject to enhanced scrutiny, the processing cycle will be extended, and cross-border collection and payment business may even be restricted.

The core verification point in the export tax refund stage is the consistency of the capital flow, requiring that the subject of collection must be consistent with the subject of the tax refund application. In agency export business, the tax refund subject is the agent, so the collection subject must also be the agent.
If the payment is made directly to the supplier, it will be directly identified as a mismatch in capital flow during the letter verification stage, and the tax refund will be denied directly. Even if materials are supplemented later, it will take at least 3-6 months of verification cycle, tying up the enterprise's cash flow.
Long-term existence of such illegal collection will lead to being placed on a key tax refund verification list. Every export tax refund will undergo a lengthy letter verification, seriously affecting the enterprise's capital turnover efficiency. In serious cases, the qualification for tax refunds may be cancelled.

If the overseas buyer pays the supplier directly, the terms of the trade contract and agency agreement need to be readjusted to clarify the rights and obligations of all parties. Otherwise, if a payment dispute arises later, without clear contract terms, both the supplier and the agent will face legal risks.
For example, if there are quality issues with the goods, the overseas buyer will demand a refund. At this time, if the funds are in the supplier's account, the agent, as the customs declaration subject, will be sued by the overseas buyer and bear joint liability.
If the ownership of goods and funds is not clarified in the agreement, disputes over the ownership of the payment may arise, triggering unnecessary lawsuits and wasting time and money. Therefore, even if the collection path is adjusted, corresponding legal terms must be supplemented and perfected to clarify the responsibilities of all parties.

From the perspective of the supply chain architecture, the choice of payment collection path affects the cost and efficiency of the entire export chain. Illegal direct collection seems to save the handling fees of intermediate transfer links, but in fact, it increases the cost of subsequent compliance checks and may affect tax refunds. The comprehensive cost is far higher than the cost of compliant operations.
Under the conventional agency export model, collection by the agent allows leveraging the agent's scale advantage to obtain better settlement exchange rates, reducing exchange rate losses. It can also integrate costs of various links in the supply chain to get more favorable customs and logistics prices, thereby reducing the overall export cost while ensuring compliance and not adding extra risks to the factory.

An unclear payment path affects the control of title to goods, especially under FOB terms where the overseas buyer designates the freight forwarder. If the payment is made directly to the supplier, the agent, having not received the payment, will not release the documents to the buyer. This will lead to a dispute over title to goods, causing the bill of lading to fail to circulate normally and the goods to be unable to be picked up upon arrival at the port, incurring high demurrage and detention charges. Ultimately, this cost is often borne by the supplier.
If the buyer abandons the goods, the payment is already in the supplier's account, and the agent does not need to bear responsibility. The supplier can only handle the goods themselves and bear the full loss. If the payment goes through the agent's account, the agent will release the documents after receiving the payment, effectively controlling the risk of title to goods and avoiding unnecessary losses.
