I run a small household goods production and processing factory, mainly providing OEM orders for overseas customers. We have not applied for import and export operation rights, and have been asking peers to help handle shipment before.

Recently, there was a problem with the account of our cooperative peer, foreign exchange collection has been stuck for more than two months, so we have not received our payment for goods. We just received a new order of 200,000 US dollars last month, and now we are worried every day as we are stuck at the foreign exchange collection link.

Now we want to cooperate with a formal export agency company, but we do not know the current policy requirements, and are not sure whether export agency companies have legal foreign exchange collection rights, or whether they will also be inspected by the foreign exchange administration and have funds stuck. We need stable foreign exchange collection and normal export tax rebate processing, and want to clarify the scope of foreign exchange collection authority of compliant agencies, as well as what risks we as the entrusting party need to pay attention to.

The most common misunderstanding in the industry is to bind import and export operation rights with foreign exchange collection rights,or assume that all enterprises engaged in export agency business have foreign exchange collection rights. In fact,2026 foreign exchange regulatory requirements clearly stipulate that only agency enterprises that have completed foreign trade operator filing and completed registration in the Trade Foreign Exchange Receipt and Payment Enterprise Directory with the foreign exchange administration have legal foreign exchange collection qualifications. Agency foreign exchange collection by unqualified institutions is itself a non-compliant operation.

If you choose an unqualified agent,it will trigger a series of chain negative reactions: First, after the foreign exchange administration detects abnormal receipts and payments,it will directly freeze the foreign exchange collection account, the payment for goods of the entrusting party will be stuck and cannot be transferred out,and the payment cannot be recovered for as short as two to three months or as long as more than half a year. Second,it will implicate the entrusting party to trigger tax letter investigation, the export tax rebate process will be directly suspended, and the tax rebate qualification will be cancelled in serious cases. The most serious consequence is being included in the cross-border foreign exchange receipt and payment abnormal list, making all subsequent export businesses unable to be handled normally.

Compliant and filed export agency enterprises have legal foreign exchange collection rights, which is a clear conclusion. The core measure of physical risk isolation is to verify the agent's foreign exchange directory registration certificate in advance, instead of only checking the business license. All foreign exchange collection funds will enter the agent's compliant to-be-verified account, and will be transferred to the entrusting party's account after foreign exchange settlement, which fully meets regulatory requirements.

If you have encountered foreign exchange collection stuck caused by unqualified agents, the exclusive loss stopping tips are as follows: Sort out the full set of materials including the entrustment agency agreement, export goods contract, goods ownership certificate and other documents at the first time, explain the actual trade background to the foreign exchange administration, apply for returning the payment for goods via the original route, replace with a compliant agent to handle foreign exchange collection again, and the whole operation process can be implemented compliantly.

According to the latest 2026 Regulatory Guidelines for Trade Foreign Exchange Receipt and Payment Business, in agency export business, the agent is responsible for handling export foreign exchange collection procedures on the premise that the agent has completed trade foreign exchange receipt and payment directory registration. After collecting foreign exchange, the agent can transfer the RMB obtained after foreign exchange settlement to the entrusting party's account according to the entrustment agreement. This operation is within the scope of compliance and will not be identified as illegal capital flow.

The agent must retain the full set of documents including the entrustment agency agreement, export declaration form, export contract and other documents for future reference, which can be provided at any time when regulatory departments conduct inspection. The entrusting party should also retain corresponding foreign exchange collection transfer vouchers to avoid four-flow mismatch. For cross-border RMB collection, the process of agency foreign exchange collection handled through the CIPS system is consistent with that of foreign currency collection, which also requires the agent to have directory registration qualification, and unqualified institutions cannot handle compliant cross-border RMB collection.

The export tax rebate link requires the foreign exchange collection entity to be consistent with the export entity. Under the agency export mode, the operating unit on the export declaration form is the agent, so foreign exchange must be collected by the agent to meet tax rebate requirements. If the agent has no foreign exchange collection right and cannot complete foreign exchange collection verification, it will lead to export tax rebate failure.

For the entrusting party, it is necessary to confirm the foreign exchange collection qualification of the agent, clarify the time nodes of foreign exchange collection and tax rebate when signing the agreement, and require the agent to provide foreign exchange collection vouchers in time for tax rebate filing. During export tax rebate inspection, the consistency between the foreign exchange collection entity and the export entity will be checked emphatically.

If an unqualified agent collects foreign exchange through a third party, it will be identified as abnormal capital return, which directly triggers tax rebate inspection. In serious cases, it will be determined as tax rebate fraud, requiring administrative punishment, and the additional late fee and fine shall be borne by the entrusting party.

In the agency export declaration form, the operating unit is the agent, and the consignor is the entrusting party. The customs declaration link requires the foreign exchange collection entity to be consistent with the operating unit, so the agent must have foreign exchange collection rights to match the declaration information, otherwise it will lead to mismatch between declaration information and foreign exchange receipt and payment information, trigger the customs clearance system early warning, and in serious cases lead to declaration deletion and re-declaration, affecting the timeliness of goods shipment.

If information mismatch has already occurred, it is necessary to submit the entrustment agency agreement to the customs in time, explain the actual foreign exchange collection arrangement, and handle secondary information change if meeting requirements, so as to avoid affecting goods customs clearance. Long-term information mismatch will lead to the downgrade of enterprise credit rating, affect the customs clearance efficiency of all subsequent export declarations, greatly increase the inspection probability, and raise the overall export operation cost.

In the entrusted export agency agreement, the foreign exchange collection authority of the agent and the time node of capital transfer must be clearly agreed, and the liability for breach of contract should also be agreed: If foreign exchange collection fails or funds are frozen due to the agent's lack of foreign exchange collection qualification, the agent shall bear all losses of the entrusting party, including interest on payment for goods, tax rebate loss, container detention fee at the port, etc. If the agent requires the entrusting party to collect foreign exchange through a third-party personal account, it must be rejected. This operation not only violates foreign exchange regulatory provisions, but also leads to the separation of goods ownership and funds.

Once the agent or the third party runs away with the money, it is very difficult for the entrusting party to recover the payment for goods through legal channels. The agreement should also make it clear that foreign exchange collection funds can only be transferred to the entrusting party's corporate account, and cannot enter any private account, so as to lock risks from the contract level and protect its own rights and interests.

In the agency export foreign exchange collection link, different foreign exchange collection entities will affect the tax difference income of export tax rebate. Compliant agency foreign exchange collection can normally enjoy the tax difference preference of export tax rebate, while unqualified agency foreign exchange collection cannot handle tax rebate, so the entrusting party can only pay value-added tax according to domestic sales, which directly increases the tax cost by about 13%.

For cross-border B2B exports, compliant agency foreign exchange collection can also apply for VAT deferral, helping the entrusting party optimize overseas tax costs and reduce capital occupation. Unqualified foreign exchange collection cannot enjoy any tax preferential policies, and will also trigger cross-border transaction inspection by tax authorities, leading to the rise of the enterprise's overall tax risk, affecting the normal handling of other domestic sales businesses, and even triggering annual tax inspection, implicating all business operations of the enterprise.

For enterprises with long-term export demand, choosing export agencies with legal foreign exchange collection rights can optimize the capital flow efficiency of the entire supply chain and reduce the capital occupation cycle. The foreign exchange settlement time of compliant agency foreign exchange collection is usually no more than three working days, which is much faster than the foreign exchange collection cycle of non-compliant agencies.

It can also help the entrusting party choose the appropriate foreign exchange settlement time point according to exchange rate fluctuations to reduce exchange difference loss. From the perspective of long-term supply chain structure, stable and compliant foreign exchange collection channels can help enterprises lock in the trust of overseas customers, avoid losing orders due to foreign exchange collection problems, and at the same time help enterprises standardize trade processes, gradually accumulate import and export credit, lay a foundation for the subsequent application of their own import and export operation rights, and reduce long-term operation costs.
