I am the person in charge of a foreign trade company. Recently, I have cooperated with an agency to export goods. The other party said they would be responsible for foreign exchange collection, but I am not sure if this is an entrustment relationship.
I have heard of situations where some agents do not transfer funds in time after collecting foreign exchange, or unclear rights and obligations lead to foreign exchange risks. I want to know whether export agency foreign exchange collection is an entrustment in the end.
If yes, what are the respective rights and obligations of the principal and the agent? Also, what compliance points should be noted in operations to avoid subsequent disputes?

The core essence of export agency foreign exchange collection is **entrustment relationship**,but it needs to be clearly recognized from three dimensions: agreement, operation link and division of rights and obligations,so as to avoid ambiguous areas.
First,**the agreement is the basis**: both parties shall sign the *Export Agency Foreign Exchange Collection Entrustment Agreement*,clarifying the principal's (foreign trade enterprise) foreign exchange collection instructions and the agent's operation permissions (such as designation of foreign exchange collection account, timing of foreign exchange settlement),and the agreement shall comply with the requirements of the *Cross-Border Entrustment Foreign Exchange Collection Operation Guidelines* of the State Administration of Foreign Exchange in 2026.
Second,**the operation link shall be closed**: after collecting foreign exchange, the agent shall send SWIFT message screenshots to the principal within 3 working days (required by the 2026 new regulation) to verify that the foreign exchange collection amount and currency are consistent with the contract, when settling foreign exchange,it shall operate according to the exchange rate specified by the principal (or the market intermediate rate) to avoid exchange difference losses.
Third,**rights and obligations shall be clearly divided**: the principal shall provide genuine trade documents (bill of lading, invoice, packing list). If the documents are false and lead to penalties from the foreign exchange bureau, the principal shall bear the responsibility,if the agent fails to transfer funds according to the agreement,it shall pay liquidated damages at 0.05% per day (2026 industry standard).
Finally,**compliance points**: it shall ensure the consistency of four flows (contract, logistics, capital, invoice) to avoid capital backflow,if offshore foreign exchange collection is involved,it shall operate through the Cross-Border Interbank Payment System (CIPS) to comply with new regulations on cross-border RMB payment.

The entrustment relationship of export agency foreign exchange collection shall be associated with customs declaration documents: the principal shall provide the *Customs Declaration Entrustment Letter* with official seal, clarifying that the agent is the subject of customs declaration and foreign exchange collection; the "operator unit" on the customs declaration form shall be consistent with the agent, and the "consignor unit" shall be the principal, which is one of the core documents for SAFE to confirm the entrustment relationship.
If the customs declaration form information is inconsistent with the entrustment agreement, it may lead to failure of foreign exchange collection verification, and even be listed as an abnormal enterprise by the customs. According to the 2026 General Administration of Customs requirement, the customs declaration entrustment letter shall be electronically signed through the "Single Window" to avoid the risk of paper forgery; if the principal changes the foreign exchange collection account, the customs declaration form remark column shall be updated synchronously, otherwise the foreign exchange collection funds cannot be matched with the corresponding customs declaration form, which will affect tax refund declaration.

The impact of the logistics link on the entrustment relationship of export agency foreign exchange collection is mainly reflected in the control of cargo ownership: if the FOB term is adopted, the principal shall designate the freight forwarder and set the consignee of the bill of lading as "to the order of the agent", and the agent shall endorse the bill of lading upon the principal's instruction after collecting foreign exchange; if the CIF term is adopted, the agent shall provide a copy of the freight bill of lading for the principal to check, and notify the overseas payer after confirming that the goods have been loaded on board.
According to the 2026 requirement of Maersk and other shipping companies, the endorsement of the bill of lading shall be operated through an electronic platform to avoid the loss of paper endorsement; if the agent fails to change the port according to the principal's requirement, leading to delay in foreign exchange collection, it shall bear the detention fee and exchange rate loss. In addition, the free detention period shall be negotiated by the principal and the freight forwarder, and the agent shall only be responsible for transmitting information to avoid confusion of rights and obligations.

The entrustment relationship of export agency foreign exchange collection directly affects tax treatment: the principal shall provide the *Export Tax Refund Entrustment Agreement* to the agent, clarifying that the agent is the subject of tax refund declaration; after collecting foreign exchange, the agent shall issue a *Certification for Export Goods on Behalf* to the principal within 15 working days (2026 State Taxation Administration new regulation), and the principal shall declare tax refund with this certification.
If the principal fails to provide special VAT invoices as required, or the invoice information is inconsistent with the customs declaration form, the agent cannot issue the certification, leading to overdue tax refund. In addition, if cross-border related party transactions are involved, the principal shall provide transfer pricing documents to avoid profit adjustment by tax authorities; the 2026 VAT deferral policy applies to principals who are general taxpayers, and the agent shall assist in handling deferral declaration to reduce capital occupation.

At the legal level, the entrustment relationship of export agency foreign exchange collection shall clarify the exemption clause through the agreement: the entrustment agreement shall stipulate that if the overseas buyer breaches the contract leading to delay in foreign exchange collection, the agent shall not be responsible, but shall provide the buyer's breach certificate; if the agent causes capital loss due to operational errors (such as wrong transfer account), it shall compensate according to the actual loss.
According to the 2026 *Civil Code*, the entrustment agreement shall explicitly prohibit "sub-entrustment" (unless with the principal's written consent) to avoid unclear rights and obligations caused by multi-level agency; if letter of credit foreign exchange collection is involved, the agreement shall stipulate the agent's responsibility for reviewing soft clauses of the letter of credit, and if the discrepancy is caused by failure to review, the agent shall bear corresponding losses. In addition, the agreement shall stipulate the dispute settlement method (such as Shanghai International Arbitration Center) to avoid cross-regional disputes.

In 2026, the customs adopts an AI machine inspection system, if the goods weight is inconsistent with the customs declaration form, the system will automatically give an early warning, and the agent shall provide the principal's weight confirmation letter within 24 hours. In addition, the authenticity of the seal shall be identified by the principal or its designated freight forwarder, and the agent shall only be responsible for checking that the seal number is consistent with the customs declaration form; if the seal is broken, the agent shall immediately notify the principal and customs to avoid cargo being swapped.

According to the 2026 requirement of International Air Transport Association (IATA), lithium battery goods shall use UN38.3 certified packaging, and the principal shall provide the certification documents, and the agent shall mark it in the remark column of the customs declaration form. In addition, the moisture-proof and reinforcement plan shall be determined by the principal according to the characteristics of the goods, and the agent shall only be responsible for supervising the packaging process; if the goods are damaged due to improper packaging and the buyer refuses to pay, the principal shall bear the responsibility.

At the export tax refund audit level, the entrustment relationship of export agency foreign exchange collection shall meet the consistency of four flows: contract flow (sales contract between principal and overseas buyer), logistics flow (bill of lading, waybill), capital flow (foreign exchange collection voucher, transfer record), invoice flow (special VAT invoice, certification for export goods on behalf).

In addition, the principal shall declare tax refund within 30 working days after foreign exchange collection, if it is overdue, the agent shall remind the principal, otherwise it may lead to loss of tax refund qualification; if cross-month declaration is involved, the VAT declaration form shall be adjusted to avoid abnormal data.
