I am a small and medium-sized home goods export factory in Dongguan, which just transformed to do self-owned brand going global last year and has not obtained import and export business rights. The booking freight forwarder we originally cooperated with said it could handle the entire export process for me, including customs declaration, foreign exchange settlement and tax refund, with a quote 2% lower than specialized import and export agencies.

But last month I heard from peers that some factories had their export handled by a freight forwarder, eventually failing to get tax refund and being put on customs alert. Now I am very worried and confused whether a freight forwarder can legally act as an export agent, whether there are compliance risks when an unqualified freight forwarder operates, want to clarify the risk points, and what requirements need to be met if I want to use a freight forwarder for export agency, please help me answer clearly.

The core qualification of most ordinary freight forwarders in China is international freight forwarding qualification, which only allows undertaking logistics support services such as booking and trailer. "All freight forwarders can do full-process export agency" is the most common misconception in the industry, more than 70% of freight forwarders without import and export business rights will overstep their scope of business to take on export agency business to earn price differences.

The chain negative impacts of such non-compliant operations are clear: first, the non-compliant declarant qualification will trigger an alert in the customs system, resulting in cargo detention and inspection with additional container stuffing fees and port congestion fees at minimum,or directly determining false declaration and detaining goods at maximum, second, the freight forwarder has no tax refund filing qualification and cannot handle export tax refund in a compliant manner, leading to the enterprise's tax refund qualification being frozen or even having to pay back the tax,finally,non-compliant foreign exchange channels will be included in the monitoring of the foreign exchange administration, causing obstacles in the enterprise's foreign exchange settlement and capital staying abroad leading to exchange rate difference losses.

The core means of physical risk isolation is clear: first, verify whether the freight forwarder holds the import and export business rights certificate, second, confirm whether the freight forwarder has completed export tax refund filing and foreign exchange revenue and payment directory registration, these two qualifications are indispensable.

Exclusive loss prevention tips: If you have already entrusted an unqualified freight forwarder to complete export declaration, contact a compliant qualified agency immediately to assist in handling delete and re-file customs declaration and principal change, and take the initiative to explain the situation to the tax and foreign exchange departments, which can minimize the impact of non-compliance,for future cooperation, require the freight forwarder to clearly divide the responsibilities and rights between logistics services and export agency, and sign two separate contracts to ensure clear responsibilities and rights.

When a freight forwarder acts as an export agency, if it has not registered as a consignor and consignee with customs, it can only declare in the name of the principal or other compliant import and export enterprises, and is not allowed to declare in its own identity as a consignor and consignee. If there is a situation of borrowing qualifications of other enterprises for declaration, it will be determined as a false declarant and included in the key customs regulatory list, and each subsequent shipment will be controlled for inspection.

For the situation of delayed declaration, you need to provide complete proof of cargo ownership, purchase contract and logistics documents, apply to customs for delete and re-file customs declaration, and re-declare with a compliant principal; if the customs clearance has been completed, you need to submit a statement of circumstances to customs, supplement a compliant agency agreement, adjust the declarant information, and eliminate the system alert record.

In the process of a freight forwarder acting as an export agency, if it only undertakes logistics services, the division of responsibilities and rights is clear; if it also undertakes export agency business, it is necessary to clarify the cargo ownership transfer node to avoid disputes due to unclear cargo ownership. In case of overbooking and rejected booking, the freight forwarder as an agent shall bear the responsibility of rebooking; if it cannot rebook due to qualification problems, the resulting container detention fees and rebooking fees shall be borne by the freight forwarder.

However, most small freight forwarders will not clarify this responsibility in the contract, so it is necessary to confirm in advance the responsible party for free detention period and container detention fees, require the freight forwarder to reserve cabin guarantee clauses, and require the freight forwarder to issue cabin guarantees for high-value goods to avoid liquidated damages losses due to delayed sailing caused by rejected booking. When selecting transit solutions, the freight forwarder acting as an export agency must clarify the compliance requirements of the transit port in advance to avoid cargo detention due to compliance problems in the transit country.

If a freight forwarder acting as an export agency involves VAT payment in the destination country, an unqualified freight forwarder usually cannot handle VAT deferral, which will lead to the enterprise advancing large funds and occupying cash flow. If the freight forwarder uses its own qualification to handle export for the enterprise, the tax level requires the four streams to be consistent, that is, goods flow, capital flow, invoice flow and contract flow are completely matched.

The freight forwarder as the nominal exporter needs to issue VAT invoices to itself; if the freight forwarder does not have general taxpayer qualification, it cannot handle tax refund. If it violates regulations to ask other enterprises to issue invoices on its behalf, it will be determined as falsely issuing invoices and trigger a tax audit. For high-profit export goods, it is necessary to clarify the tax qualification of the freight forwarder, confirm whether it can handle cross-border tax structures in a compliant manner, and avoid additional tax costs.

In the foreign exchange settlement link of freight forwarder export agency, if the freight forwarder is not included in the foreign exchange administration's directory, it cannot collect foreign exchange by itself and usually transfers through private accounts or offshore accounts. Such operations do not meet current foreign exchange compliance requirements and will be determined as foreign exchange evasion, resulting in the enterprise's foreign exchange settlement being frozen and funds unable to be credited normally.

For export business settled in RMB, if the freight forwarder does not have CIPS settlement qualification, it cannot directly receive cross-border RMB payments, which will increase exchange loss and settlement costs. Compliant operations require settlement to be handled through compliant directory entities; if the freight forwarder is unqualified, a compliant entity must be designated as the settlement party separately, and complete settlement messages and transaction vouchers must be retained for foreign exchange administration inspection.

Freight forwarder export agency needs to sign an independent agency agreement to clarify core clauses such as agency authority, cargo ownership, tax refund revenue distribution, and liability for breach of contract, to avoid the freight forwarder exceeding authority to dispose of goods or illegally retaining tax refunds.

For L/C collection, it is necessary to verify whether the freight forwarder has L/C document examination capability and clarify the responsible party for soft clause risks; if discrepancy rejection occurs due to the freight forwarder's document examination errors, the freight forwarder shall bear the corresponding losses. For the export of goods related to intellectual property, require the freight forwarder to assist in completing customs intellectual property filing; if infringement leads to cargo detention, clarify the division of responsibilities to avoid the enterprise bearing all losses.

When cargo handled by a freight forwarder acting as an export agency undergoes on-site inspection, most freight forwarders will arrange their own on-site staff to follow up; however, if the freight forwarder does not have corresponding declaration authority, it cannot directly communicate with inspection officers and can only entrust a third-party customs broker to follow up, which is prone to information transmission deviation leading to inspection failure.

When dealing with inspections, require the freight forwarder to provide a seal authenticity verification report in advance, sort out the full set of documents in advance; if container stuffing inspection is needed, confirm in advance the stuffing location and cargo placement requirements to avoid cargo damage due to improper stuffing. If a laboratory test report is issued, require the freight forwarder to follow up the progress and obtain the results in time to complete customs clearance and avoid additional port congestion fees.

When a freight forwarder acts as an export agency for special cargo, it needs to complete packaging compliance review in advance. If the freight forwarder does not have corresponding dangerous goods packaging review capability, it will lead to cargo detention due to non-compliant packaging.

For general cargo, it is necessary to complete MSDS preparation and update in advance; the latest 2026 requirements specify that MSDS must comply with the latest revised version of GHS. If the freight forwarder is not familiar with the requirements, the MSDS will not be recognized and cannot pass customs clearance.

For dangerous goods, it is necessary to verify whether the UN packaging number meets transportation requirements and whether the cushioning material type meets the voyage requirements. If packaging damage and leakage occur during long-distance transportation, it will lead to the entire vessel cargo being detained and huge compensation. Therefore, it is necessary to require the freight forwarder to complete packaging inspection in advance and confirm compliance before loading.

For export tax refund handled by a freight forwarder acting as an export agency, the requirement is four streams consistency, that is, goods flow, capital flow, invoice flow and contract flow must be completely matched. Without tax refund qualification, the freight forwarder cannot meet the four streams consistency requirement, leading to failure in tax refund verification letter and tax refund failure. If the freight forwarder violates regulations to handle capital flow back, it will be determined as tax fraud by the tax authority, requiring repayment of the already refunded tax and adding late fees.

Compliant operations require advance pre-declaration verification, checking the freight forwarder's tax refund filing information before export, and retaining a complete set of document filings including export contract, packing list, bill of lading, copy of customs declaration, and foreign exchange collection voucher. All document information must be completely consistent to avoid abnormalities in verification letters.

The freight forwarder export agency model is more suitable for small-volume, low-value trial order business. If the enterprise operates large-scale export for a long time, this model will increase hidden costs and is not conducive to accumulating its own import and export qualification. For different trade terms, the freight forwarder acting as an export agency needs to match the corresponding structure; under FOB terms, the freight forwarder is usually designated by the buyer.

If it also acts as an export agency, there will be responsibility conflict, requiring advance structure adjustment to clarify the responsibility division corresponding to the trade term. In the long run, the agency model can be optimized according to the enterprise's export scale: for small orders, use the split model of freight forwarder logistics + compliant export agency; for large orders, gradually apply for their own import and export qualification to reduce long-term operational costs.
