I am the owner of a small and micro enterprise that manufactures hardware accessories. Recently, several overseas clients have asked us to help them export the goods they purchased in China on agency basis, but our company currently only has a business license, no import/export rights, and has never provided export agency services before.

I am worried whether this operation is illegal, whether we will be penalized by customs, and I have no idea how to collect foreign exchange or handle tax refunds. If something goes wrong, not only will we not make a profit, but we will also suffer losses. I want to know whether our type of general enterprises can engage in export agency services, what preparations we need to make, and whether there are any risks that require special attention?

General enterprises can engage in export agency services, but they need to meet basic qualification requirements. First, the enterprise must hold a business license with business scope covering "goods import and export" or "agency import and export",if there is no import/export right,it is necessary to first apply to the commerce department for the Registration Form of Foreign Trade Operator, and go through the registration as an import and export consignor/consignee at the customs.

Core operation links require attention: first, document review. When providing export agency services,it is necessary to ensure that documents such as invoices, packing lists, and contracts provided by the principal are genuine and valid and consistent with the actual goods, second, customs declaration link. It is necessary to declare using the import/export qualifications of the agency enterprise, mark the words "export agency" at the same time, and retain the agency agreement for inspection, third, foreign exchange settlement. It is necessary to receive foreign exchange through the agency enterprise's foreign exchange account, then transfer it to the principal according to the agency agreement, and ensure that foreign exchange income and expenditure match the customs declaration amount.

In terms of emergency plans,if customs inspection is encountered, the agency agreement and relevant documents must be provided in time to prove the agency relationship,if documents are inconsistent, immediately communicate and correct with the principal to avoid affecting customs clearance. For final compliance implementation,it is necessary to ensure four-flow alignment (contract flow, goods flow, capital flow, invoice flow),which is the key to avoiding tax risks and customs penalties.

When declaring customs for export agency services, special attention must be paid to the consistency of the declarant. If customs are declared under the name of the agency enterprise, the words "export agency" and the name and unified social credit code of the principal must be noted in the "remark column" of the customs declaration form.

If the principal is an enterprise without import/export rights, the agency enterprise must ensure that the agency agreement clarifies the rights and obligations of both parties, including customs declaration responsibilities, tax and fee bearing, etc. In case of customs valuation disputes, the real contract and payment vouchers between the principal and the overseas buyer must be provided to prove the rationality of the transaction price, avoiding fines or return of goods due to false price declaration.

In the logistics link of export agency services, cargo ownership risks must be controlled. It is recommended to adopt "telex release of bill of lading" or "order bill of lading", and mark the agency enterprise as the carrier or notifying party on the bill of lading to ensure controllability of cargo ownership.

If the principal specifies a logistics provider, an agreement must be signed with the logistics provider to clarify the ownership of cargo, avoiding the release of goods without presentation of original documents. In addition, attention must be paid to the container demurrage and free storage period at the port of destination, confirm the pickup time with the principal in advance, avoiding additional expenses.

The tax treatment of export agency services needs to be divided into two modes: first, the "deemed self-produced" mode. The agency enterprise must meet the conditions of deemed self-produced specified by the tax authority, and can directly handle export tax refunds; second, the "entrusted agency" mode.

The tax refund must be handled by the principal, but the agency enterprise needs to provide an agency certificate. The VAT deferral policy in 2026 applies to some ports, and the agency enterprise can use this policy to reduce capital occupation, but must ensure complete documents to avoid the risk of tax inquiry.

The foreign exchange settlement of export agency services must comply with foreign exchange management regulations. The agency enterprise must register in the list through the foreign exchange monitoring system for goods trade, and complete foreign exchange verification within the specified time after receiving foreign exchange.

If the principal is an overseas enterprise, it must ensure that the source of foreign exchange funds is consistent with the customs declaration content, avoiding being identified as abnormal capital flow. When using cross-border RMB payment via CIPS, the transaction code must be filled in accurately to ensure compliance of fund flow.

For export agency services, a standardized agency agreement must be signed to clarify the rights and obligations of both parties. The agreement must include clauses such as description of goods, quantity, price, payment method, liability for breach of contract, etc., especially to note the ownership of cargo, risk transfer nodes and intellectual property protection clauses.

If letter of credit settlement is involved, the terms of the letter of credit must be carefully reviewed to avoid soft clause traps, such as uncontrollable clauses like "customer inspection certificate", ensuring that the rights and interests of the agency enterprise are not damaged.

For export tax refunds of agency services, complete document filing must be ensured. The agency enterprise must retain documents such as agency agreement, customs declaration form, bill of lading, invoice, etc. for at least 5 years for verification by tax authorities.

If the principal handles tax refunds, the agency enterprise must issue the Certificate of Export Agency Goods in time, and ensure that the certificate information is consistent with the customs declaration form. In case of tax inquiry, relevant documents and business process descriptions must be provided cooperatively to prove the authenticity and compliance of the business.
