I am the business lead of a domestic medical device importer. This year I just took over a batch of import orders from foreign manufacturers. The counterparty claims to be the exclusive domestic agent, but I cannot find their agency qualification in the filing system of the domestic commerce department.

The contract only states "supplier" without clarifying the agency authority. Now I am worried that if the counterparty is not a legal agent, it will affect customs clearance, foreign exchange payment and export tax refund, and even be identified as non-compliance by the customs.

All previous foreign suppliers I cooperated with delivered goods directly, but this time the counterparty requires to go through the procedures via their domestic office. I cannot confirm whether the counterparty counts as an agent, and I need clear qualification identification standards, compliant procedures and corresponding risk prevention and control measures.

First of all,to confirm whether a foreign import counterparty is an agent, the core criterion is to verify whether it has domestic agency qualification filing and authorized agency certificate. The General Administration of Customs of China upgraded the import agency supervision requirements in 2026. Overseas entities without filing are not allowed to carry out domestic import agency business in the name of agent, otherwise it will trigger customs detention risks.

The first step is to verify core documents: first, the issued by the overseas manufacturer, which must clearly specify the agency region, authority and validity period, and be certified by an overseas notarial institution, second, the import agency qualification filing certificate of this overseas entity in the commerce department of China. In 2026,the national integrated customs clearance platform has connected to the filing data, which can be directly inquired online. If the counterparty cannot provide these two documents,it is essentially a direct supplier rather than an agent.

Next, sort out the procedure differences: under the agent mode, the declaring entity on the customs declaration form shall be the domestic agent, and the consignee shall be the actual importer, and foreign exchange payment shall be completed through the agent's account, under the direct supply mode, the overseas manufacturer connects with the customs directly, and the payment shall be made directly to the overseas manufacturer's account. If the procedure of this order is that the counterparty's domestic office pays tax and declares customs on behalf, but cannot provide agency filing,it belongs to illegal affiliated operation, which will be identified as inconsistent goods ownership by the customs and trigger inspection.

If it is confirmed that the counterparty has no agency qualification, adjust the contract terms in time, change "agency supply" to "direct supply",and require the counterparty to provide formal certificate of origin, packing list and invoice to avoid affecting subsequent tax refund. In addition, the 2026 new regulations on cross-border RMB settlement require that foreign exchange payment under the agent mode must be completed through the agent's account, while under the direct supply mode, payment must be made to the overseas manufacturer's account. Confusing identities will lead to exchange difference loss and compliance risks.

Finally, complete risk isolation: keep all communication records and copies of documents,pre-examine qualifications through the integrated customs clearance system in advance,to avoid problems such as port of call demurrage and goods detention. It is also recommended to clearly specify the division of goods ownership and responsibilities of both parties in the contract,to avoid subsequent trade disputes.

For the identification of the agent status of import partners, first of all, refer to the latest customs clearance supervision rules of 2026. If an overseas entity wants to carry out business in the name of agent, it must complete the import agency qualification filing at the domestic commerce department, and complete the filing registration in the customs system.

If the partner cannot provide the domestic filing certificate and only connects with the business in the name of overseas manufacturer, it is essentially direct supply rather than agency.

In the customs clearance link, under the agent mode, the declaring entity on the customs declaration form shall be the domestic agent, and the consignee shall be the actual importer; under the direct supply mode, both the declaring entity and the consignee are the actual importer, and the foreign exchange payment shall be made directly to the overseas supplier. If the declaring entity on the customs declaration form of the current order is filled with the overseas partner but there is no agency filing, it will be identified as untruthful declaration by the customs, facing a fine of 5%-30%, and the goods will be detained meanwhile.

In addition, the "agency customs declaration filing linkage mechanism" implemented in 2026 will automatically compare the agency qualification and customs declaration information. If the qualification does not match, the system will automatically trigger an alert and intercept the declaration in advance.

It is recommended to inquire the agency filing information of the partner through the single window of customs in advance, and check the trade terms in the contract at the same time. If it is FOB overseas port, it is mostly direct supply mode rather than agency.

The agent status of import partners will directly affect the logistics path and goods ownership control. Under the agent mode, the agent shall complete logistics booking, bill of lading endorsement and free storage period application, and the transfer of goods ownership shall be realized through bill of lading endorsement; under the direct supply mode, the goods ownership is transferred directly from the overseas manufacturer to the domestic importer without the intervention of the agent.

The 2026 international logistics supervision requirements for goods ownership are stricter. If the partner claims to be an agent but cannot provide consignor information on the bill of lading that is consistent with the agency filing, the port will identify it as unclear goods ownership, leading to failure to pick up the goods.

In addition, container demurrage and free storage period under the agent mode are usually borne by the agent. If the identities are confused, the responsible party for costs will be unclear, resulting in extra costs.

It is recommended to check the consignor information on the bill of lading. If the consignor is the overseas partner and no agency relationship is marked, it means it is only direct supply.

At the same time, you can require to provide the entrustment agreement of the logistics service provider to confirm whether there is a logistics authorization document from the agent, so as to avoid logistics risks such as container rejection and port change, as the logistics qualification of the agent will also affect the overall transportation stability.

The agent status of import partners will directly affect tax planning and foreign exchange payment compliance. Under the agent mode, the domestic importer shall pay agency service fee to the agent, and the agent shall pay value-added tax and withholding income tax within the territory; under the direct supply mode, the domestic importer only needs to pay the payment for goods to the overseas manufacturer, no agency-related taxes are required.

The implementation of the BEPS Multilateral Convention in 2026 requires that the related party transaction pricing under the agent mode must conform to the arm's length principle. If the proportion of agency service fee is too high, the tax authority will identify it as profit transfer, facing tax adjustment.

In addition, for cross-border foreign exchange payment, the purpose of payment under the agent mode shall be marked as "agency service fee", while under the direct supply mode it shall be marked as "payment for goods". Confusing the purpose will lead to compliance alert from the State Administration of Foreign Exchange.

It is recommended to check the cost details in the contract. If only "payment for goods" is marked and no agency service fee is mentioned, it means it is not the agent mode.

At the same time, you can inquire the domestic tax registration information of the partner through the related party transaction declaration system of the tax department to confirm whether it has the tax payment qualification for agency services.

The agent status of import partners will directly affect cross-border receipt and payment of foreign exchange compliance. Under the agent mode, foreign exchange payment shall be completed through the domestic account of the agent, and the agency agreement shall be provided as the payment voucher; under the direct supply mode, payment shall be made directly to the overseas account of the overseas manufacturer, no agency agreement is required.

The supervision requirements of the CIPS (Cross-border Interbank Payment System) were upgraded in 2026. If the purpose of payment does not match the identity of the partner, it will be intercepted by the system.

For example, marking "agency service fee" but actually paying for goods will be identified as false declaration, facing foreign exchange penalties. In addition, the collection of foreign exchange under the agent mode shall be completed by the agent and then transferred to the domestic importer, the procedure is relatively complicated.

It is recommended to check the purpose marking on the payment voucher, and confirm whether the partner has a domestic foreign exchange account. If the partner requires to pay the goods payment to its domestic office account but cannot provide the agency filing certificate, it belongs to illegal receipt and payment of foreign exchange, which will be included in the concern list by the State Administration of Foreign Exchange.

The agent status of import partners will directly affect the legal effect of the contract and risk division. Under the agent mode, the signing parties of the contract shall be the domestic agent and the domestic importer, and the overseas manufacturer shall issue an agency authorization letter; under the direct supply mode, the signing parties of the contract are the overseas manufacturer and the domestic importer, no agency authorization is required.

The compliance requirements for international trade contracts were upgraded in 2026. If the agency authority is not clearly specified in the contract, once there is a problem of goods quality, the agent may evade responsibilities, leading to the domestic importer unable to claim compensation from the overseas manufacturer.

In addition, the exclusive agency clause under the agent mode shall be filed at the commerce department, otherwise it has no legal effect.

It is recommended to check the signing parties of the contract. If the signing party is the domestic office of the overseas partner and no agency relationship is marked, it belongs to an invalid agency contract.

At the same time, you can require to provide the notarized authorization document issued by the overseas manufacturer to ensure the legal effect of the contract and avoid subsequent trade disputes.

The agent status of import partners will directly affect the result of on-site customs inspection. Under the agent mode, documents such as agency filing certificate and authorization letter shall be provided during customs inspection.

If these documents cannot be provided, it will be identified as inconsistent goods ownership, requiring unpacking and full cargo inspection, increasing inspection cost and time.

The "two randoms, one public" mechanism for on-site customs inspection was upgraded in 2026. If the partner has no agency qualification, and it is found during inspection that the declaring entity on the customs declaration form does not match the actual supplier, it will be identified as untruthful declaration, facing goods detention and penalties.

In addition, the shipping mark of goods under the agent mode shall be marked with the agent's name, while under the direct supply mode it shall be marked with the overseas manufacturer's name.

It is recommended to prepare agency filing certificate and authorization letter in advance, and submit them to the on-site customs officers before inspection.

If it is found that the shipping mark does not match the customs declaration form, contact the freight forwarder to modify the shipping mark in time to avoid goods being detained by the customs. At the same time, you can require the freight forwarder to communicate with the customs inspection department in advance to reduce inspection time and cost.

The agent status of import partners will directly affect the packaging compliance of goods. Under the agent mode, the shipping mark and label on the packaging shall be marked with the agent's name and address; under the direct supply mode, the shipping mark and label on the packaging shall be marked with the overseas manufacturer's name and address.

The customs requirements for import goods packaging marks are stricter in 2026. If the packaging marks do not match the identity of the partner, it will be identified as untruthful declaration, facing a fine.

In addition, the packaging of dangerous goods shall meet the qualification requirements of the agent. If the agent has no dangerous goods transportation qualification, the UN mark on the packaging may not meet the requirements, leading to failure in customs clearance.

It is recommended to check the shipping mark and label information on the packaging to ensure consistency with the identity of the partner. If the goods are dangerous goods, confirm whether the agent has dangerous goods transportation qualification, and provide packaging appraisal report that meets UN standards to avoid unqualified packaging problems.

In addition, you can require the packaging supplier to provide the MSDS document to ensure the packaging meets international transportation requirements.

The agent status of import partners will directly affect export tax refund. Under the agent mode, the domestic importer pays agency service fee to the agent, and the agency service fee cannot enjoy export tax refund; under the direct supply mode, the payment for goods paid by the domestic importer can enjoy import value-added tax deduction, and export tax refund can be applied if the domestic sales meet the refund conditions.

The "four flows consistency" requirements for export tax refund were upgraded in 2026. If the partner is an agent, documents such as agency agreement, payment voucher and customs declaration form shall be provided.

If the documents do not match, the tax authority will identify it as false tax refund, facing penalties. In addition, the tax refund subject under the agent mode shall be the agent rather than the domestic importer.

It is recommended to check the flow direction of tax refund documents. If the payment voucher of the domestic importer is made to the agent rather than the overseas manufacturer, it means it is the agent mode, and the tax refund subject shall be the agent.

At the same time, you can inquire the tax refund qualification of the partner through the tax refund system of the tax department to ensure the compliance of the tax refund procedure.

The agent status of import partners will directly affect the cost and stability of the supply chain. Under the agent mode, the supply chain costs include agency service fee, logistics fee and taxes, the overall cost is 10%-20% higher than that under the direct supply mode; under the direct supply mode, the costs only include payment for goods, logistics fee and taxes, the cost is relatively lower.

The fluctuation of global supply chain intensified in 2026. The supply chain stability under the agent mode depends on the qualification and strength of the agent.

If the agent does not have sufficient logistics and customs declaration capabilities, problems such as container rejection and port change will occur, leading to supply chain interruption. Under the direct supply mode, the supply chain stability depends on the strength of the overseas manufacturer, the controllability is stronger.

It is recommended to select a suitable cooperation mode combined with your own supply chain demand. If you need a stable supply chain and relatively low cost, it is recommended to choose the direct supply mode; if you need the agent to provide local services, it is recommended to choose an agent with legal qualification.

At the same time, you can establish a supply chain cost accurate calculation model to compare the cost difference between the two modes and select the optimal solution.
