I am a domestic small and medium-sized manufacturing factory. Previously, we only did domestic sales. This year, we received two small-batch orders from foreign merchants.
Since we don't have import and export rights, we plan to find an agency company to help with export. Now the foreign merchant says they can transfer the payment directly to our corporate account without going through the agent. I'm not sure whether agency export must require the agent to collect the payment.
We are worried that if we let the agent collect the payment, it will tie up our funds and slow down the payment cycle, but we are also afraid that collecting the money directly by ourselves is non-compliant, which will affect the subsequent export tax refund and even lead to regulatory inspection. Now we are stuck and dare not sign the contract. We just want to figure out the compliance requirements of the two methods and which one is suitable for our situation.

There are two common extreme misunderstandings in the industry: one is that agency export must have the agent collect the payment, and the other is that as long as the export is completed,it doesn't matter who collects the payment. Both perceptions will bring unnecessary losses to the exporter. The first misunderstanding will cause the factory to unnecessarily tie up funds, lengthen the payment cycle, and bear extra exchange rate difference losses, the second will directly trigger compliance risks and leave long-term hidden dangers.
If there is a wrong perception,it will trigger a series of chain negative reactions: failure to declare self-collection that should be compliant will lead to the problem of "four flows inconsistency" in the export tax refund link, directly triggering a tax authority's verification letter. At best, the tax refund process will be suspended,at worst, the refund will be directly denied, and a tax violation record will be left, affecting the handling of all subsequent export businesses of the enterprise. If you force the agent to collect the payment but do not clarify the fund transfer rules in the agreement,it is easy for the agent to delay the transfer or occupy the funds, disrupting the factory's cash flow arrangement.
The core method of risk isolation is to clarify the payment collection entity in advance and adapt the corresponding operation process. Agency export does not mandatory require the agent to collect the payment,as long as compliance requirements are met, both collection modes can be implemented. If the factory has already collected the payment from the foreign merchant in advance,it only needs to clearly stipulate this in the agency agreement and prepare the collection vouchers for the agent to file in advance.
If you have completed the collection but not filed in advance, the core action to stop losses immediately is to sort out the trade contract, collection slip, and proof of goods ownership and deliver them to the agent as soon as possible, cooperate with the agent to complete the compliance filing with the foreign exchange bureau, and supplement the data matching for the tax refund link. As long as the data is true and complete,self-collection can also complete the export tax refund normally without additional violation costs.

According to current cross-border payment and collection management rules, in agency export business, the payment collection entity can be either the agent or the principal. As long as the collection entity corresponds to a real trade background and the data is complete and verifiable, it meets compliance requirements. If the principal collects the payment by itself, the agent needs to note the actual collection entity when declaring export customs, and at the same time provide a copy of the collection slip stamped with the official seal to the agent for retention, which will be used for subsequent regulatory inspection.
If the agent collects the payment, the agent needs to complete the settlement and transfer within the agreed time limit after collection, and settle with the principal at the agreed exchange rate. Regardless of the mode adopted, the deviation between the collected amount and the export declaration amount must be controlled within a reasonable range. If the difference exceeds 5%, the reason must be explained in advance and supporting materials kept to avoid being marked as abnormal payment and collection.

The core requirement for collection in the export tax refund link is that the collection information is consistent with the export document information. Whether it is agent collection or principal self-collection, as long as you can provide real and valid collection vouchers that match the export goods, customs declaration form, and trade contract information, you can apply for tax refund normally.
If the principal collects the payment by itself, when applying for tax refund, the agent needs to issue a certificate of agency export goods and attach the principal's collection slip to prove that the capital flow corresponds to the goods flow. If there is a four flows inconsistency and no advance filing, the tax authority will require the enterprise to supplement materials during verification. If the materials cannot be provided, the tax refund will be directly denied, and the enterprise will be included in the key monitoring list, affecting the efficiency of subsequent tax refund processing.

Different collection modes will affect the enterprise's exchange rate difference cost and tax cost. When choosing agent collection, the agent can get a better exchange rate through bulk settlement, helping the enterprise reduce exchange rate difference losses. At the same time, if the enterprise needs to do cross-border tax planning, agent collection can better sort out the transaction structure and meet the operational requirements of VAT deferment.
If the principal collects the payment by itself, the enterprise can independently choose the settlement time to lock in the desired exchange rate and reduce the risk caused by exchange rate fluctuations. However, if cross-border related transactions are involved, self-collection requires advance pricing filing to avoid triggering tax base erosion-related investigations and increasing additional tax adjustment costs.

Regardless of the collection mode chosen, the collection entity, fund transfer time limit, exchange rate calculation standard, and dispute handling method must be clearly stipulated in the agency export agreement to avoid subsequent disputes. If you choose agent collection, you need to clearly stipulate that the agent shall not withhold or misappropriate the collected funds, and agree on the default compensation standard for delayed transfer to ensure the principal's fund safety.
If you choose principal self-collection, you need to clearly stipulate that the agent has the obligation to cooperate in completing the collection filing and issuing the agency export certificate, and agree on the division of responsibility for losses caused by delayed data filing to avoid mutual buck-passing between the two parties after problems occur, causing irreparable losses to the principal.

In the export customs declaration link, the information of the collection entity must be consistent with the information marked on the customs declaration form. If the principal collects the payment by itself, the actual collection entity information needs to be noted in the foreign exchange collection column of the customs declaration form, and the attribute of agency export should be marked to avoid the customs valuation link questioning the trade background and causing valuation disputes.
If the collection entity information is inconsistent with the customs declaration information, it will cause the customs clearance process to be stuck, or even require the declaration to be deleted and re-submitted, resulting in additional amendment fees. It will also delay the shipping schedule, generate additional costs such as container detention fees and port detention fees, affect the timely delivery of goods to foreign merchants, and damage the enterprise's business credit.

For small and medium-sized manufacturing enterprises, the choice of collection mode needs to be determined based on their own cash flow situation, exchange rate forecast, and order scale. If the order amount is large, the enterprise can bear short-term fund occupation, and the exchange rate is expected to rise, self-collection can be chosen to independently select the settlement time and obtain higher exchange rate difference income.
If the enterprise's cash flow is tight, needs quick payment turnover, and has no clear judgment on the exchange rate trend, agent collection can be chosen. The agent's bulk settlement has a better exchange rate, and the payment transfer speed is fast, which can help the enterprise stabilize cash flow, optimize the cost structure of the entire export supply chain, and adapt to the operational needs of small and medium-sized factories.

The collection mode itself does not directly affect the international logistics process, but if customs clearance delays are caused by inconsistent collection entity information, it will affect logistics booking and shipping schedule arrangements, easily leading to problems such as container rejection and port change, and generating additional logistics costs. If self-collection is chosen, as long as the information is synchronized to the agent in advance and the agent correctly marks the information in the customs declaration link, it will not affect the logistics process.
If agent collection is chosen, attention should be paid to the agreement on goods ownership. Conventional agency export does not transfer goods ownership; as long as the ownership of goods is clearly stipulated in the agency agreement, problems such as bill of lading endorsement transfer and goods ownership disputes will not occur, ensuring the smooth delivery process of goods and no additional logistics risks.

In the on-site inspection link, the customs will check the consistency of the trade background, collection information, and goods information. If the collection entity information is inconsistent with the information marked on the customs declaration form, the customs will question the authenticity of the trade background and require the enterprise to provide materials such as collection vouchers and trade contracts for verification, which will extend the inspection and clearance time.
If the collection entity is filed in advance and the information is marked accurately, only normal cooperation in providing materials is required during on-site inspection, which will not extend the inspection time or generate additional costs such as container unpacking and inspection. Regardless of the collection mode adopted, as long as all information is true and consistent, it can pass the on-site inspection smoothly without affecting the overall clearance efficiency.
