I am from a small and medium-sized manufacturer specializing in home goods in the Pearl River Delta. We have focused on domestic sales for nearly 10 years and received two trial orders from North American customers earlier this year, planning to do exports for the first time.

We do not have our own import/export rights, nor have we hired dedicated foreign trade documentation and customs declaration teams. We intend to find an export agency company to handle the entire process, but we are unsure what requirements we must meet as the principal when working with an export agency; and what qualifications the export agency company itself must have for us to dare to cooperate.

We have heard from peers that they chose non-compliant small agencies, leading to stuck tax rebates and customs inspections. We are very afraid of falling into pitfalls and want to clarify all requirements before starting cooperation.

There are two main common industry misconceptions: one is that a business license alone is sufficient to engage in export agency, the other is that the principal only needs to have goods to entrust without meeting any requirements. Many small agencies have not completed the Record Filing of Foreign Trade Operators and do not have export tax rebate qualifications, yet privately undertake agency business, which is the most common risk source in the current industry.

This non-compliant operation will trigger a chain of negative reactions: at minimum, tax rebate failure with long-term occupation of a large amount of funds,at maximum, the principal being listed in the customs regulatory abnormal directory due to the agency's violations, affecting all subsequent export business of the enterprise, and even facing large fines, which has a huge impact on small and medium-sized factories.

To address risks, the most direct risk isolation measure is to verify three core qualifications of the agency company: Record Filing Form for Foreign Trade Operator,Record Receipt for Import and Export Consignor/Consignee,and Export Tax Rebate Filing Certificate, all three qualifications are indispensable.

For the principal, there are only two core requirements: first, the goods must be legally and compliant in origin, second, being able to issue special VAT invoices for the corresponding goods, while ensuring that foreign exchange collection information is true and verifiable, and maintaining the alignment of the four flows: goods flow, invoice flow, capital flow, and contract flow.

The exclusive loss prevention tip is to require the agency to provide export tax rebate completion records for the past six months before cooperation, and clearly mark in the entrustment contract that losses caused by the agency's violations shall be fully compensated by the agency, locking in risks from the contract level to avoid unnecessary losses.

In export agency business, the export tax rebate link has clear requirements for both the principal and the agency. The agency must do a good job in document filing management to ensure that all export document information is consistent. The principal must ensure that the goods name, quantity, and unit on the issued special VAT invoice fully match the information on the export customs declaration form, with no mismatches.

For the inspection of four flows alignment, the principal must prepare the purchase contract, delivery note, and payment voucher in advance, cooperate with the tax authority's correspondence investigation, and must not have violations such as capital backflow. In 2026, tax authorities will have stricter requirements for the pre-declaration verification link of export tax rebates.

The agency must complete the pre-declaration verification in advance and confirm it is correct before submitting the formal declaration, to avoid affecting the tax rebate progress due to declaration errors. The principal must issue the invoice in a timely manner after the goods are exported, and must not delay the invoice across quarters, otherwise it will affect the efficiency of tax rebate processing.

In the foreign exchange collection and payment link of export agency, the agency company must have compliant cross-border foreign exchange collection and payment qualifications, be able to complete CIPS (Cross-Border Interbank Payment System) RMB cross-border payment or conventional SWIFT (Society for Worldwide Interbank Financial Telecommunication) foreign exchange collection and settlement operations, and must not use personal accounts to transfer foreign exchange funds. The principal must ensure that the information of the foreign exchange collection subject corresponding to the exported goods is true, with no abnormal situations such as third-party payment on behalf.

If a third-party payment on behalf is truly required under special circumstances, relevant supporting materials must be provided for filing in advance to avoid being judged as abnormal foreign exchange settlement. In 2026, foreign exchange supervision will screen abnormal foreign exchange collection and payment more accurately, and any information mismatch will trigger an early warning. The agency must check the foreign exchange collection information in advance to ensure that the foreign exchange collection matches the export value, with no abnormal situations of over-collection or under-collection.

In the customs declaration link of export agency, the agency company must have stable customs declaration authorization channels, be familiar with the declaration rules of different ports, and be able to complete the integrated customs clearance declaration. The principal must provide true and accurate goods information, including goods name, HS code, value, and quantity, and must not falsely report or misreport the value, or modify the commodity code to evade supervision.

If a declaration anomaly occurs that requires deleting and re-declaring, the agency company must organize relevant supporting materials in time to apply to the customs, to avoid goods detention in the port due to long-term pendency. For price review disputes, the agency must prepare supporting materials such as the goods' purchase contract and original manufacturer's invoice in advance, and cooperate with customs price review to ensure smooth customs clearance.

When export agency encounters on-site customs inspection, the agency company must arrange personnel familiar with on-site procedures to follow up, be able to accurately interpret the contents of the inspection notice, and cooperate with customs to complete the container inspection. The principal must provide the agency with the true details of the goods in advance, including the internal placement of the goods, and special goods must be explained in advance to facilitate customs inspection, to avoid inspection failure due to incorrect information.

For seal inspection, the agency must check in advance that the seal number matches the customs declaration information, confirm the authenticity of the seal, and avoid abnormal situations of seal replacement. For goods requiring inspection and appraisal, the agency must follow up the inspection process in a timely manner, obtain the appraisal result as soon as possible, and speed up the customs clearance.

In the tax link of export agency, if it is an export tax rebate model, the agency must have the qualification to handle export tax rebates and be able to complete the tax rebate declaration on time. The principal must ensure that the issued special VAT invoices meet the tax requirements and there is no false invoicing.

For export business with the VAT deferral model, the agency must be familiar with the VAT deferral rules of the destination country, and be able to help with tax difference planning to reduce overall tax costs. In 2026, cross-border tax supervision will be stricter in screening BEPS (Base Erosion and Profit Shifting).

Export agency must ensure that the transaction pricing complies with the arm's length principle, and must not evade tax liabilities through transfer pricing. The principal must retain all transaction-related vouchers to cope with the tax authority's inspection.

In export agency cooperation, the entrustment contract must clarify the rights and obligations of both parties, especially the ownership of the goods. During the export agency process, the ownership of the goods always belongs to the principal, and the agency must not dispose of the goods without permission. It is necessary to guard against hidden clauses in the contract, and must not sign exclusive agreements to restrict the principal's subsequent business.

For export business collected by letter of credit, it is necessary to check the letter of credit terms in advance to eliminate the risk of soft clauses and avoid collection failure. If force majeure factors cause the goods to be unable to be shipped on time, the contract must have a clear backstop clause, clarify the division of responsibilities of both parties, and reduce unnecessary legal disputes. For export goods related to intellectual property rights, it is necessary to complete the customs recordation of intellectual property rights in advance to avoid being detained by customs.
