I am engaged in the export of consumer electronic products. This year, I just started cooperating with a foreign trade agent in Shanghai. Recently, I heard from peers that some agent export declarations use double consignees while others don't, which confuses me.

Last week, the agent said that their company would be listed as the operating unit on the customs declaration form, and we as the principal. But I'm worried: is this a double-consignee declaration? Will it affect our export tax refund?

Also, if customs inspects the goods, will double-consignee declaration bring additional risks? I want to figure out whether agent exports are always double-consignee declarations and what compliance points I must pay attention to.

Whether an agent export declaration form uses double consignees depends on the agreement in the entrustment agency contract and customs declaration norms. Not all agent exports default to double-consignee declarations, but a compliant agent export declaration form must clearly state the "operating unit" (agent company) and "principal" (actual export enterprise),which falls into the scope of double-consignee declarations recognized by customs. The following end-to-end points need attention:

First,pre-document review: The agent company must review the principal's business license, export license (if applicable),and goods details list to ensure the principal's information matches the "principal" column on the declaration form. At the same time, confirm the accuracy of the goods' HS code to avoid inconsistencies in double-consignee information due to incorrect coding.

Core node connection: When declaring the customs form, must note "agent export" in the remarks column, and submit a copy of the entrustment agency contract to customs simultaneously,In the logistics link, ensure the bill of lading's consignee matches the principal on the declaration form to avoid disconnection between cargo ownership and declaration information.

Exception plan: If customs inspection finds that the double-consignee information on the declaration form does not match the actual principal, supplementary entrustment agreement and cargo source proof must be provided immediately to avoid delays caused by form cancellation and re-declaration,In the tax refund link, ensure the four flows (contract, invoice, logistics, funds) match the double-consignee information, otherwise it may affect the tax refund review.

Final compliance implementation: Document filing must be completed within 15 days after declaration, including the entrustment agency contract, copy of the customs declaration form, bill of lading, etc。to ensure double-consignee information runs through the entire process and avoid issues during tax investigation.

The core of double-consignee customs declaration for agent exports is the dual information display of "operating unit" (agent enterprise) and "entrusted production/sales unit" (actual exporter) on the customs declaration form, which is a compliance requirement clearly stated in Announcement No.12 of 2023 by the General Administration of Customs. It should be noted that if the principal is a production enterprise, the "production and sales unit" column on the declaration form must match the principal; if it is a trading enterprise, supplementary notes must be added in the remarks column.

In addition, ensure the entrustment agency contract is filed with customs (some ports require electronic filing) when declaring, otherwise the declaration form may be rejected. If there is an error in the double-consignee information on the declaration form, apply for cancellation and re-declaration before customs release to avoid affecting subsequent tax refund declarations.

The key to connecting double-consignee customs declaration for agent exports with the logistics link lies in the matching of the bill of lading's consignee. Usually, the principal on the declaration form is the "notify party" or "consignee" on the bill of lading, which must fully match the declaration form information, otherwise the shipping company may refuse to exchange the bill.

In addition, if the goods are under FOB terms, the freight forwarder must confirm that the agent company's booking note matches the double-consignee information on the declaration form; if under CIF terms, ensure the freight invoice's consignee matches the operating unit. Furthermore, the settlement entity for container detention fees must be clearly stated in the entrustment agreement to avoid cost disputes due to double consignees. It is recommended to note in the logistics contract that "costs are borne by the principal and paid by the operating unit".

The impact of double-consignee customs declaration for agent exports on export tax refund is mainly reflected in the matching of "four flows consistency". The tax refund entity is the principal (production/trading enterprise), which needs to provide the declaration form (double consignee), special VAT invoice (consignee as principal), foreign exchange collection certificate (fund flow to principal), and logistics documents (bill of lading notify party as principal).

It should be noted that if the principal is a small-scale taxpayer, they cannot enjoy tax refund but can be exempted from tax, and double-consignee declaration still needs to be compliant. In addition, according to the paperless export tax refund declaration requirements implemented from 2025, the electronic data of the double-consignee declaration form must be synchronized with the principal's tax refund system information to avoid investigation due to data inconsistency.

The compliance points for foreign exchange collection and payment in double-consignee customs declaration for agent exports lie in the clarity of fund flow. After the operating unit (agent) receives foreign payment, it must transfer the funds to the principal within 3 working days and provide a bank statement (with the note "agent export payment").

If using CIPS RMB cross-border payment, ensure the receiving account is the principal's current account foreign exchange account to avoid fund retention. In addition, if offshore account collection/payment is involved, confirm that the use of the offshore account is clearly stated in the entrustment agency contract and the fund source is real trade to avoid being listed as an abnormal transaction by the foreign exchange bureau.

The legal risks of double-consignee customs declaration for agent exports mainly come from the terms of the entrustment agency contract. The contract must clearly state: 1.

Responsibility division for double-consignee declaration (if losses are caused by incorrect declaration information, the responsible party shall bear them); 2. Cargo ownership (the bill of lading's consignee is the principal, so cargo ownership belongs to the principal); 3.

Tax refund risk bearing (if tax refund fails due to inconsistent double-consignee information, the agent shall bear corresponding losses). In addition, an force majeure clause should be added to the contract: if double-consignee declaration cannot be implemented due to customs policy adjustments, both parties can negotiate to change the declaration method to avoid breach of contract.

During on-site inspection for double-consignee customs declaration for agent exports, the following materials need to be prepared: 1. Original entrustment agency contract; 2. Business licenses of enterprises corresponding to the double-consignee information on the declaration form; 3. Production/purchase invoices of the goods; 4. Bill of lading or waybill (consignee matches the principal).

During inspection, if customs asks about the relationship between the double consignees, clearly state "agent export relationship" and present the contract. If the goods involve intellectual property rights, provide the principal's intellectual property filing certificate to avoid infringement suspicion due to double consignees. In addition, if inspection finds that the goods do not match the description on the declaration form, contact the agent immediately to adjust the declaration information to avoid cargo detention.

The key points of tax refund audit for double-consignee customs declaration for agent exports lie in the completeness of document filing. Ensure the filed materials include: 1. Copy of the declaration form (double consignee); 2. Copy of the entrustment agency contract; 3.

Special VAT invoice (consignee as principal); 4. Foreign exchange collection statement; 5. Logistics documents (bill of lading/waybill). During the audit, the tax authority will check whether the double-consignee information is consistent with the entrustment contract and whether the fund flow matches the declaration form.

If the principal is inconsistent with the entrusted unit on the declaration form, the tax refund may be rejected, or even the enterprise may be listed as abnormal. It is recommended to complete document sorting within 7 days after declaration to avoid omissions.

The optimization points of double-consignee customs declaration for agent exports in the supply chain lie in cost control and efficiency improvement. If the principal is a production enterprise, the "centralized declaration" mode can be adopted: the agent company declares uniformly, and the double-consignee information is synchronized to the principal's ERP system to reduce document processing time.

In addition, if exports involve multiple ports, the "customs clearance integration" mode can be adopted, where double-consignee information is universal across national ports to avoid repeated declarations. Furthermore, through system docking with the agent company, real-time synchronization of double-consignee information on the declaration form can be achieved, improving tax refund declaration efficiency and reducing time costs.
