I am a manufacturing factory with an annual shipment volume of USD 12 million. I have been mainly engaged in domestic sales before and started to expand cross-border export business only at the end of 2025. Since I have no import and export operating rights and no professional customs declaration team, I plan to find an agency to handle exports for me.
I have heard from peers that some agencies export under their own names, while others use the factory's name. Recently, I have received different proposals from two agencies, and I am not sure which option is correct.
Will choosing the wrong one affect my application for export tax refund or bring compliance risks? I want to figure out which party should be the nominal exporter in different situations, what are the pros and cons of different choices, and which option is suitable for my case?

A common misconception in the industry is that agency exports default to using the agent's name. Many small agencies,in order to control cargo rights, will directly demand to export under their own name without consulting the principal's needs and qualifications.
The chain reactions of choosing the wrong nominal entity include: If the principal has tax refund qualification, exporting under the agent's name will prevent the principal from applying for export tax refund normally. It can only apply for the refund through the agent and then transfer the funds, which not only loses the tax difference but also triggers the tax authorities' capital flow back verification. In severe cases,it may be identified as tax fraud, resulting in the deduction of tax refunds or even administrative penalties, and leaving compliance blemishes, which will affect subsequent export business. If the principal has no import and export qualification, forcing to export under the principal's name will lead to blocked customs clearance, resulting in high port detention charges and even goods seizure.
Principals with import and export qualifications should give priority to exporting under their own name. Under this model, the alignment of four streams (goods flow, capital flow, invoice flow, and customs declaration information) is achieved, and the tax refund is directly handled by the principal, with the highest compliance. Principals without import and export qualifications should export under the agent's name, and sign a clear tax refund agreement in advance to agree on the capital flow direction and isolate compliance risks.
If the wrong nominal entity has already been chosen, you can apply to cancel and re-file the customs declaration before the goods are released, adjust the export entity, avoid larger losses later, and control risks from the source.

Incorrect declaration of the nominal export entity will lead to inconsistency between the information of the domestic consignor column in the customs declaration form and the actual qualification. It will trigger a risk alert in the customs valuation link, and the system will automatically mark the customs declaration form as abnormal, requiring entry into manual review, extending the customs clearance time by 2-3 working days.
If the domestic consignor does not have the export qualification for the corresponding product, the customs will directly reject the declaration, requiring cancel and re-file, and the cancellation record will remain in the enterprise's customs credit file, affecting the enterprise's subsequent customs clearance credit level. After the credit level is downgraded, the inspection probability of each subsequent export business will increase. Before declaration, it is necessary to verify the qualification of the domestic consignor, confirm that its business scope includes the corresponding export products, have valid import and export operation right filing information, and then proceed with the declaration, avoiding declaration errors from the source.

Different nominal export entities will affect the filling of the bill of lading (B/L) issuer, and the ownership of goods will change accordingly. If exporting under the agent's name, the consignor on the B/L will show the agent's name, and the consignor controls the cargo rights. If the principal needs to endorse the B/L to the overseas buyer, it needs the agent's cooperation to complete the endorsement.
Once the agent does not cooperate in a timely manner, it will lead to the buyer being unable to pick up the goods, resulting in container detention charges and over-due free detention period charges. If exporting under the principal's name, the consignor will directly show the principal's name, and the principal can directly control the cargo rights, complete the B/L endorsement by itself, without going through the agent link, reducing the connection risk in the logistics link and avoiding unnecessary additional expenses.

Different nominal export entities will affect cross-border tax filing and planning space. When exporting under the agent's name, if the goods are exported to the EU region, the principal cannot directly apply for VAT deferral under its own name, and the agent needs to bear the VAT payment obligation. The capital occupancy cost will increase accordingly, and additional agency service fees will be generated.
If exporting under the name of a principal with export qualification, the principal can directly apply for VAT deferral with its own EU VAT number, delay the VAT payment time, reduce the capital occupancy cost, and optimize cash flow. For the pricing of cross-border related party transactions, different entities have different declaration requirements. Choosing the wrong nominal entity will lead to transfer pricing adjustment risks and trigger the tax authorities' anti-avoidance investigation.

The nominal export entity directly affects the compliance of foreign exchange receipt and payment. The party under whose name the export is made shall complete the foreign exchange receipt and payment declaration. If exporting under the principal's name, the foreign exchange proceeds will directly enter the principal's account. Only the agent needs to complete the customs declaration operation. The entire foreign exchange receipt and payment process is operated by the principal itself, with clear compliance, and no compliance risks of fund passing through accounts.
If exporting under the agent's name, the foreign exchange proceeds need to first enter the agent's account, and then be transferred to the principal by the agent. The transfer link needs to prepare complete transaction proof materials to prove that the fund nature is payment for goods. Otherwise, the bank will judge it as abnormal capital flow, affecting foreign exchange settlement, and may even suspend the enterprise's cross-border foreign exchange receipt and payment function.

Different nominal export entities correspond to different cargo ownership and legal liabilities. If exporting under the agent's name, once there are quality disputes for the goods or the overseas buyer refuses to pay, the agent, as the nominal entity for customs declaration and transportation, will be held legally responsible by the overseas buyer, and the liability will be transferred to the principal. The dispute handling process will be more complicated.
If exporting under the principal's name, the principal directly bears legal liability as the transaction entity, with clear rights and responsibilities. There is no need to go through the agent's liability transfer link, making dispute handling more efficient. When signing the agency export agreement, it is necessary to clearly stipulate the nominal export entity and the corresponding division of rights and responsibilities, to avoid unclear rights and responsibilities after disputes arise.

Inconsistent nominal export entities will affect the response efficiency of on-site customs inspection. During on-site customs inspection, the nominal entity is required to cooperate in providing relevant supporting materials for the goods. If the nominal entity is the agent, the agent is not familiar with the actual situation of the goods and cannot quickly provide the corresponding product qualification materials.
This will lead to the extension of inspection time, and even if the materials are not provided in time, the customs may identify the goods as suspected of violation, send the goods for inspection and identification, extending the customs clearance time by at least one week or more. If the nominal entity is the principal, the principal is familiar with the goods situation, can quickly provide the corresponding product qualification materials, cooperate with the customs to complete the inspection, shorten the inspection time, and reduce the probability of inspection abnormalities.

Different nominal export entities correspond to different responsible parties for packaging compliance. For dangerous goods export, if exporting under the agent's name, the packaging compliance inspection report needs to show the agent as the declarant. If the declarant shown in the report is the principal, it will be identified as document inconsistency, requiring a new inspection report to be issued, delaying the export time.
If exporting under the principal's name, the declarant on the MSDS (Material Safety Data Sheet) and UN dangerous goods packaging inspection report directly shows the principal's information, with consistent documents, no need to re-issue the report, saving report replacement time and costs. Before declaration, it is necessary to verify the header information of all packaging compliance documents to ensure consistency with the nominal export entity.

The export tax refund link requires the alignment of four streams, that is, the consistency of goods flow, capital flow, invoice flow, and customs declaration information. The nominal export entity must be consistent with the invoice issuing entity and foreign exchange receiving entity to meet the refund requirements.
If the nominal export entity is the agent, the invoice is issued to the agent, and the agent handles the tax refund. The principal needs to issue a domestic sales invoice to the agent, with a complex process and additional tax costs.
If not operated properly, it will cause inconsistency of the four streams, triggering tax verification, and failing to pass the verification will result in no tax refund. If the nominal export entity is the principal, the principal will issue the export invoice itself, receive foreign exchange itself, and achieve the alignment of the four streams, with a smoother tax refund process and lower verification probability.

The selection of nominal export entity needs to match the overall supply chain structure. If the enterprise plans to expand multi-region exports and build an independent foreign trade team in the future, it is recommended to give priority to exporting under its own name, accumulating credit records of export customs clearance and foreign exchange receipt and payment, laying a foundation for subsequent independent exports.
If the enterprise only exports occasionally and has no long-term plan to expand foreign trade, choosing to export under the agent's name does not need to handle import and export operation right filing, saving the cost and time of handling qualifications, and also does not need to configure a professional foreign trade team, reducing operating costs. When converting trade terms, the selection of nominal export entity also needs to be adjusted. Under FOB terms, the buyer appoints the shipping company, and exporting under its own name is more convenient to connect with the shipping company and control cargo rights.
