I run a newly established electronic product manufacturing enterprise founded in 2026. Last month, I entrusted a Shanghai foreign trade agent to export wireless headsets to Germany. It has been 30 days since the customer received the goods.
The agent said they will collect the foreign exchange first and then transfer it to me, but my peers said that in some cases the consignor can collect foreign exchange directly. My concerns are: I am afraid the agent's delayed payment will affect my settlement with suppliers; I am not sure whether I, as a newly established enterprise, can collect foreign exchange directly under the new regulations of the State Administration of Foreign Exchange in 2026; I wonder if a wrong foreign exchange collection entity will affect the tax rebate. Please clarify which party collecting foreign exchange is compliant, and how to avoid capital risks.

First, the new regulations of the State Administration of Foreign Exchange in 2026 are clarified: The foreign exchange collection entity for consignment export **shall be determined in priority according to the agreement in the agency contract**,but two core prerequisites must be met: First, whether the consignor is included in the "Enterprise Directory for Goods Trade Foreign Exchange Receipt and Payment" (enterprises listed in the directory can collect foreign exchange directly, while those not listed need the agent to collect foreign exchange on their behalf). Second, the foreign exchange collection shall be consistent with the customs declaration form, agency contract and invoice, realizing the consistency of four streams.
Pre-document review: The agency contract shall specify the "foreign exchange collection and transfer clause". For consignors listed in the directory,it shall be agreed that the customer remits funds directly to their account, and the agent shall submit the "consignment export certificate" synchronously. For consignors not listed in the directory,it shall be agreed that the agent shall transfer the funds **within T+3 working days** after collecting the foreign exchange (the State Administration of Foreign Exchange requires that the transfer shall not exceed 5 working days),and a copy of the foreign exchange receipt slip shall be attached when transferring.
Core node connection: If the "domestic consignor/consignee" on the customs declaration form is the agent, the agent is the default foreign exchange collection entity. If it is the consignor (the agent needs to issue a consignment declaration certificate),the consignor is the foreign exchange collection entity. In 2026,customs and foreign exchange data are interconnected, and inconsistent entities will trigger an early warning of "abnormal foreign exchange declaration".
Abnormal response plan: If the agent delays the transfer, you can complain to the State Administration of Foreign Exchange with the contract, and prepare evidence such as foreign exchange receipt slips and customs declaration forms. If the customer remits funds to the consignor's account by mistake, you shall make a "consignment export foreign exchange collection declaration" through the foreign exchange monitoring system within 10 working days, and submit the agency contract for explanation.
Compliance implementation: First check whether you are included in the foreign exchange directory (registration can be completed on the official website within 3 working days). The agency contract shall add a "foreign exchange collection liquidated damages clause" (0.05% per day) to ensure capital security.

In the customs declaration process, the foreign exchange collection entity is directly bound to the "domestic consignor/consignee" on the customs declaration form. According to 2026 customs requirements, if the agent is filled in as the relevant party on the customs declaration form for consignment export, the foreign exchange collection entity must be the agent. If the consignor is filled in, a "consignment declaration authorization letter" (with seals of both parties) issued by the agent shall be submitted, and the consignor shall be the foreign exchange collection entity.
If the entity is inconsistent, it will trigger an early warning of "document inconsistency", resulting in the customs declaration form being unable to be cleared and affecting the tax rebate. National port data is shared, and abnormalities at one port will be synchronized to other ports. It is recommended to check the customs declaration information in advance.

In the logistics process, if the consignee on the bill of lading under L/C settlement is instructed by the issuing bank, the foreign exchange collection entity shall be consistent with the beneficiary of the letter of credit. If the beneficiary is the agent, the foreign exchange collection entity is the agent; if the beneficiary is the consignor, the letter of credit shall indicate "consignor receives foreign exchange under consignment".
Under T/T settlement, if the foreign exchange collection entity is the consignor, the copy of the bill of lading shall indicate the "actual shipper" to avoid wrong remittance by the customer. In 2026, some ports require the bill of lading to be uploaded in association with the foreign exchange receipt slip.
Inconsistent entities will lead to failure to exchange the bill of lading for picking up goods, resulting in container detention fees. It is recommended that the logistics party confirm the foreign exchange collection entity synchronously.

In the export tax rebate process, the foreign exchange collection entity shall be consistent with the consignor specified in the "consignment export certificate". According to the new tax regulations in 2026, the agent shall issue the certificate within 15 working days after collecting foreign exchange on behalf of the consignor, and the consignor shall provide the "foreign exchange collection and transfer voucher", otherwise the tax rebate cannot be processed.
If the consignor collects foreign exchange directly, the foreign exchange receipt slip shall match the FOB amount on the customs declaration form (±8% exchange difference is allowed). Inconsistent entities lead to inconsistency of four streams, and the tax rebate qualification will be cancelled if there is no reasonable explanation during the tax correspondence audit.

In terms of foreign exchange compliance, 2026 regulations require the foreign exchange collection entity to declare through the foreign exchange monitoring system within 5 working days (within 3 working days if the agent collects foreign exchange on behalf), indicating the source of foreign exchange, amount and corresponding customs declaration form.
The agent shall use the "goods trade foreign exchange account" (current account is prohibited) to collect foreign exchange on behalf, otherwise it will trigger an account abnormality early warning. For foreign exchange collection from offshore customers, relevant association certificates shall be provided to avoid being identified as abnormal foreign exchange collection.

At the legal level, the agency contract shall specify the foreign exchange collection entity, transfer time and liquidated damages (0.05% per day), otherwise the contract is invalid. If the agent delays the transfer, you can sue for compensation.
If the customer remits funds to the consignor by mistake, the contract shall stipulate that the funds shall be transferred within 10 working days or the entity adjustment shall be applied. The compensation clause for exchange difference loss shall be clearly specified to avoid disputes.

In the export tax rebate audit, the consistency of four streams shall be checked: If the agent collects foreign exchange on behalf, the transfer receipt shall be provided; if the consignor collects foreign exchange directly, the receipt shall match the customs declaration form.
If the foreign exchange is collected more than 120 days after the customs declaration of export, it shall be filed, otherwise the tax rebate will be affected. Inconsistent entities will be identified as false export, and a fine of 1 to 3 times the tax rebate amount will be imposed. It is recommended to check in advance.
