I am a home goods manufacturing factory in the Yangtze River Delta region. I have been focusing on the domestic market before, and this year I just got a three-year long-term supply order from a European customer. I didn't want to set up a separate foreign trade team, so I found a local agency company to do pure export agency.

Last week, the agency said they could handle the tax refund directly for me, charging only a 3% service fee. I heard from peers before that using an agency for tax refund is easy to be inspected by the tax bureau. If it is identified as tax fraud, I have to pay several times the fine.

Now I am completely confused about who the compliant tax refund subject is, and I am afraid of violating policy red lines. I want to ask who should apply for the tax refund in pure agency mode, who the money belongs to, and what compliance requirements must be followed.

First, clarify the requirements of the current 2026 export tax refund management regulations. In pure export agency mode, only the principal is eligible to apply for tax refund. The agent can only provide declaration agency services and shall not withhold tax refund benefits. In the pre-document review process,it is necessary to confirm that the principal has completed the export tax refund (exemption) qualification filing. The signed agency export agreement must clearly state the clause: "The agent only provides customs clearance, logistics, and foreign exchange settlement agency services, and the tax refund rights belong to the principal." The consignor in all export documents and the seller on the VAT invoice must be completely consistent with the principal entity.

At the core node connection stage, the agent must issue the "Certificate of Agent Export Goods" to the principal within 15 working days after completing customs declaration. The principal can submit the tax refund declaration by itself or entrust the agent to do so with the certificate, customs declaration form, input VAT special invoice, and foreign exchange collection certificate. The tax refund funds will be directly transferred to the principal's corporate account and shall not be transferred through the agent's account to avoid the risk of fund withholding or abnormal return.

Regarding the setting of abnormal plans,if the agent declares tax refund in its own name without permission, the principal can submit an objection application to the competent tax bureau with the agency export agreement, recover the tax refund funds, and request the tax bureau to investigate the agent's violation. In the compliance implementation stage, all businesses must ensure the consistency of four flows: goods flow, capital flow, invoice flow, and document flow. Any operations such as "affiliated export, buying orders and matching invoices" are prohibited. The principal must keep the complete set of document filing materials for at least 10 years for tax bureau inspection.

In the pure export agency customs declaration link, the remarks column of the customs declaration form must be marked with "Entrusted by XX (full name of the principal) for export". Otherwise, the "Certificate of Agent Export Goods" cannot be issued normally, which directly affects the subsequent tax refund declaration. If the marking is omitted during customs declaration, a modification application must be submitted within 30 days after export, along with materials such as the agency export agreement and the principal's qualification certificate, to avoid additional costs and time loss caused by subsequent order deletion and re-declaration.

The domestic consignor on the customs declaration form can be filled with the agent entity, but the production and sales unit must fill in the full name of the principal. This is a core verification item for tax bureau inspection. If filled incorrectly, it will directly lead to the rejection of the tax refund application, or even be included in the tax bureau's doubt inspection list, prolonging the tax refund arrival cycle.

The core of pure export agency tax refund inspection is the consistency of four flows. The goods flow must correspond to the complete transportation track from the principal to the overseas buyer. The capital flow must correspond to the overseas buyer's foreign exchange payment to the agent's account, and the agent must transfer it to the principal's corporate account within 3 working days after settlement, with the remark "Transfer of agency export payment".

The invoice flow must correspond to the export invoice issued by the principal and the input VAT special invoice from the upstream supplier. The document flow must include the complete set of materials such as the agency export agreement, customs declaration form, certificate of agent export goods, and foreign exchange collection certificate.

If there is a capital return to the agent's related account, it will directly trigger the tax bureau's letter investigation. In serious cases, it will be identified as tax fraud, requiring tax repayment and a fine of 0.5 to 5 times the amount.

Under the current 2026 policy, if the principal is a small-scale taxpayer, pure export agency can apply the tax exemption without refund policy. If it is re-registered as a general taxpayer, it can normally apply for exemption, offset and refund. The part where the tax refund rate is higher than the collection rate can get additional benefits.

If the principal has multiple overseas business layouts, it can match the tax refund support policies of different regions by reasonably splitting the agency business, but it should be noted that the pricing of related transactions must comply with the arm's length principle to avoid transfer pricing adjustments by the tax bureau and additional tax costs. At the same time, it should be noted that if the principal has unpaid tax records, it will directly affect the approval progress of the tax refund application, and the unpaid tax must be settled in advance before submitting the declaration.

The foreign exchange collection node for pure export agency must be completed within 90 days after the tax refund declaration. If there is an overdue foreign exchange collection, an application for delayed foreign exchange collection must be submitted to the competent foreign exchange bureau in advance, and filed with the competent tax bureau at the same time, otherwise the refunded tax will be recovered. In the settlement link, the principal can choose the designated exchange rate locking plan to reduce the income loss caused by exchange rate fluctuations.

When transferring foreign exchange, the complete set of SWIFT messages or CIPS settlement vouchers must be retained as proof materials for foreign exchange collection and payment compliance. If the overseas buyer refuses to pay the payment, a bad debt record must be submitted to the foreign exchange bureau in time to avoid being identified as abnormal foreign exchange collection and payment, which will affect the subsequent foreign exchange collection and payment quota.

When signing the agency export agreement, the application subject of tax refund, ownership of benefits, and calculation method of agency service fees must be clearly stipulated. It should also stipulate the compensation liability that the agent needs to bear if the tax refund fails due to the agent's mistake, including tax refund loss, late payment fee, fine, etc. At the same time, force majeure clauses should be clearly defined, such as the division of rights and responsibilities between the two parties when the tax refund policy is adjusted due to policy changes, to avoid subsequent contract disputes.

Illegal expressions such as "affiliated export, buying order export" cannot appear in the agreement, otherwise the agreement will be deemed invalid and cannot be used as a legal basis for rights protection. For large orders, the agent can be required to provide a corresponding performance bond to reduce the risk of the agent's breach of contract.

The cost calculation of pure export agency should include agency service fee, customs declaration fee, logistics fee, and time cost of tax refund funds. If you choose to let the agent handle the tax refund, you should note that the service fee ratio should not exceed 10% of the tax refund income, otherwise the profit margin will be greatly compressed. Different agency service plans can be selected according to the order scale.

For annual orders exceeding 5 million US dollars, you can choose per-order charging; for small batches of scattered orders, you can choose annual package service to reduce the average service cost. You can also adjust trade terms, such as changing from FOB to CIF, to include reasonable logistics costs in the tax refund calculation base and increase the total tax refund income.

For pure export agency, the complete set of transportation documents must be retained, including booking note, bill of lading, packing list, weight list, etc. The consignor on the bill of lading can be the agent, but the notify party must correspond to the entity information of the overseas buyer. If there is a port change or container rejection, the logistics document information should be updated in time, and the principal should be informed to update the tax refund filing materials synchronously to avoid doubts in tax refund inspection due to inconsistent documents.

When booking, try to get at least 7 days of free storage period and free container period to avoid additional container detention fees and storage fees, and reduce the overall logistics cost. If the goods are fragile, moisture-proof and reinforcement treatment should be done in advance to avoid cargo damage during transportation affecting subsequent foreign exchange collection and tax refund.

When the goods of pure export agency are inspected by the customs, materials such as the agency export agreement, the principal's qualification certificate, the purchase and sale contract of the goods, and the factory inspection report should be prepared in advance. During inspection, it is necessary to ensure that the name, specification, and quantity of the goods are completely consistent with the declared information on the customs declaration form. If there is a discrepancy between the goods and the certificate, the situation should be explained to the customs in time.

If it is a declaration error, a modification application should be submitted in time to avoid being identified as false declaration or concealment, which will affect the subsequent tax refund declaration. If the goods need to be inspected, the complete set of inspection materials, including inspection application and test report, should be retained as document materials for tax refund filing to avoid the tax refund being recovered due to the inability to provide corresponding proof materials during subsequent tax bureau inspection.
