Reliable sourcing and import agency services.
I have been engaged in domestic FMCG distribution for 5 years, with over 200 cooperating offline stores. Recently, I have my eye on a niche European health food brand and want to secure its exclusive import agency rights for China.
This is my first time negotiating an import brand agency, and I have no prior experience with the negotiation rules of overseas brands. After two online discussions, I am unsatisfied with the agency thresholds, purchase volumes, profit sharing, and rights and obligations division proposed by the other party.
However, I don’t know how to negotiate more favorable terms, fear saying the wrong thing and ruining the deal, and worry that unclear clauses will lead to problems during subsequent implementation. I would like to ask how to negotiate properly to secure suitable agency cooperation?

When negotiating import brand agency, traditional approaches often focus solely on purchase discounts and agency rights, ignoring hidden costs across the entire import chain. Most newcomers default to following trade terms required by the brand without calculating hidden costs in advance, such as VAT,import tariffs, exchange rate fluctuations, and port miscellaneous fees. These hidden costs will eventually eat up 10%-15% of expected profits. Moreover, unclear clauses may allow the brand to shift costs that should be borne by themselves to the agent, resulting in actual profits falling far short of negotiation expectations.
Map Out End-to-End Operational Costs Before Discussing Profit Sharing. Calculate your operational bottom line in advance based on the latest 2026 import tariff rates,RMB cross-border settlement exchange rate differences, and logistics costs at various ports. Then negotiate profit sharing with the brand based on this bottom line to avoid situations where profits cannot cover costs.
Negotiate Dynamic Adjustments to Entry Thresholds. Don’t agree outright to the brand’s required fixed high annual purchase volume. Proactively propose a tiered purchase plan: reduce the initial purchase volume in the first year, and adjust assessment standards based on actual sales performance in subsequent years. This effectively reduces inventory turnover pressure and capital occupation costs.
Finally, clearly specify in the contract the compliance documents the brand needs to provide. Stipulate that the brand is responsible for providing certificates of origin and official documents required for inspection and quarantine to avoid customs detention and unnecessary additional losses due to incomplete documents. Annually recalculate the profit ratio and adjust the profit sharing calculation method based on tariff adjustments and exchange rate fluctuations to ensure long-term stable profits.

During negotiations, clarify the brand’s declaration obligations and require the brand to provide authentic transaction price documents to avoid price disputes during subsequent customs valuation. If deemed as under-declaration or false price declaration, it may lead to document deletion and re-declaration, high port detention fees, and even affect the enterprise’s customs credit rating.
Stipulate in the contract that if the price documents provided by the brand do not meet customs valuation requirements, all additional taxes, port detention fees, and fines shall be borne by the brand. Also, clarify that if integrated customs clearance declaration is involved, the brand must cooperate in providing all supplementary materials to avoid customs clearance delays caused by delayed supplementary materials, which may miss the best sales window for goods entering the market and result in unnecessary sales losses.

During negotiations, clarify the division of rights and obligations corresponding to trade terms. Many overseas brands require the use of EXW or FOB terms, asking the agent to bear all logistics costs and transportation risks. First, calculate the overall cost based on your own logistics resources.
If you have stable ocean freight booking channels and cooperating shipping companies, you can negotiate for FOB terms and arrange the ocean transportation segment on your own, which usually saves about 10% of ocean freight costs. At the same time, stipulate in the contract the responsible party for free storage period and container detention fees.
If container rejection fees are incurred due to delayed stock preparation by the brand, or container detention fees and storage fees are incurred due to document issues causing goods to be detained at the port, all such fees shall be borne by the brand. Also, clarify that the brand must cooperate in endorsing the bill of lading for port changes or resales to ensure normal transfer of cargo ownership.

During negotiations, clarify the responsible party for import taxes and fees. At the same time, you can leverage the latest 2026 VAT deferral policy and negotiate with the brand to complete VAT payment domestically. Applying for VAT deferral can effectively relieve capital occupation pressure and reduce overall capital turnover costs.
If cross-border related transaction pricing is involved, ensure compliance with BEPS requirements in advance to avoid being deemed as base erosion by tax authorities, which may result in additional tax adjustments and fines. Stipulate in the contract the responsible party for withholding tax on non-resident enterprises. If the brand collects agency deposits or authorization fees, clarify the tax declaration subject to avoid the agent bearing unnecessary additional tax costs and compressing their profit margins.

During negotiations, clarify the payment and settlement paths and compliance requirements. Prioritize CIPS RMB cross-border settlement, which can effectively avoid exchange rate fluctuation risks. At the same time, require the brand to cooperate in providing corresponding payment and settlement documents to meet the compliance inspection requirements of foreign exchange authorities.
If the brand requires payment to an offshore account, confirm the account’s compliance in advance to avoid abnormal settlement and account freezing due to regulatory issues. Stipulate in the contract that if SWIFT message errors caused by the brand prevent normal settlement, the resulting exchange rate losses shall be borne by the brand, fundamentally ensuring the compliance and security of your payment and settlement and avoiding unnecessary capital losses.

When negotiating exclusive import agency, clearly define the scope of application of exclusivity clauses. Stipulate that the brand shall not authorize third parties within the agreed region nor sell the agency brand’s products on its own. At the same time, clarify the scope of the brand’s intellectual property authorization, require the brand to provide complete intellectual property certificates, and cooperate in completing intellectual property customs protection filing in advance to avoid situations where counterfeit products flood the domestic market but you cannot protect your rights effectively.
Additionally, include a force majeure clause in the contract, specifying that failure to meet annual purchase volume requirements due to force majeure events such as shipping congestion, port strikes, or policy adjustments shall not be deemed as a breach of contract by the agent, avoiding unnecessary breach of contract compensation and reducing your own risks.

During negotiations, stipulate that the brand must verify the seal information when loading goods into containers at the factory to ensure the seal is authentic and valid, preventing cargo tampering during transportation which may lead to discrepancies between goods and documents during customs inspection. If goods require customs inspection and appraisal, the brand must cooperate in providing corresponding product ingredient descriptions and official test reports to shorten the appraisal process and avoid additional costs caused by long-term port detention of goods.
If the product ingredients labeled by the brand do not match the actual goods, resulting in cargo detention or rejection due to failed inspection, all losses including return shipping fees, tariffs, and port detention fees shall be borne by the brand. Clarify responsibilities in advance to avoid subsequent disputes.

If the imported brand products are food or chemical products, clarify packaging requirements during negotiations. Require the brand to complete packaging labeling in accordance with China’s import regulatory requirements and provide standardized MSDS documents. For products requiring moisture-proof reinforcement, specify packaging material requirements to avoid cargo deterioration or scrapping caused by packaging damage during transportation.
If the products are dangerous goods, require the brand to use UN-compliant dangerous goods packaging and complete dangerous goods classification appraisal in advance to avoid customs clearance failure due to non-compliant packaging, which may result in return or destruction losses. Stipulate in the contract that such losses shall be borne by the brand to isolate risks in advance.

When negotiating import brand agency, you need to combine your own inventory and channel capabilities to plan a reasonable supply chain structure in advance. Don’t blindly accept purchase requirements beyond your capacity just to secure the agency. You can design an inventory linkage strategy based on channel sales rates and require the brand to cooperate in small-batch, multi-shipment deliveries to reduce the risk of inventory overstock.
If the brand proposes uniform CIF terms, after evaluating your own logistics costs, negotiate to switch to FOB terms to optimize overall supply chain costs. You can also adjust purchase volumes based on seasonal sales performance to dynamically optimize the supply chain cost structure, ensure stable cash flow, and avoid operational disruptions caused by tight capital chains.
