I am a procurement manager at a precision machinery manufacturing enterprise. Recently we plan to import a batch of CNC machine tools directly from Germany to reduce costs by cutting out intermediate agents.
However, we have no experience in direct procurement before, and worry that the lack of intermediate invoices from agents will lead to price disputes during customs valuation. We also fear losing control over cargo ownership in the logistics process, and have no idea how to handle VAT and withholding tax in tax procedures.
The delivery schedule is tight at present, and any problem that causes port demurrage will lead to huge troubles. We want to know the specific operation methods to safely bypass agents and complete customs clearance in compliance.

First of all, complete pre-document review. The procurement contract signed directly with overseas manufacturers shall clearly specify the equipment model, technical parameters and trade terms (such as EXW/FOB). Meanwhile, require manufacturers to provide original invoices, packing lists and technical manuals to ensure that document information is consistent with actual goods, and avoid disputes caused by incomplete documents during customs valuation.
In terms of core node connection, logistics shall adopt methods that allow control of cargo ownership, such as using named bill of lading and requiring the freight forwarder to issue a cargo ownership transfer certificate,to avoid loss of cargo ownership in intermediate links. During customs clearance, submit price filing materials including original procurement contracts and historical import price records of similar equipment to customs in advance, voluntarily apply for advance customs valuation ruling to reduce valuation risks.
Prepare abnormal contingency plans: if customs raises price queries, immediately provide the original manufacturer's detailed cost breakdown (such as proportion of raw materials, labor cost and profit) and the price trend of similar equipment in the international market. If port demurrage occurs in logistics, negotiate with the port warehouse in advance to extend the free storage period, and prepare application materials for container detention fee reduction at the same time.
The final compliant implementation shall ensure the consistency between capital flow and goods flow, pay the purchase price directly to overseas manufacturers through CIPS system, and retain payment vouchers for tax inspection. In terms of taxation, enterprises can apply for deferred import VAT payment to reduce capital occupation, and confirm the withholding and remittance obligation of withholding tax for non-resident enterprises to avoid tax violations.

Customs valuation is the key risk point when importing equipment directly by bypassing agents. Attention shall be paid to the authenticity and rationality of original invoices.
If customs considers the declared price to be on the low side, it will initiate the price query procedure. At this time, the enterprise shall provide proof of direct transactions between the original manufacturer and itself, such as email correspondence and order confirmation letters, and prepare the technical patent certificate of the equipment (if any) to explain the price composition.
In addition, under the integrated customs clearance mode, pre-valuation can be conducted at the local customs in advance to shorten port customs clearance time. If a valuation dispute arises, the enterprise can apply for administrative reconsideration, but relevant evidence shall be submitted within the specified time limit.

After bypassing agents, the logistics route shall be optimized to control cargo ownership. It is recommended to choose direct sailing routes to avoid increased cargo ownership loss risks caused by transit links.
The bill of lading shall be made out to order and endorsed to the enterprise itself, and the freight forwarder shall be required to provide arrival notification before goods arrive at the port, so that customs clearance procedures can be handled in a timely manner. In terms of container detention fees, enterprises can sign long-term agreements with shipping companies for preferential rates.
If detention fees are incurred due to customs clearance delay, the enterprise shall provide proof materials for customs clearance delay (such as customs inspection notice) to apply for fee reduction. In addition, goods packaging shall comply with international transportation standards to avoid inspection or damage caused by packaging problems.

Tax planning for direct imported equipment shall focus on VAT and withholding tax. In terms of VAT, enterprises can apply for deferred import VAT payment, which means VAT is not paid temporarily when goods are imported, and is declared and paid after the goods are sold, to ease capital pressure.
In terms of withholding tax, if the country where the overseas manufacturer is located has a tax treaty with China, a lower withholding tax rate (such as 5% or 10%) can be enjoyed, and relevant certification materials shall be submitted to the tax authority for filing in advance. In addition, related party transaction pricing shall comply with the arm's length principle to avoid transfer pricing adjustment by tax authorities.

Foreign exchange receipt and payment compliance is a critical link when bypassing agents. Cross-border payment shall be conducted through formal channels, such as CIPS system or SWIFT system, to ensure that the capital flow is consistent with the contract and invoice. In terms of offshore account management, if an offshore account is used for payment, complete transaction records shall be retained to avoid being identified as abnormal transactions.
When settling foreign exchange, materials such as import contract, invoice and customs declaration form shall be provided to ensure that the settlement amount matches the customs declaration amount. In addition, pay attention to exchange rate fluctuations, and use forward foreign exchange settlement and sale to lock in exchange rate risks.

Attention shall be paid to clause design when signing a contract directly with overseas manufacturers. The contract shall clearly specify product quality standards, inspection clauses, liability for breach of contract and force majeure clauses. When paying by letter of credit, soft clauses such as "the seller shall provide the acceptance certificate issued by the buyer" shall be avoided to prevent passive situations.
In terms of cargo ownership transfer, the endorsement method of bill of lading and the time of cargo ownership transfer shall be clearly specified in the contract to avoid cargo ownership disputes. In addition, application for IPR customs protection recordation can be submitted to prevent the equipment from involving infringement issues.

Direct import of equipment may face on-site customs inspection. The technical manual, original invoice and packing list of the equipment shall be prepared in advance for inspectors to check. When unpacking inspection is required, cooperate with customs officers to avoid damage to goods.
In terms of X-ray inspection skills, inform the freight forwarder of the nature of goods in advance to adjust the scanning angle and reduce misjudgment. If problems are found during inspection, communicate with customs in time and provide relevant certification materials such as the import license of the equipment (if required).

Supply chain planning needs to be adjusted after bypassing agents. It is recommended to adopt JIT (Just-in-Time) procurement mode to reduce overstock. In terms of trade term selection, if the enterprise has sufficient logistics capacity, it can choose EXW term to pick up goods directly from the manufacturer's warehouse and reduce logistics costs.
In addition, a supplier evaluation system shall be established to regularly evaluate the supply capacity and reputation of overseas manufacturers to ensure a stable supply chain. The cost actuarial model shall take factors such as equipment price, logistics cost and tax cost into consideration to formulate the optimal procurement plan.
