I am a manufacturing factory producing outdoor energy storage equipment, and I have just received a new order of 1.2 million Euros from an EU customer. I heard from peers before that finding an export agency is more convenient than applying for import and export rights on my own, and I don't need to spend energy on customs declaration and tax refund procedures.

But I recently consulted two service providers: one clearly states that it is a pure export agency enterprise, and the other is a foreign trade company that has been in operation for many years, saying that it can also accept export agency orders for clients. I also heard that nearby factories encountered incidents where their export tax refunds were directly misappropriated after choosing unregulated service providers.

Now I am not familiar with the new customs declaration and new tax refund rules at national ports in 2026, and I am afraid of choosing the wrong entity which will lead to problems such as port detention and stuck document verification. I can't figure out if an export agency enterprise is a type of foreign trade company, what is the essential difference between the two, and how I should choose to avoid all possible pitfalls.

Many people directly equate export agency enterprises with foreign trade companies, which is the most common cognitive misunderstanding in the industry. The underlying business logic of the two is completely different. The core revenue of a pure export agency enterprise only comes from a fixed percentage of agency fees. It will not use its own funds to advance payment for the purchase of self-operated goods, nor will it intervene in the transaction links between the actual cargo owner and overseas buyers. Most ordinary foreign trade companies take self-operated import and export business as their core profit point, and agency business is only an additional derived service category.

If you mistakenly cooperate with an ordinary foreign trade company focused on self-operated business as a pure agency,it will easily trigger a chain of risks in the follow-up. For example, the foreign trade company will include the export value of your goods into its own self-operated operating revenue. Once the foreign trade company itself has overdue tax payment or cash flow breakdown, your export tax refund will be directly deducted to pay off its debts, and even customs declaration data will be mixed, which will later lead to the customs identifying abnormal related transactions associated with you, resulting in the whole batch of goods being detained at the port and unable to complete customs clearance.

The core operation of physical risk isolation is to verify the other party's business scope record before signing the agreement, confirm that export agency is listed as its main business category, and there are no customs declaration records of high-value self-operated export goods in the past 12 months. The whole cooperation process must implement independent closed-loop management of four flows, and all documents shall be filed separately without being mixed with the other party's self-operated business. The time limit for export tax refund receipt shall be written into the supplementary agreement, with clear rules for compensation for delays.

The exclusive loss control tip is to check the tax public status of the cooperating party every quarter. Once an abnormal taxpayer warning appears, immediately switch to an independent foreign exchange receipt and payment channel to avoid capital losses.

In the latest 2026 customs system rules for customs declaration entity record-filing, the business category of export agency enterprises is marked as "Import and Export Agency", while ordinary self-operated foreign trade companies are marked as "Self-operated Import and Export". The customs declaration document price verification logic for the two types of entities is completely different.

For customs declaration documents under export agency, the domestic consignor is marked as the actual cargo owner, while for goods exported by self-operated foreign trade companies, the domestic consignor on the customs declaration document is the foreign trade company itself. If you declare with the wrong entity type, you will be required to provide additional purchase vouchers during the subsequent price verification process.

If corresponding materials cannot be provided, it will trigger document deletion and re-declaration, which will delay the customs clearance cycle of the whole batch of goods by at least 7 working days, and may also lead to overdue declaration surcharges. Before daily declaration, you shall confirm the record-filing category of the other party in the entity qualification query column of the Single Window in advance to avoid logical conflicts in the declaration process.

There are clear differences in the bill of lading ownership rules corresponding to different entities. When cooperating with an export agency enterprise, the shipper on the bill of lading can be directly marked with the name of the actual cargo owner, and the ownership of the goods will not be transferred throughout the whole process. Even if the agency party encounters business abnormalities, you can directly apply to the shipping company for port change or dispose of the goods.

If you conduct export business with a self-operated foreign trade company, the shipper on the bill of lading defaults to the foreign trade company. Once the other party has a debt dispute, the bill of lading will be judicially frozen. If you want to dispose of the goods, you have to go through the whole litigation process, which takes at least 3 months, and the container detention fee and storage fee generated during this period can be up to 30% of the goods value. You shall confirm the shipper setting permission of the bill of lading before booking space to avoid losing control of goods ownership in the follow-up.

The latest 2026 cross-border VAT deferral policy applies different rules to the two types of entities. Pure export agency enterprises can assist actual cargo owners to apply for VAT deferral at the export link, without paying a large amount of VAT in advance. For ordinary self-operated foreign trade companies, the prerequisite for enjoying the deferral policy is to purchase the goods into their own inventory, which will additionally increase their own inventory accounting cost.

If you conduct export agency business under the name of a self-operated foreign trade company, your business data will be combined with the other party's self-operated operating revenue for accounting. During the subsequent BEPS verification conducted by tax authorities, the export orders under your name will be included in the related transaction investigation scope, and a large number of additional related transaction supporting materials need to be prepared, which increases the overall compliance cost.

In the 2026 CIPS cross-border payment system entity verification rules, the foreign exchange receipt and payment quota of export agency enterprises is bound to the actual order of the entrusting party one by one. Every foreign exchange received can be directly transferred back to the public account of the entrusting party along the original path, without additional account balancing processing.

If you collect foreign exchange through the account of a self-operated foreign trade company, the foreign exchange will first enter the foreign trade company's pending verification account, and be managed in a merged fund pool with the foreign exchange collected from other self-operated orders. Once the foreign trade company's account has a SWIFT message warning, the foreign exchange corresponding to your order will be temporarily frozen, which takes at least 15 working days of verification to unfreeze, and will directly affect the subsequent payment rhythm of raw material procurement.

In the 2026 national export tax refund document verification rules, for orders under export agency, only three types of materials need to be verified: the actual cargo owner's input invoice, logistics voucher, and foreign exchange collection voucher. The average document verification feedback cycle is no more than 10 working days. If you declare export tax refund in the name of a self-operated foreign trade company, the tax authority will trace and verify the full-chain vouchers of the foreign trade company's procurement from upstream factories.

Once there is an abnormal input invoice in other self-operated orders of the other party, all associated declared tax refunds will be suspended for allocation. As the actual cargo owner, you cannot submit documents separately to apply for priority verification, and the receipt cycle of your export tax refund may be delayed by 3 to 6 months.

The division of rights and responsibilities between the two types of entities has clear judicial judgment standards. Pure export agency enterprises only charge fixed agency fees, and do not bear joint and several liability for goods quality risks and overseas buyers' payment risks.

Even if overseas buyers refuse to pay subsequently, the agency party will not claim payment from you. If you sign the export contract under the name of a self-operated foreign trade company while claiming to be under agency cooperation, overseas buyers have the right to directly claim product quality compensation from the foreign trade company.

The corresponding compensation amount will be deducted from the foreign trade company's account first, and then the foreign trade company has the right to full recourse against you, which additionally increases your potential compensation risk. Before signing the contract, you shall clarify the rights and responsibilities boundaries of both parties in the contract, to avoid losses caused by vague clauses.
