Reliable sourcing and import agency services.
I am the owner of a manufacturing enterprise producing mechanical parts. Recently, several out-of-town clients asked us to act as their export agent for their products, saying that we have rich export experience. However, I am not sure whether manufacturing enterprises are eligible to operate export agency business.
We used to only export our own products, so I have no idea what qualifications are required for acting as an agent for other parties' products. Will there be any tax or customs risks? For example, will we be inspected during tax refund?
Also, how to handle foreign exchange settlement? After all, it is not our own payment for goods, will there be any problems? I have no confidence in this, so I want to ask what specific practices are compliant.

When declaring customs, the dual-title mode (agent + entrusting party) can be selected, and the tax refund shall be handled by the entrusting party in this case,if the single title of the agent is used,it shall be ensured that the entrusting party provides compliant special VAT invoices, and the four streams of contract, invoice, logistics and capital are consistent.
For abnormal contingency plans,in case of customs valuation disputes, the entrusting party's purchase contracts, invoices and other documents proving the authenticity of the goods value shall be prepared,in case of tax letter verification for tax refund, complete agency agreements, logistics documents and foreign exchange receipt vouchers shall be provided.
For compliance implementation, regular internal audit is recommended to check whether the filing of documents such as agency agreements, customs declaration forms, bills of lading and foreign exchange receipt memos is complete,so as to ensure that each business meets the requirements of customs and tax authorities.

Goods ownership control is critical in export agency business. It is recommended to use order bills of lading, which are endorsed and transferred by the agent to the entrusting party or the buyer.
The party bearing the logistics expenses shall be clarified. If the entrusting party designates a freight forwarder, its qualification and the authenticity of the bill of lading shall be confirmed to prevent container rolling or bill of lading fraud.

There are two modes of tax refund for export agency business: if only agency fee is charged, the tax refund shall be handled by the entrusting party, and the agent shall issue the "Certificate of Export Goods on Agency"; if the goods are bought out for export, it shall be handled as self-operated business, to ensure that the invoices provided by the entrusting party are compliant and the capital flow is consistent with the invoice flow, so as to avoid tax risks.

The agency agreement shall clarify clauses such as ownership of goods, calculation of agency fee, tax refund responsibility, and liability for breach of contract. If the entrusting party requires acceptance of a letter of credit, the soft clauses shall be carefully reviewed to avoid payment refusal caused by document discrepancy, and force majeure fallback clauses can be added to reduce risks.

When export agency goods are inspected, documents such as the entrusting party's product instructions, MSDS (for dangerous goods) and purchase contracts shall be provided.
