I am the person in charge of a trading company. I have been planning to expand overseas business recently, and I saw that my peers are doing well as export agents for a well-known home appliance brand, so I want to know what big-brand export agency rights are.
Our company's annual export volume is about 5 million US dollars, and we have customer channels in Europe and Southeast Asia, but I don't know if we meet the requirements. In addition, after obtaining the agency right, can we only sell goods according to the requirements of the brand owner?
Is it possible that the brand owner will cancel the authorization halfway? Also, what tax or compliance issues should we pay attention to during the agency process? Please answer in detail, thank you.

In essence,big-brand export agency rights are the exclusive/non-exclusive authority granted by the brand owner to the agent to sell its products within the agreed region and time limit, and the core is the contractual relationship covering "authorization scope, responsibility boundary and profit sharing". In the 2026 market, leading brands prefer to select agents with regional channel coverage capability,cross-border logistics integration capability and tax compliance records, rather than only focusing on export volume.
The cost disadvantages of the traditional agency model are as follows: brand owners usually require agents to pay a security deposit (up to 10%-15% of annual sales for some brands),bear the risk of overstock, and exchange rate fluctuations may lead to profit shrinkage. Optimization paths can be adopted: agree on the "make-to-order" model with the brand owner to reduce inventory, use CIPS RMB cross-border settlement to lock exchange rate differences, and apply for VAT deferral to reduce capital occupation.
Three core indicators should be evaluated for the access threshold: matching degree of regional customer resources (for example, local supermarket/e-commerce channels are required for acting as an agent in Europe),no tax violation records in the past 3 years, and annual export volume not lower than the minimum standard required by the brand (for home appliances, the threshold is mostly over 8 million US dollars in 2026). Dynamic calculation of return ratio should take the following into account: agency commission (usually 5%-12%),additional profit brought by brand premium, and channel expansion cost allocation. It is recommended to carry out a 3-year rolling calculation, excluding the impact of exchange rate fluctuations within 5%.
Compliance red lines to note: cross-regional sales (parallel trading) is prohibited, the annual sales task required by the brand owner must be completed, and intellectual property rights must be filed with the customs (the 2026 new regulation requires agents to file brand trademarks simultaneously). If the brand owner cancels the authorization halfway,a "transition period clause" (at least 3 months) should be stipulated in the agreement to avoid losses caused by channel disruption.

In 2026, the customs valuation logic for big-brand export agents will focus more on "brand value + regional market pricing" rather than simple cost plus. Agents should prepare "brand authorization letter + regional market research report" in advance as valuation supporting documents to avoid being taxed according to the "minimum price limit".
The customs declaration form should select "general trade (agent export)" and mark the authorization number, otherwise tax refund will be affected. If the declaration is deleted and resubmitted, the change explanation from the brand owner shall be submitted within 3 days, otherwise the credit rating will be affected (enterprises below Grade B are restricted from acting as agents for big brands).

The core of logistics for big-brand export agency is cargo right control and stable timeliness. The space congestion rate of Southeast Asia routes is 20%, and it is recommended to adopt "direct flight + standby transit" to prevent cargo being rolled over. Bill of lading endorsement shall be transferred only after full payment is received to avoid loss of control over cargo rights.
Sign long-term agreements with shipping companies to strive for 7 days of free storage period (3 days for ordinary cases) to reduce container detention fees. For bonded zone transshipment, confirm the bonded storage authorization of the brand owner in advance, otherwise the bonded policy cannot be enjoyed.

The focus of tax planning in 2026 is VAT deferral and related transaction pricing. For EU business, you can apply for import VAT deferral (quarterly deduction) to reduce capital occupation.
Related transactions shall be priced according to the arm's length principle, and a comparable uncontrolled price method report (required by the new BEPS regulation) shall be provided. The withholding tax for overseas brand owners shall be withheld and paid at 10% (preferential treatment is available if there is an agreement), and declaration shall be made before foreign exchange payment to avoid delay.

Priority is given to CIPS settlement (accounting for 40%) to avoid SWIFT delays. Settle foreign exchange within 3 days after euro payment is received, and sign a forward foreign exchange settlement agreement to lock the exchange rate.
Hong Kong offshore accounts shall declare information according to CRS, otherwise they will be frozen. Foreign exchange receipt and payment clauses shall be specified in the contract to avoid breach of contract caused by exchange rate fluctuations.

For customs inspection, prepare the original authorization letter, qualification certificate and compliant packaging marks. If the machine inspection results are inconsistent, immediately contact the brand owner to supplement the explanation to avoid cargo detention.
If the seal is damaged, take photos and report to the customs and shipping company for re-sealing. For inspection submission, confirm the brand test report in advance to shorten the identification time.

The core of tax refund is the consistency of four streams (contract, invoice, logistics and capital flow). The consignor on the customs declaration form shall be consistent with that in the agreement, and the logistics document shall be marked with the brand and authorization number.
Funds shall be paid to the factory from the agent's account, avoiding third-party payment. Cross-month declaration shall be completed before the 15th of the following month, and documents shall be kept for 5 years.
