I am a small and medium-sized foreign trade enterprise that does garment export. At the beginning of this year, we adjusted our business structure and handed over the entire process of customs declaration, logistics, and export tax refund to an export agency.
We just settled the quarterly service fee with the agency this quarter, paying nearly RMB 120,000 in export agency service fees. Our accounting staff is not sure and said that they have never handled the stamp duty declaration for this before, and do not know whether it needs to be paid. We were fined for tax underreporting two years ago, leaving a compliance record blemish.
Now we are afraid of overpaying and increasing operating costs for no reason, or underpaying and triggering risks again, which will affect our export tax refund qualification. We would like to ask clearly: does the export agency service fee need to pay stamp duty? According to what standards should it be paid? Are there any compliant relief spaces?

The most common industry misunderstanding is incorrectly classifying export agency service contracts into listed tax items such as "cargo transportation contracts" and "sales contracts",and voluntarily declaring and paying stamp duty at a rate of 0.03% to 0.05%,which unnecessarily bears tens of thousands of yuan or even more in additional tax costs. The profits of small and medium-sized foreign trade enterprises are already thin, and this additional expenditure has a significant impact on cash flow.
Some other enterprises, although not sure, directly declare with the mentality of "it is better to pay more than less",which not only incurs additional tax expenditures, but also leads to inconsistency between stamp duty declaration data and actual business, triggering additional inspection risks during subsequent tax verification, even involving the verification of export tax refund qualifications, delaying the normal tax refund progress and affecting business turnover.
According to the current Stamp Duty Law of 2026,only contracts included in the List of Taxable Instruments are required to pay stamp duty. Export agency services are essentially entrusted agency services, which are not within the scope of taxable instruments listed in the policy,so stamp duty is not required to be paid.
If stamp duty has been mistakenly overpaid, enterprises can submit the agency contract and tax payment certificate to the competent tax authority within three declaration years to apply for tax refund correction, recover the overpaid tax,and it will not affect the enterprise's compliance record.
The core of daily risk prevention and control is to file export agency contracts separately from freight contracts and sales contracts, verify the nature of instruments one by one when declaring stamp duty, and not combine agency service fees with freight charges and goods payments for tax calculation,so as to avoid wrong payment from the source and stably control tax costs.

Export agency service fees usually include sub-service fees such as customs declaration and document preparation. Broken down, customs declaration services themselves belong to the scope of agency services, and even if separately listed as charges, they do not fall within the scope of stamp duty taxable items.
It should be noted that if the agency contract combines freight charges, insurance premiums, and agency service fees without breaking them down, the tax item identification will not be affected during customs valuation, but tax declaration requires active breakdown to verify the tax obligations of different items separately, avoiding either underreporting items that should be taxed such as freight charges, or mistakenly including agency service fees in the total taxable amount. If agency service fees and customs-related costs are mixed, submitting the charge details in the contract annex to the tax authority for verification can clearly distinguish tax items and will not trigger compliance issues.

Most export agency businesses include booking agency, booking amendment fees, etc. in the unified settlement of agency service fees. This kind of agency-related logistics service fee itself does not need to pay stamp duty.
However, if the agency collects actual ocean freight charges and air freight charges on behalf, these fees belong to the taxable scope of cargo transportation contracts and need to be declared and paid by the corresponding taxpayers in accordance with regulations. It is important to note that the freight charges advanced by the agency on behalf should not be confused with the agency service fees.
Agency service fees are commission-based, while advanced freight charges are transportation costs. Their natures are completely different, and their tax obligations are also different. In daily operations, it is necessary to clearly mark the amount and nature of advanced fees in the contract, account for them separately, avoid wrong payment and underpayment, and reduce disputes during logistics cost reconciliation and the cost of financial verification.

If export agency service fees are paid to an overseas institution, the judgment of domestic taxable activities needs to be distinguished. If the agency service of the overseas institution occurs abroad, it does not fall within the scope of domestic stamp duty taxable items and does not need to pay stamp duty. If the overseas institution has a branch in China and the agency service is actually provided by the domestic institution, it is still judged as a domestic agency service nature and does not need to pay stamp duty.
It should be noted that if the agency contract includes clauses that are within the stamp duty taxable scope such as guarantees and mortgages, the taxable part needs to be taxed separately and cannot be fully exempted. When making cross-border payment of agency service fees, retain proof materials of the service location for the tax authority to verify tax obligations and avoid unnecessary tax adjustments.

When export agency service fees are settled through cross-border RMB or foreign exchange, the compliance declaration of foreign exchange settlement and sale does not require stamp duty tax payment certificate as a prerequisite material, only need to declare foreign exchange settlement and sale according to the actual service trade. If the enterprise mistakenly pays stamp duty, it will not affect the compliance of foreign exchange settlement and sale, but will increase the enterprise's service trade payment cost, which will reduce the profit margin of export business in the long run.
It should be noted that when declaring foreign exchange settlement and sale information, accurately mark the transaction code as agency service under service trade, do not mistakenly declare as goods trade, avoid triggering inspections by the foreign exchange bureau, and avoid double compliance risks caused by the overlap of stamp duty mispayment. Accurately declaring the nature of transactions also helps finance accurately distinguish taxable items and reduce the probability of wrong accounts and misdeclarations.

The export agency contract needs to clearly stipulate the scope of agency services, charge standards, and clearly distinguish between agency service fees and other advanced expenses. Clear clause division not only avoids disputes over service performance, but also provides a clear basis for determining stamp duty tax obligations. If the boundary between agency service fees and goods purchase and sale payments is blurred in the contract, it may be identified as the nature of a sales contract, resulting in stamp duty tax obligations, and even may be required to pay back taxes and late fees.
The contract should clearly stipulate that the agency only provides agency services and does not assume the rights and obligations of goods purchase and sale, and the ownership of goods belongs to the principal. This clear stipulation can prove the entrusted agency nature of the contract, meet the stamp duty exemption determination standards, and lock in compliance from the contract level.

If export agency service fees include service fees for handling on-site inspections on behalf of the principal, these fees still belong to the scope of agency services and do not need to pay stamp duty. If the agency advances inspection-related administrative fees, container handling fees, laboratory testing fees, or other public service charges or third-party service fees, these fees themselves are not within the stamp duty taxable scope and do not need to be declared and paid.
Only when the agency simultaneously provides services such as cargo handling and warehousing that fall within the stamp duty taxable scope, the corresponding part needs to be taxed separately. The agency service fees related to on-site inspections are usually detailed in the annex to the agency contract. Only need to retain the details for archiving, which can be used as a basis for tax determination, no additional stamp duty needs to be paid, and it will not affect the progress of the inspection process.

If the export agency business provides services such as dangerous goods packaging customization and UN packaging compliance review, the corresponding agency service fees still belong to the scope of entrusted agency services and do not need to pay stamp duty. If the agency directly sells packaging materials to the export enterprise, the payment for these goods belongs to the scope of sales contracts and needs to be paid in accordance with regulations.
It is necessary to settle the payment for packaging materials separately from the agency packaging service fees, clearly mark them in the contract, and avoid including all in the agency service fees leading to wrong payment and underpayment. The compliance review service fee for special packaging belongs to the nature of agency services and is not in the stamp duty taxable list, so no payment is needed. Separate accounting can accurately complete tax declarations, and clearly account for the cost of packaging services, making it convenient for enterprises to control the overall expenditure of export business.

The stamp duty declaration status of export agency service fees will not affect the four-flow consistency verification of export tax refund. As long as the payment flow, contract flow, and invoice flow of agency service fees are consistent, no matter whether stamp duty is paid or not, it will not affect the judgment of four-flow consistency.
Because the export agency service itself does not need to pay stamp duty, wrong payment will not change the nature of the business. It should be noted that if the agency service fees include tax refund fees, document filing fees, etc., these all belong to the scope of agency services and do not need to be taxed separately.
If the enterprise has completed the export tax refund letter check, as long as the business is real, the stamp duty wrong payment will not affect the result of the letter check, and underpayment will not have an impact on the export tax refund qualification. Timely correction of the declaration can eliminate risks.

Wrong payment of stamp duty on export agency service fees will directly increase the unit cost of export business, and in the long run, it will affect the accuracy of the entire supply chain cost measurement. For small and medium-sized foreign trade enterprises that focus on volume, the cumulative wrong payment of taxes will eat up nearly 1-2 percentage points of net profit, which has a significant impact on overall profits.
When designing the supply chain structure and choosing full-process export agency services, it is necessary to include the compliance cost of stamp duty in the measurement, clarify that export agency service fees do not need to pay stamp duty, and accurately measure the cost difference between the agency model and the self-operated model. When choosing an export agency model, require the agency to clearly break down charges of different natures, avoid additional tax costs caused by mixed pricing, optimize the overall supply chain cost structure, and improve overall profit margins.
