I am the procurement head of a small and medium-sized manufacturing enterprise. We just launched the business of importing production raw materials this year, and hired an agency company to handle import customs clearance and related procedures. When discussing cooperation in the early stage, we only clarified the charging standards for customs clearance and logistics, and did not specifically agree on who should be responsible for outward foreign exchange payment.
Recently, the overseas supplier has been urging for payment. The agency company says we should make the foreign exchange payment directly by ourselves, while we originally thought the agency fee covers all links and the payment should also be their responsibility. Now the two sides are deadlocked, the goods have arrived at the port for several days, and container detention charges have started to accrue at the terminal.
I have been staying at the port for coordination these days and am too anxious to sleep. I heard that foreign exchange regulation in 2026 is stricter than before, will I be penalized if the payment is made by the wrong entity? I want to figure out who should be responsible for the foreign exchange payment in this case, and whether there is a way to solve the problem as soon as possible to avoid more losses.

The most common misunderstanding in the industry is that people default that the agent must be responsible for foreign exchange payment in agency import,or that the principal must make the payment by themselves. Many cooperating parties easily neglect to clarify this obligation in the contract in advance, which leads to subsequent disputes. Many people think that delaying payment for a few days will not cause big problems, but actual practice shows that unclear responsibility will directly lead to mismatch of payment entities, trigger the upgraded 2026 foreign exchange regulatory warning, make it impossible to complete customs clearance and pick up the goods after arrival, and result in high container detention charges and storage fees when the goods are stacked at the port. It will also leave a compliance stain, affect the enterprise's subsequent application for import and export foreign exchange receipt and payment quota, and in serious cases, face a fine ranging from 5% to 30% of the goods value.
First, physical risk isolation shall be carried out,and all unconfirmed foreign exchange payment operations shall be suspended immediately to avoid wrong payment directly triggering the warning of the regulatory system and leaving irreversible compliance records. There are clear rules for responsibility division under different models: if it is a full-package agency import service, the principal entrusts all import links to the agent, and the payment covers the cost of all links, the foreign exchange payment obligation shall be borne by the agent by default, and the agent shall complete the foreign exchange purchase and payment process as soon as possible, and handle the document exchange and goods picking procedures. If it is a pure customs clearance agency model, the agent is only responsible for handling customs clearance procedures, the foreign exchange payment obligation shall be borne by the principal, that is,the actual consignee.
The exclusive loss reduction tip is to prioritize picking up the goods first, then sort out the responsibility division. The actual consignee can advance the payment for goods to complete the compliant foreign exchange payment first, pick up the goods from the port to avoid continuous accumulation of additional costs and increased losses, and then negotiate the final bearer of the costs according to the contract agreement later. Long-term risk control requires clarifying the foreign exchange payment obligation in the contract in advance, and at the same time agreeing on the bearer of foreign exchange purchase spread and handling fees,so as to avoid such disputes from the source.

Inconsistent payment entity will directly lead to abnormal endorsement of receipt and payment on the customs declaration form. If customs price verification occurs later, the inconsistency between the payment entity and the operating unit will trigger price verification doubts, even directly determine that the declared price is untrue, and require re-declaration and payment of overdue taxes.
If the responsibility is already unclear, it is necessary to sort out the contract and transaction information as soon as possible, adjust the customs declaration filing information to match the actual payment entity, so as to avoid the situation of declaration cancellation and re-submission, which will leave abnormal records, directly reduce the enterprise's customs clearance credit rating, and affect the subsequent customs clearance efficiency. If there is already an abnormal system outstanding record, it is necessary to prepare the agency import contract and communication records of responsibility between the two parties, explain the actual situation to the customs, apply for adjustment of endorsement information, and remove the abnormal outstanding status to avoid affecting subsequent business.

If the goods arrive at the port and cannot be picked up due to deadlock, container detention charges and storage fees will accumulate daily. The free storage period for ordinary containers in most ports is only 3 to 7 days. After the expiration, the storage fee ranges from dozens to hundreds of RMB per container per day, and the overdue rate for high cube containers will double. If the foreign exchange payment obligation cannot be clarified in a short time, you can apply for port change and transshipment to a nearby inland port for storage.
The storage cost of some inland ports is 30% to 50% lower than that of the main port, which can effectively reduce additional costs. You can also apply to the shipping company for extension of free storage and detention period with the business dispute certificate. Most shipping companies will agree to extend the free container use period for 7 to 10 days, which helps to leave room for negotiation. At the same time, pay attention to the control of cargo rights, do not endorse or transfer the bill of lading at will before the responsibility division is clarified, so as to avoid the risk of cargo right loss.

The division of foreign exchange payment obligations will directly affect the entity entitled to import value-added tax (VAT) deduction. If the agent is responsible for payment, the special import VAT payment certificate shall be issued to the agent, and the agent shall make the deduction and then issue a VAT invoice to the principal.
If the principal makes the payment by themselves, the payment certificate shall be issued directly to the principal, and the principal shall make the deduction directly. Mismatch of responsibility will lead to the break of VAT deduction chain, making it impossible to deduct input tax normally, which directly increases the overall import cost.
If the VAT deferral model is adopted, it is also required that the payment entity is consistent with the deferral declaration entity, otherwise it will trigger a special inspection by the tax authority, requiring tax payment and corresponding late fees. You can sort out the tax structure in advance to match the foreign exchange payment obligation with the deduction entity, so as to avoid unnecessary tax losses.

In 2026, the verification requirements for entity consistency of cross-border foreign exchange payment by foreign exchange regulatory authorities have been further upgraded. The Cross-Border Interbank Payment System (CIPS) uploads all payment entity information. If the payment entity is inconsistent with the operating unit of import customs declaration and cannot provide reasonable and compliant supporting materials, it will be directly determined as illegal payment, and the enterprise's cross-border foreign exchange receipt and payment authority will be suspended.
Even for reasonable third-party payment, it is necessary to prepare documents such as agency agreement and capital source certificate in advance and file with the foreign exchange administration department to meet the current compliance requirements. If the entity mismatch has triggered an early warning, complete the filing materials as soon as possible and apply for removing the abnormal warning to avoid continuous impact on subsequent import and export business.

For the division of foreign exchange payment obligations in agency import, the final effect is subject to the clear agreement in the written contract. Oral agreements have no legal effect and cannot be used as the basis for responsibility division.
If there is no written agreement, the responsibility shall be determined according to industry practices and actual transaction models. The industry practice for full-package agency import is that the agent is responsible for payment, and the industry practice for pure customs clearance agency is that the principal makes the payment by themselves.
If disputes lead to additional losses, you can claim the responsible party to bear additional costs such as container detention charges and storage fees based on transaction communication records and payment vouchers. You can also handle the goods picking first by issuing a bank guarantee, and then deal with the disputes to ensure the safety of your own cargo rights and avoid the expansion of losses.

If imported goods stay at the port for too long, the probability of being targeted for customs inspection will be greatly increased. For imported goods that have not been picked up beyond the time limit, the customs system will prioritize them as inspection targets. Long-term storage will also lead to wear of container seals and damp deterioration of goods, which affects the judgment of on-site inspection results.
If you have received the inspection notice, prepare complete documents such as agency import contract, transaction invoice and communication records between the two parties in advance, explain the business dispute to the on-site customs, apply for delayed inspection, and cooperate with the inspection after the responsibility is clarified, so as to avoid inspection failure due to incomplete documents and extended customs clearance time. If the seal is abnormally worn, apply for re-sealing in time to avoid being judged as seal abnormality and detained for investigation.

Enterprises that carry out agency import business for a long time can agree on the foreign exchange payment obligation in advance according to their own capital situation, foreign exchange quota and operation capacity. If the enterprise has sufficient foreign exchange quota and is familiar with the compliance process of cross-border foreign exchange payment, it can bear the payment obligation by itself, which can reduce the overall cost of agency services.
If the enterprise does not have the import and export operation right, nor has it opened the cross-border foreign exchange receipt and payment authority, the agent shall be directly responsible for the payment, and the relevant costs shall be included in the agency fee to avoid non-compliant operation. You can also adjust the trade terms to match the payment obligation. Under FOB terms, the buyer usually arranges payment by itself, and under CIF terms, it can be agreed that the agent is responsible for payment, which can be matched with your own supply chain structure.

Compliance abnormalities of import foreign exchange payment will affect the full chain of import and export business of the enterprise. Even if the enterprise only engages in import business, the abnormal records will be included in the enterprise's import and export credit file.
If the enterprise also carries out export business, the abnormal import foreign exchange payment will directly affect the correspondence verification of export tax refund. When conducting export tax refund correspondence verification, the tax authority will simultaneously check the compliance of the enterprise's foreign exchange receipt and payment.
If there is an abnormal record of import foreign exchange payment, it will directly lead to the failure of export tax refund correspondence verification, making it impossible to get tax refund normally, which affects the overall capital flow of the enterprise. Therefore, import foreign exchange payment needs to maintain the consistency of four streams, that is, the consistency of contract stream, goods stream, capital stream and invoice stream, so as to avoid affecting the normal development of other import and export business.
