We are a foreign trade company engaged in cross-border e-commerce apparel export, and recently collaborated with a customs declaration agency for a batch of European orders, which was responsible for full-process customs declaration, sea freight and foreign exchange settlement. Now the order has completed export proceeds collection and needs to apply for export tax refund, but the other party claims the tax refund should belong to them on the grounds that the operating unit on the customs declaration form is them.

However, we are the actual supplier, bear the goods cost and are also the proceeds collection entity. The previously signed agency agreement only specified the amount of agency service fee without clearly stating the refund ownership, and now both parties are stuck on this. The 2026 tax refund declaration deadline is approaching, and missing it will not only lead to loss of a large tax amount, but also worry about being inspected by the tax bureau. Who should the tax refund belong to? Are there clear determination criteria?

According to the "Regulations on Export Tax Refund (Exemption) Management" officially implemented in 2026,the core of tax refund ownership in agency export business depends on three dimensions: goods ownership, actual proceeds collection and payment entity, and agency agreement terms. Many people mistakenly think that the operating unit on the customs declaration form is the tax refund subject, which is a common misunderstanding in the industry. The 2026 new regulations clarify that the "actual goods owner" is the tax refund subject, not just the operating unit.

First, you need to verify the information of "consignor/consignee" and "operating unit" on the customs declaration form: if the agent is the operating unit and you as the principal are the consignor/consignee,you can apply for tax refund to the competent tax bureau with the Agent Export Goods Certificate issued by the agent. If the ownership is not clearly specified in the agreement, you first need to prove that you are the actual goods owner, such as providing purchase contracts, goods warehousing notes, freight payment vouchers, etc.

Second, you need to ensure four streams alignment: that is,the contract stream, invoice stream, logistics and capital stream match. The VAT special invoice issued by you as the supplier must correspond to the goods, the logistics documents of the agent must show that the goods are shipped by your side, and the export proceeds must be paid directly by overseas customers to your account,or the agent provides proceeds collection agency certificate.

For the current deadlock, you can first contact the agent to sign a supplementary agreement to clarify the refund ownership, and log in to the E-port export tax refund module to check the declaration status of this customs declaration form,to avoid the agent filing the tax refund declaration in their own name without permission. If the agent refuses to cooperate, you can submit an objection appeal to the competent tax bureau with purchase documents, logistics documents, etc. The 2026 tax system supports fast review of agency declaration records, and the preliminary determination can be completed within 3 working days.

Finally, note that the 2026 tax refund declaration deadline is adjusted to the declaration period by April 30 of the year following the customs declaration of goods. You need to complete document collection as soon as possible to avoid overdue. If cross-port declaration is involved, you can submit materials through the National Customs Clearance Integration Platform,no need to go to Shanghai Port for handling.

For the issue of agency export tax refund ownership, it needs to be determined in combination with the responsibility division of customs declaration forms in the new 2026 customs clearance integration regulations. First, when the "operating unit" on the customs declaration form is the agent, it does not mean that the tax refund subject must be the agent. The new regulations clarify that the consignor/consignee, the actual goods owner, has the tax refund qualification, but a legal agency certificate needs to be provided.

You can log in to the China International Trade Single Window to query the electronic data of this order's customs declaration form, and check whether the consignor/consignee is your side. If yes, you can directly download the declaration certificate copy of the customs declaration form, and require the agent to issue the Agent Export Goods Certificate. If the agent refuses to provide, you can apply to the customs at the place of customs declaration to access the filing records of the agency declaration entrustment agreement.

The customs will issue relevant supporting materials within 3 working days to assist you in completing the tax refund declaration. In addition, since 2026, the operating unit of agency customs declaration needs to upload the electronic scan of the entrustment agreement before submitting the customs declaration form. You can query this filing information through the Single Window to confirm whether the agent operates in compliance.

If you find that the agent has already filed this tax refund declaration without permission, you can submit a written objection to the customs at the place of customs declaration.

The customs will coordinate with the tax department to suspend the approval of this tax refund, and require the agent to provide documents proving the received tax refund. If the agent fails to prove that they are the actual goods owner, the tax department will recover the already refunded tax and impose a compliant penalty on the agent.

From the perspective of goods ownership control in the logistics sector, the ownership of agency export tax refund is directly related to the consignee information on the bill of lading (B/L) and shipping documents. In the 2026 international logistics compliance requirements, the consignee of the B/L must be consistent with the actual goods owner. If you are the actual owner of the goods, the consignee of the B/L should be your full name, not the agent.

If the consignee of the B/L is the agent, you need to provide evidence proving that you are the actual goods owner, such as purchase contracts of goods, insurance policies (if your side insures), freight payment vouchers, etc. In addition, documents such as manifest information and packing lists in the logistics process will also be used as the basis for the tax department to verify goods ownership. You need to ensure that the shipper of all logistics documents is your side.

If the agent withholds the B/L or shipping documents, you can apply to the freight forwarder for reissue. Because the freight forwarder, as the carrier, can only issue the B/L in accordance with the instructions of the principal.

If you are the actual principal, the freight forwarder has the obligation to issue the correct B/L for you. In addition, since 2026, the electronic manifest data of international freight forwarders will be directly synchronized to the tax department's refund system.

You can download the manifest data through the freight forwarder's electronic platform as supporting documents for tax refund declaration. If the agent disposes of the goods or documents without permission, you can apply for mediation through the International Freight Forwarders Association, or pursue liability for breach of contract through legal channels.

From the perspective of tax compliance, the ownership of agency export tax refund needs to be determined in combination with tax planning and related-party transaction requirements. In the 2026 new cross-border tax regulations, the tax treatment of agency export business is clarified: if the agent only provides agency services and charges agency fees, then the tax refund should belong to the principal, and the agent needs to pay 6% VAT according to the agency fee.

If the agent purchases goods and exports in their own name, then the tax refund should belong to the agent, and at this time the principal is equivalent to selling goods to the agent, and needs to issue a VAT special invoice to the agent.

If the ownership is not clearly specified in your agency agreement, the tax department will determine according to the actual transaction situation: such as who bears the goods cost, who collects the overseas proceeds, and who issues the VAT special invoice. If the principal and the agent are related enterprises, you also need to prepare contemporaneous documentation to prove the rationality of the transaction, to avoid being determined as profit shifting by the tax department.

In addition, since 2026, the tax department will automatically compare the transaction data of the principal and the agent through the related-party transaction module of the electronic tax bureau. If your transaction does not conform to the arm’s length principle, you may face tax adjustment.

From the perspective of cross-border foreign exchange collection and payment compliance, the ownership of agency export tax refund is directly related to the proceeds collection entity. In the 2026 new foreign exchange management regulations, it is clarified that the payee of export proceeds must be consistent with the consignor/consignee on the customs declaration form, or a legal proceeds collection agency certificate is provided.

If the overseas customer pays the proceeds to the agent, the agent needs to provide you with proceeds collection agency certificate, including bank proceeds receipts, agency agreements, etc., so that you can apply for tax refund declaration with these. If the proceeds are paid directly to you, then as the proceeds collection entity, you naturally have the tax refund qualification.

In addition, since 2026, the transaction data of the CIPS RMB Cross-Border Payment System will be directly synchronized to the tax department's refund system. You can query the proceeds records through the CIPS electronic platform as the basis for tax refund declaration. If the agent withholds the proceeds without permission, you can file a complaint with the foreign exchange administration department.

The foreign exchange administration department will require the agent to return the proceeds within a time limit and impose a compliant penalty on them. At the same time, you need to ensure that the amount of the proceeds is consistent with the FOB value on the customs declaration form, otherwise it will be determined as an abnormal transaction by the tax department, and the refund approval will be suspended.

From the perspective of legal clauses of international trade contracts, the ownership of agency export tax refund must be clearly agreed in the agency agreement, which is the core of avoiding disputes. In the 2026 international trade contract model text, a standard clause on tax refund ownership has been added, clearly specifying that the tax refund belongs to the principal, and the agent only collects agency fees.

If the tax refund ownership clause is not clearly specified in your agency agreement, you can negotiate with the agent to sign a supplementary agreement, which has the same legal effect as the original agreement. If the agent refuses to sign the supplementary agreement, you can require the agent to return the tax refund amount according to the relevant provisions of the entrustment contract in the Civil Code, because the agent only has the right to collect agency fees and is not entitled to the tax refund.

In addition, if the agent files the tax refund declaration in their own name without permission, you can apply for pre-litigation property preservation to the court to freeze the agent's bank account and avoid them transferring the already refunded tax. At the same time, you can require the agent to compensate for your losses according to the breach of liability clause in the agency agreement, including the refund amount, late fee, legal fees, etc. Since 2026, the trial period of international trade disputes has been shortened to 3 months, and you can resolve the dispute quickly through legal channels.

From the perspective of customs on-site inspection, the ownership of agency export tax refund is directly related to the actual inspection situation of the goods. In the 2026 new customs inspection regulations, the inspector will verify the information such as the goods mark, packaging, purchase contract, etc., to confirm the actual goods owner.

If the brand mark is printed on the goods packaging or the supplier on the purchase contract is your side, the tax department will determine your side as the actual goods owner and have the tax refund qualification. If the agent cannot provide the goods purchase documents, or the packaging of the goods is unrelated to the agent, the tax department will reject their refund application.

In addition, the inspector will verify whether the weight and quantity of the goods are consistent with the information on the customs declaration form. If inconsistency is found, you will be required to provide an explanation, otherwise the refund approval will be suspended.

You need to ensure that all documents of the goods are consistent with the actual situation, including packing lists, invoices, bills of lading, etc. If the agent is found to forge documents during the inspection, you can report to the customs, which will impose a penalty on the agent and include them in the dishonesty list.

From the perspective of export tax refund audit, the ownership of agency export tax refund needs to be determined through the verification of four streams alignment. In the 2026 new export tax refund audit regulations, the tax department will automatically compare the information of the contract stream, invoice stream, logistics and capital stream through the electronic system to ensure the consistency of the four.

If the principal is the actual goods owner, you need to provide VAT special invoices, Agent Export Goods Certificate, customs declaration form, proceeds collection vouchers, etc. The tax department will complete the preliminary review within 5 working days. If the agent applies for tax refund declaration, they need to provide documents proving that they are the actual goods owner, including purchase contracts, invoices, proceeds collection vouchers, etc.

In addition, since 2026, the tax department will conduct special audits on agency export business, focusing on verifying the authenticity of agency agreements, documents proving goods ownership, the legality of proceeds collection, etc. If it is found that the agent has not provided a legal agency certificate or the four streams are inconsistent, the refund approval will be suspended, and the enterprise will be required to supplement documents within 15 working days.

If the enterprise fails to supplement documents, the tax department will recover the already refunded tax and impose a penalty on it. You need to ensure all documents are complete and conduct self-inspection before declaration to avoid being found by the audit.
