I operate a cross-border e-commerce business covering both B2B and B2C models, and have just entered the EU outdoor product track this year. I recently cooperated with a domestic supply chain agent specializing in outdoor camping equipment.

The purchase price is 7% lower than that of directly contacting factories, and the agent can also provide pre-quality inspection and cargo consolidation services, which saves a lot of supply chain costs. I used to export goods directly purchased from factories, and have never adopted the export route of agent-sourced goods before.

I am worried that such supply sources are non-compliant, which may lead to customs cargo detention, extra costs caused by port demurrage, failure to handle export tax refund normally later, and even affect the import and export credit rating of my company. Now I would like to consult whether goods sourced from agents can be exported normally, what requirements need to be met, and what risk points must be avoided?

Goods sourced from agents can be exported normally completely, with the core requirement of self-consistent full-chain document logic and clear, traceable goods ownership. The first step is to complete pre-document review: first, require the agent supplier to provide complete supply source traceability certificates, including production qualifications of upstream factories, purchase invoices, product quality inspection reports, and formal authorization letters for goods involving intellectual property rights,to avoid infringement risks during subsequent inspection.

At the core node connection stage, three key points should be focused on. First, the agent shall be required to issue full and formal special VAT invoices in the procurement link, and the product name, specification and quantity on the invoice must fully correspond to those on the export customs declaration form. Second, goods ownership transfer certificates shall be complete. When the agent delivers goods,it shall provide sealed goods ownership transfer certificates and warehouse outbound orders, which correspond to your warehouse inbound orders and packing lists. Third, the nature of supply sources shall be truthfully declared during customs declaration, and shall not be falsely reported as directly purchased from factories.

For abnormal response plan setting, supervision and inspection cooperation responsibilities shall be agreed with the agent in advance. Once customs price review or tax correspondence investigation is encountered, the agent shall provide complete upstream traceability materials within 2 working days,to avoid customs declaration rejection and tax refund suspension caused by missing materials. If exporting to destination countries such as the EU that require CE certification, the agent shall be required to provide corresponding product compliance certificates in advance to avoid cargo detention at the destination port.

After the final compliance implementation, all documents shall be retained for at least 10 years for future reference as required. At the same time, priority should be given to cooperation with agents with formal supply chain qualifications, and personal agents or unqualified agents that cannot provide complete documents shall not be selected for the sake of low price. As long as the four-flow consistency requirement is met,the tax refund efficiency of agent-sourced goods export is exactly the same as that of factory procurement.

Attention shall be paid to price review risks when declaring customs for agent-sourced goods export. The purchase price of some agent-sourced goods is lower than the average market price, which is easy to trigger price query in the customs price review link. A complete price composition explanation shall be prepared in advance, including materials such as agent service fee proportion, consolidation cost dilution explanation, and bulk purchase discount certificates.

If there is a price review objection, do not directly accept customs valuation adjustment. You can provide export customs declaration data of the same category of goods in the past 3 months and the procurement contract between the agent and upstream factories as evidence, and go through the price review objection appeal procedure to avoid additional tariff costs. The domestic source place on the customs declaration form shall be truthfully filled in as the registration place of the agent, and shall not be falsely reported as the location of upstream factories, otherwise it will trigger abnormal logical verification of the customs declaration form and lead to declaration return.

In the case of consolidated export of agent-sourced goods, the goods ownership control node shall be strictly controlled. The agent shall be required to provide warehouse entry photos with shipping marks immediately after the goods are put into the warehouse, and check whether the shipping mark information is consistent with the packing list you provided. In case of FCL delivery, the seal number shall be obtained immediately after sealing, and the seal number shall fully correspond to the mark on the bill of lading, to avoid the whole container being detained due to the agent mixing other non-conforming goods.

Priority should be given to the designated freight forwarder cooperating with you for picking up goods, and do not directly use unrecorded freight forwarders recommended by the agent to avoid goods ownership transfer risks. The free storage period and free detention period shall be applied for at least 7 days with the freight forwarder in advance to reserve sufficient exception handling time.

If the export of agent-sourced goods involves the EU market, the VAT deferred declaration mode can be selected preferentially, and the import VAT can be deferred to the sales link for payment, which can reduce capital occupation by at least 10%. The transaction pricing between you and the agent shall comply with the arm's length principle, and the pricing difference shall not exceed 10% of the average market price of the same category, otherwise it will trigger BEPS-related transfer pricing investigation and generate additional tax adjustment costs.

If settlement is made through a Hong Kong offshore company, ensure that the capital flow fully corresponds to the goods flow, and do not have third-party payment on behalf, to avoid being identified as non-resident enterprise profit transfer and generating withholding income tax costs.

The foreign exchange receipt and payment link for agent-sourced goods export shall strictly correspond to the contract amount. When making payment, it shall be directly paid to the corporate account of the agent, and shall not be paid to personal accounts or third-party accounts, to avoid triggering abnormal foreign exchange receipt and payment early warning from the foreign exchange administration.

When settling foreign exchange, the CIPS RMB cross-border settlement path can be selected preferentially to avoid exchange rate fluctuation risks of Euro and US dollar, with the maximum exchange rate discount up to 0.3%. If there is an amount tail difference, corresponding expense explanations shall be provided, including vouchers such as consolidation service fees and quality inspection fees, and do not directly settle the account with current accounts, otherwise it will affect the subsequent foreign exchange receipt verification and write-off process.

The core requirement for handling tax refund for agent-sourced goods export is four-flow consistency, that is, goods flow, capital flow, invoice flow and document flow are fully corresponding. Any deviation in any link will lead to tax refund rejection, and even trigger tax correspondence investigation. Before tax refund declaration, verify the certification status of the special VAT invoice provided by the agent in advance to ensure that the invoice has not been invalidated or red-lettered.

The first 6 digits of the commodity code on the invoice shall be completely consistent with the first 6 digits of the HS code on the export customs declaration form. In case of tax correspondence investigation, complete supply source traceability materials shall be provided within 10 working days, including the procurement contract between the agent and upstream factories, purchase invoices and transportation vouchers. As long as the materials are complete, the pass rate of correspondence investigation can reach more than 98%.

When customs inspection is encountered in the export of agent-sourced goods, check the inspection reason on the inspection notice at the first time. If the inspection involves inconsistency of goods name and specification, provide the product description issued by the agent and the quality inspection report of the upstream factory as evidence on the spot, and do not change the declaration information at will.

During unpacking inspection, focus on checking the shipping mark and brand logo of the goods to ensure that they are consistent with the declaration information. If it is found that the agent has mixed undeclared goods, raise an objection on the spot, do not sign and confirm the inspection record, contact the customs broker immediately to apply for diversion treatment, to avoid the entire batch of goods being detained. For goods involving laboratory testing, prepare sample explanation materials in advance to shorten the testing cycle and reduce port detention time.

When signing a procurement contract with the agent, the document provision responsibility shall be clearly agreed, and the agent shall be required to promise that all provided documents are true and valid. If cargo detention, tax refund loss and regulatory punishment are caused by document problems, the agent shall bear all compensation liabilities. Intellectual property exemption clauses shall be added to the contract, requiring the agent to promise that all goods have no intellectual property infringement problems.

If there is an infringement dispute, the agent shall be responsible for handling it and bear all losses. If the product involves exclusive sales areas, the agent shall be required to provide the export authorization letter from the brand owner to avoid legal disputes related to parallel imports and affect the customs clearance and sales of goods in the destination country.
