I am the person in charge of an electronic component export enterprise. Recently, European and American clients strongly require us to conduct entrepot trade via Southeast Asia for tax avoidance purposes.

But I heard that customs enforcement has been extremely strict in the past two years, especially targeting "document fraud" and "fictitious trade". Once detected, the enterprise may be blacklisted. I have been very worried: under this mode where both the supplier and final client are outside China, how can we make the fund flow and goods flow match?

What if the goods are detained due to problems of the intermediate trader? I want to know why entrepot trade has high risks? Are there any measures to minimize all these hidden dangers?

Entrepot trade is not a simple "document fraud via third-country transit". Many enterprises mistakenly believe that they can get away with it simply by repacking goods in a third country or applying for a new certificate of origin. In 2026,the global trade intelligence system of customs has been fully upgraded, which tracks the full life cycle of goods through blockchain technology. Operations that do not change the physical trajectory of goods will easily trigger a "false origin declaration" alert.

Once locked by the risk control system, the goods will be detained at the port, leading to shipping schedule delays and high container detention charges. More serious consequences include the enterprise being added to the key supervision list: not only will this batch of goods be returned or destroyed, but all subsequent export documents of the enterprise will be subject to the strict 100% container inspection treatment, which will directly paralyze the supply chain, and even give rise to criminal liabilities.

The core to avoid such risks lies in realizing substantial processing. It is mandatory to set up a factory or bonded warehouse in the third country, carry out simple repackaging, labeling or assembly,so that the goods can obtain local origin qualification. Physical "container change" and "value addition" are the cornerstones of compliance, and any "paper trade" attempt that bypasses physical operations is a high-risk minefield.

It is recommended to establish a full-link document review mechanism, focusing on verifying the logical consistency among bills of lading, invoices and certificates of origin. Meanwhile,be sure to select transit service providers with high credit ratings, and purchase specific trade credit insurance. In case of abnormalities, the insurance company will make compensation first, and you can recover losses from the intermediate trader through legal means,so as to realize risk transfer.

Risks in entrepot trade usually stem from "broken logic of declaration elements". In the customs declaration process, the system will automatically cross-check data if the final destination country declared for export does not match the trade data of the transit location.

For example, if goods are exported from China to Singapore, but there is no corresponding export record of such goods from Singapore to Europe and America, this data gap will directly expose the suspicion of "fictitious transit". It is necessary to ensure that the customs clearance data at the transit location is truly recorded, rather than just declared as "transit", and the HS code classification logic must remain consistent when converted in different countries.

Cargo right control is the biggest hidden risk. Entrepot operations usually involve three or even four parties. If the freight forwarder issues a straight bill of lading to the intermediate trader, once the intermediate trader maliciously refuses payment or goes bankrupt, the domestic shipper will lose control of the goods and cannot exercise the right of stoppage in transit.

It is recommended to explicitly stipulate in the logistics contract that order bills of lading must be used, and the freight forwarder is not allowed to release the goods before receiving the original bill of lading, so as to physically lock the cargo right and prevent losses of both goods and money caused by release of goods without original bill of lading.

With the in-depth implementation of the BEPS Action Plan, tax authorities in various countries have intensified their crackdown on trade arrangements "lacking economic substance".

If an enterprise only sets up a shell company with no actual operation in the transit location, the tax authority may deny the existence of this intermediate entity in accordance with the "substance over form" principle, and directly recognize the transaction as a direct trade between China and the destination country, which will expose the enterprise to the risk of making up huge corporate income tax payments and paying fines. It is necessary to ensure that the company at the transit location has office premises, employees and reasonable profit retention that comply with local regulations.

Fund flow compliance is the "critical risk point" of entrepot trade. Banks will strictly implement anti-money laundering (AML) reviews when processing cross-border receipts and payments. If the fund path shows "domestic receipt - overseas transit - overseas payment" and the transit location does not match the goods flow trajectory, it will easily trigger the bank's risk control interruption mechanism, leading to account freeze or restricted foreign exchange purchase.

It is necessary to ensure that the remittance remark of each fund transfer is clear, and all trade background documents can withstand penetrating supervision. It is strictly prohibited to use underground banks for illegal foreign exchange settlement.

The lack of legal jurisdiction makes rights protection extremely difficult. Entrepot trade involves laws of multiple countries. Once fraud occurs, such as the intermediate trader forging documents to defraud goods, domestic enterprises will easily get stuck in transnational litigation.

It is recommended to mandatorily add an "arbitration clause" in the contract, select a neutral arbitration institution with strong enforceability (such as Singapore International Arbitration Center), and explicitly retain the ownership of goods until full payment is received, so as to build the last line of defense at the legal level and avoid lengthy transnational judicial disputes.

Hidden costs are often ignored. While entrepot trade seems to avoid tariffs, doubled logistics costs, handling fees and storage fees at the transit port, as well as exchange rate fluctuation risks, may eat up all profits.

In 2026, the global supply chain will face severe fluctuations, and congestion at any node will lead to sharp cost increases. It is necessary to establish a dynamic cost calculation model, include potential demurrage fees and compliance risk costs into the total budget before deciding whether to launch the entrepot trade scheme, so as to avoid greater losses caused by improper tax saving attempts.
