I am the person in charge of Company A, an import and export enterprise focusing on Southeast Asian electronic products. Recently, we handled an entrepot trade route of Singapore-Hong Kong-Shanghai: the goods are manufactured in Singapore, transited via Hong Kong to Shanghai, with the title of goods held by our Hong Kong subsidiary, and are planned to be resold directly to domestic clients in Shanghai.
The finance department proposes that import link VAT and customs duty shall be paid, but I heard that entrepot trade is usually tax-exempt. Is there a contradiction? I am worried that wrong tax judgment will lead to overpayment of taxes or customs penalties. At present, the goods have arrived at the port but have not completed customs clearance, and we urgently need a clear tax treatment plan.

Whether offshore entrepot trade is subject to taxation shall be comprehensively judged in combination with the transit route, title of goods transfer and customs supervision requirements. Taking your Singapore-Hong Kong-Shanghai case as an example, the following full-link nodes shall be focused on:
Pre-document review is the core basis for tax judgment. It is required to ensure that the Certificate of Origin (FORM A) is marked with "non-originating goods",the Entrepot Trade Filing Form (which needs to be filed on the General Administration of Customs "Single Window") clarifies the transit nature, and the bill of lading shall be marked with the word "transshipment" with the Hong Kong segment B/L endorsed as "to order" (to avoid being recognized as "sales"). Substantive operations in the transit country determine the taxation basis: If the Hong Kong company only conducts warehousing and distribution operations (without unpacking, restructuring or processing),and no import link tax is levied on the goods in Hong Kong, the "no substantive processing" principle can be applied during Shanghai customs clearance, only requiring payment of a security deposit (to be refunded after the goods are re-exported).
Errors in core node connection will trigger taxation risks. If the Hong Kong subsidiary changes the state of goods through "unpacking and inspection in bonded warehouse" (such as changing packaging, labeling),it may be recognized as "value-added from domestic processing",and supplementary tax shall be paid according to the value after processing. In addition,if the declared price deviates by more than 10% from the transaction price of the same period in the Hong Kong market, the customs will launch a price verification procedure, and the "Transaction Price Report of Similar Goods" issued by the Hong Kong Chamber of Commerce is required to be provided. Abnormal response plans shall be arranged in advance: If the goods are detained by customs due to "failure to truthfully declare title of goods transfer in the transit country",you can immediately apply for "administrative reconsideration" to the direct customs, and submit the Entrepot Trade Agreement between the Hong Kong company and Company A and proof of title of goods transfer (such as blank endorsed ocean bill of lading).
Compliance implementation shall match policy dividends: If the goods are finally re-exported (such as resold to a third country),you can apply for "temporary exemption from import link tax" (required to submit the ATA Carnet),if the goods only circulate within the domestic territory, you can adopt the "VAT deferral" scheme (required to apply to the competent tax authority in advance, and provide the Hong Kong company's tax registration certificate and tax payment certificate of the transit country). Please note that in 2026,the General Administration of Customs added the "Classified Supervision Catalogue for Entrepot Trade Goods",under which electronic products are required to additionally submit the "3C Certification" exemption certificate to avoid supplementary tax caused by omission of the supervision catalogue.

Chief Customs Declaration Expert: For entrepot trade declaration, fill in "entrepot trade" (code 0715) in the "trade mode" column of the customs declaration form.
If you mistakenly fill in "general trade" (code 0110), taxation will be triggered directly. It is recommended to submit the Entrepot Trade Filing Form and Certificate of Origin simultaneously to avoid customs classification disputes caused by wrong codes.。

Senior Logistics Expert: Adopt the "virtual warehousing" mode for Hong Kong transit, that is, the goods do not enter any warehouse in Hong Kong throughout the whole process, and the title of goods transfer is completed only through the endorsement of ocean bill of lading.
If the goods are actually stored in a warehouse, you need to apply for "transshipment warehouse" qualification to Hong Kong Customs, otherwise the operation may be recognized as "domestic sales" and taxed. It is recommended to use the "house bill of lading" operation to issue the Hong Kong segment B/L and Shanghai segment B/L separately.。

Senior Tax Consultant: Whether entrepot trade is taxed depends on "whether the transit country constitutes substantive operation".
If the Hong Kong company does not pay salaries tax / profits tax (such as zero declaration), the tax authority will presume it is a "shell company", and 25% VAT shall be supplemented and levied as "offshore resale trade" during Shanghai customs clearance. It is recommended to check the tax declaration records of the Hong Kong company in the past 12 months in advance.。

Trade Compliance Expert: Adopt the dual-track system of "offshore account - domestic settlement account" for foreign exchange collection, that is, the Hong Kong subsidiary collects foreign exchange and then directly settles the exchange to the account of Shanghai Company A, to avoid being verified by the State Administration of Foreign Exchange due to split foreign exchange collection through "personal account". It is recommended to complete cross-border payment via the CIPS system, and you can apply for "90-day forward foreign exchange settlement" to lock the exchange rate.。

Foreign Trade Legal Expert: It is necessary to sign the Tripartite Entrepot Trade Agreement to clarify the title of goods transfer nodes (such as "the Hong Kong company issues the Confirmation Letter of Title of Goods Transfer to Company A after the goods arrive at the port"), and add the clause of "losses caused by customs duty levy shall be borne by the responsible party" in the contract. The bill of lading shall be witnessed and endorsed by a Hong Kong lawyer to avoid the risk of forged documents.。

On-site Inspection Expert: If the customs finds during inspection that the goods are not declared in the transit country, you shall immediately contact Hong Kong Customs to issue the "Non-taxation Certificate", and submit it to Shanghai Customs within 24 hours, otherwise the goods may be recognized as "smuggled goods". It is recommended to prepare the "Emergency Response Flow Chart for Customs Inspection" in advance, marking the responsible person and response time limit of each link.。

Export Tax Rebate Auditor: If the goods are not finally re-exported, the paid security deposit shall be applied for tax rebate within 180 days, and the "four flows consistency" (title of goods flow, capital flow, logistics and information flow) shall be ensured. If you mistakenly fill in the "special customs declaration form for export tax rebate" during declaration, you shall complete "deletion and re-declaration" before the 15th of the next month, otherwise port demurrage charges will be incurred after the deadline.。
