In 2026, do domestic enterprises engaged in entrepot trade necessarily need to make foreign exchange payments abroad?

I am from a foreign trade enterprise in the Pearl River Delta that engages in small and medium-sized hardware cross-border entrepot trade. Recently, we received a three-party entrepot business: the upstream supplier is domestic, the downstream customer is from Southeast Asia, and the goods are directly shipped from China to Southeast Asia without passing through our domestic ports.
Now we are stuck at the foreign exchange payment step. Previously, I heard from peers that the State Administration of Foreign Exchange updated the entrepot trade receipt and payment rules in 2026, and there are some situations where foreign exchange payment is not required. But we are not sure which situations meet the requirements.
If we make a wrong payment or fail to pay when required, will we be marked as abnormal and affect our subsequent foreign exchange settlement and tax refund? We want to figure out which situations require foreign exchange payment for entrepot trade now, which do not, and what the compliant operation requirements are exactly.

Many entrepot trade practitioners have a misunderstanding: they think that as long as it is entrepot trade, they must complete the foreign exchange purchase and payment process, otherwise it is non-compliant. In fact, the rules updated by the foreign exchange management department in 2026 clearly specify multiple entrepot trade scenarios where foreign exchange payment is not required.
The chain reaction of this misunderstanding is: in scenarios where foreign exchange payment can be exempted, enterprises forcefully go through the foreign exchange purchase process, resulting in unnecessary loss of foreign exchange purchase handling fees and exchange rate difference costs,in scenarios where payment is required but not made, enterprises will be included in the abnormal monitoring list of the foreign exchange bureau, which may lead to restrictions on account foreign exchange settlement in mild cases,or affect the enterprise's import and export directory registration in severe cases.
Common scenarios where foreign exchange payment is not required include: entrepot trade where goods from domestic suppliers are resold and settled domestically, and triangular entrepot trade where the received foreign exchange amount covers the upstream supplier's payment and settlement is made through netting domestically. Enterprises need to retain a complete set of entrepot trade contracts, title transfer documents, and cargo transportation documents to prove the authenticity and compliance of the business.
Exclusive loss prevention tip: If there is an abnormal account suspension due to non-compliant foreign exchange payment, you can supplement the complete set of real business materials and report to the foreign exchange bureau within 30 working days. Adjusting the settlement method can lift the abnormal warning without leaving a long-term compliance stain.

The foreign exchange payment requirements for entrepot trade need to match the trade mode declared to the customs. Currently, the customs classifies entrepot trade into two types: "entrepot goods" and "domestic source goods transferred out of the country". Different classifications correspond to different foreign exchange payment requirements.
If declared as "entrepot goods" (goods enter and exit through domestic ports), corresponding foreign exchange receipt and payment vouchers must be provided for document review during the price assessment process. If the goods do not enter domestic ports and are transferred to a third party with domestic sources directly exported, you only need to provide title transfer certificates when declaring, and no foreign exchange payment vouchers are required.
If the previous declaration was suspended due to missing foreign exchange payment vouchers, you need to supplement the corresponding transaction authenticity materials to prove the real link of title transfer, then you can apply for deletion and re-declaration or modification of the trade mode classification to lift the abnormal record. It should be noted that during the price assessment process, the matching degree between the cargo value and the foreign exchange receipt and payment amount will be checked. If netting settlement is used, the basis for netting must be explained in the documents in advance to avoid being regarded as under-declaration of price.

Whether foreign exchange payment is required for entrepot trade is directly related to the title transfer path and logistics plan. If a direct transit plan is adopted, where title is transferred through endorsement at the transit port, and the seller has received full payment from the downstream customer before transferring the title, netting settlement can be done directly without purchasing foreign exchange to pay the upstream supplier. Only the bill of lading endorsement documents and title transfer agreement need to be retained as vouchers.
If the goods are transshipped at the transit port (stored in a bonded warehouse and then resold), and netting is done through an offshore account, there is no need to purchase foreign exchange domestically for payment. It should be noted that regardless of whether foreign exchange payment is made, the entire logistics bill of lading and warehouse receipt certificates must be retained to prove the real flow path of the goods, avoiding being regarded as fake trade due to unclear title links. If the port change leads to a change in the title transfer path, the proof materials for foreign exchange payment/exemption must be updated in time to avoid inconsistency between the vouchers and the actual business.

Whether foreign exchange payment is required for entrepot trade directly affects the calculation of cross-border tax costs. Using the netting settlement mode without foreign exchange payment can save handling fees for both foreign exchange purchase and sale, and avoid losses caused by exchange rate fluctuations. For entrepot trade between related enterprises, the netting and non-payment mode complies with current compliance requirements under BEPS (Base Erosion and Profit Shifting), as long as the title is clear and the pricing is reasonable, it will not be regarded as tax base erosion.
For cross-border third-party entrepot trade, if netting settlement without foreign exchange payment is used, the net amount of income and cost must be clearly disclosed in the enterprise income tax declaration, and corresponding real business materials must be provided to allow normal pre-tax deduction. It should be noted that for entrepot trade involving non-resident enterprises, if there is still payable profit after netting settlement, the withholding of non-resident enterprise withholding tax must be done in accordance with regulations. You cannot skip the withholding obligation due to non-payment of foreign exchange, otherwise it will trigger tax inspection.

In 2026, the foreign exchange bureau's compliance requirements for entrepot trade receipt and payment follow the principle of "priority to real transactions", and do not require all entrepot trade to make foreign exchange payments. For one-hand entrepot trade, if full payment has been received from the downstream customer and the upstream supplier's payment can be settled in RMB domestically, there is no need to purchase foreign exchange to pay abroad. You only need to mark "entrepot trade netting settlement" in the international balance of payments declaration.
If cross-border RMB settlement is involved, completing domestic netting through CIPS (Cross-border Interbank Payment System) fully complies with compliance requirements, and no additional special materials are needed. If operating through an offshore account, as long as the fund link is clear and corresponds to each entrepot trade business, non-payment of foreign exchange will not trigger compliance warnings. It should be noted that the netting settlement amount for a single entrepot trade cannot exceed the received foreign exchange amount; the excess part must be paid in foreign exchange, otherwise it will be included in abnormal monitoring.

The core premise for exempting foreign exchange payment in entrepot trade is to clearly agree on the title transfer rules and settlement method in the contract to avoid subsequent payment disputes. If netting settlement without foreign exchange payment is agreed, the rights and obligations of the upstream supplier, your company, and the downstream customer must be clearly defined in the contract, specifying the netting calculation method and the clauses that all parties confirm the settlement of payments after netting.
If the mode of title transfer first and then settlement is adopted, you need to require the upstream supplier to issue a payment settlement confirmation letter to avoid the risk that the upstream supplier claims the title transfer is invalid on the grounds of not receiving foreign exchange. If a letter of guarantee is needed, the letter of guarantee must clearly state whether foreign exchange payment is required and the corresponding settlement conditions, avoiding soft clauses in the letter of credit that make foreign exchange payment a necessary condition for picking up goods, leading to goods being detained and loss of both goods and money.

Whether foreign exchange payment is required for entrepot trade directly affects the compliance inspection of export tax refund. If the source of goods for entrepot trade is domestic export goods and the domestic supplier has already processed export tax refund, the four-flows consistency inspection requires the fund link to match the goods flow. If domestic settlement is used without foreign exchange payment abroad, you need to retain the domestic payment vouchers corresponding to the domestic supplier's export declaration form to meet the four-flows consistency requirement, which will not affect the letter of inquiry for export tax refund.
If foreign exchange payment is required but not made, leading to a broken fund link, it will be regarded as fund reflux during the letter of inquiry, resulting in the export tax refund not being approved. It should be noted that the document filing for entrepot trade must include a settlement method description, clearly stating whether foreign exchange payment is made and the corresponding settlement vouchers, to facilitate the tax authority's inspection and reduce the risk of the letter of inquiry not being approved.
