I am a manufacturing factory exporting cross-border home furnishing products. I do not have self-operated import and export rights. I have been in the industry for 3 years and have always used a foreign trade agency to handle customs declaration, foreign exchange settlement, and tax refunds. The previous agent deducted a 2% "service fee" every time the refund was received before paying me.

Last month I switched to a new agent who stated they would pay the full refund amount, but they required me to provide a pile of additional materials such as raw material purchase invoices, warehouse entry and exit slips, and logistics tracking proofs. They also stated that if the materials are incomplete and the refund fails, I must bear the loss myself. I am completely confused now.

I want to clarify who the policy stipulates the export tax refund belongs to in agency exports? Is there a clear determination standard? What do I need to do to prevent the agent from privately intercepting my refund?

The core basis for determining the ownership of export tax refunds in agency trade is the unification of "substance of business + agreement terms + compliance elements." There is no fixed rule defaulting to any specific party. The current export tax refund policy for 2026 requires the refund entity to satisfy the "consistency of four flows" requirement, meaning the final matching degree of the goods flow, capital flow, invoice flow, and document flow must reach 100%. If the principal is the entity that actually bears the export profit and loss and receives the export income, and the agency agreement explicitly stipulates that the refund belongs to the principal, while all documents can verify that the substance of the business is an entrusted export, then the refund belongs entirely to the principal.

In the preliminary review stage, you must first finalize two core elements. First, clearly mark the refund ownership, settlement time limit, and rights and responsibilities of both parties in the agency agreement,do not rely solely on verbal agreements. Second, organize the retention responsibilities for all documents required for the refund in advance. As a manufacturing enterprise, you need to retain materials such as raw material purchase vouchers, production input records, finished product warehouse entry and exit slips, and domestic logistics proofs. The agent needs to retain customs declaration forms, agency export certificates, international logistics documents, and foreign exchange collection vouchers. Both parties must agree on the division of responsibility for missing documents in the agreement.

During the core node connection stage, you must verify the declaration data 3 working days before the tax refund declaration to ensure the declared amount and owner information are correct, avoiding the agent filling in the wrong declaring entity. If a tax department inquiry letter occurs, you must cooperate with the agent to submit all supporting materials within 7 working days to avoid refund failure due to overdue materials.

Regarding contingency plans,if the agent intercepts the tax refund, you can submit an appeal to the tax authorities based on the agency agreement and the four-flow matching vouchers,or initiate a commercial arbitration process to claim your rights. The core of compliance implementation is that all agreements are put into written contracts and all documents are retained for over 10 years. Do not agree to the agent declaring the refund as their own income just to submit fewer materials,to avoid being subsequently classified as issuing false invoices and defrauding taxes.

The 2026 export tax refund verification requirements demand "consistency of four terminal records," meaning a complete match across four dimensions: production terminal records, export terminal customs declaration data, foreign exchange collection terminal bank flows, and tax refund terminal declaration information. If the agent declares the tax refund in your name, all supporting materials from the production end must be provided by you, including production equipment startup records, worker attendance records, and raw material purchase, sales, and inventory ledgers.

These materials are the core verification content during tax inquiries; if missing, the refund will be directly rejected, and you may even be included in the tax refund anomaly list. Subsequently, all refund declarations within 12 months will be subject to manual review, extending the audit cycle from the original 7 working days to over 30 working days.

You must agree with the agent on the division of labor for responding to inquiries: you are responsible for providing production end materials, and the agent is responsible for providing export end and foreign exchange collection end materials. Both parties should cooperate to complete the inquiry response to avoid overdue submission due to unclear responsibility division.

If the tax refund belongs to you, you can choose to record the refund income as manufacturing enterprise income, enjoying preferential policies such as additional deductions for R&D expenses and corporate income tax reductions for high-tech enterprises, which can lower the comprehensive tax burden by 2-3 percentage points. If the agent declares the refund as their own income, you need to issue an equivalent service invoice to the agent, which will incur an additional 6% VAT and surtax cost.

It will also cause your income accounting to not match the actual substance of the business, and the tax authorities may subsequently require you to pay back corporate income tax and late fees. It is recommended that you stipulate in the agency agreement that the subject of the tax refund declaration is your party, and the agent only provides agency services and does not own the refund. This avoids additional tax costs and ensures your income accounting compliance.

The settlement of tax refund funds needs to match the foreign exchange collection path. If your party is the actual foreign exchange collection entity, the tax refund funds will be transferred directly to your corporate account, without passing through the agent's account, which can completely avoid the risk of the agent intercepting the refund.

If the foreign exchange collection path is the agent's account, you need to agree with the agent that the tax refund funds will be transferred to your designated account within 3 working days after receipt. At the same time, agree on a penalty for overdue payment, which can be set at 0.05% per day.

If payment is not made for more than 15 working days, you have the right to terminate cooperation and claim compensation for all losses. The 2026 CIPS cross-border payment system has achieved directional transfer of tax refund funds. You can apply to the tax authorities to have the refund funds transferred directly to your corporate account, bypassing the agent's intermediary account, further reducing capital risk.

The entrusted export agreement signed between you and the agent must explicitly stipulate the ownership of the tax refund. Do not use vague expressions such as "the refund shall be allocated by mutual consultation" or "the agent enjoys partial refund rights," as these expressions will lead to no clear basis for determination in subsequent disputes. If the agreement does not explicitly stipulate the refund ownership, the court will usually determine ownership based on the substance of the business, i.e., whoever bears the export risk and income owns the refund.

You need to retain export orders, procurement contracts, and logistics vouchers to prove that you are the actual export business entity bearing all export profits and losses. It is recommended that you have a professional commercial lawyer review the agreement terms before signing to delete all vague expressions unfavorable to your rights and clarify the division of rights and responsibilities.

The information on the "Domestic Consignor" and "Producer/Sales Unit" on the customs declaration form directly affects the determination of tax refund ownership. If the Producer/Sales Unit on the customs declaration form is filled with your name, then the refund subject is your party; if filled with the agent's name, the refund subject is the agent.

You need to verify all information on the customs declaration form before declaration to ensure the Producer/Sales Unit is filled with your correct name and unified social credit code, avoiding the agent filling in incorrect information leading to wrong refund ownership. If you find an error in the customs declaration information, you must apply to the customs to modify the declaration form before customs clearance. Modifying the declaration form after clearance requires providing many supporting materials and takes 15-30 working days, which will directly affect the progress of the tax refund declaration.

If your annual export volume exceeds 5 million USD, it is recommended that you apply for self-operated import and export rights and handle export tax refunds yourself. This can save agency service fees and give you full control over the progress and ownership of the refund. The process for applying for self-operated import and export rights has been simplified in 2026.

You only need to submit an application on the Ministry of Commerce's unified business system platform, and you can obtain the import and export right filing certificate within 3 working days. Subsequent customs declaration, foreign exchange settlement, and tax refund businesses can be handled by yourself or entrusted to professional service agencies, with a cost of only about one-third of the agency service fee.

You can calculate the cost-benefit based on your export scale. If the annual export volume exceeds 5 million USD, the comprehensive cost of handling export tax refunds yourself is 1.5-2 percentage points lower than using an agency company, saving hundreds of thousands to millions in costs annually.
