I am from a small and medium-sized foreign trade enterprise engaged in cross-border electronic accessories business. We recently received an order, and due to anti-dumping policies in the destination country, we need to adopt original entrepot trade: ship goods from China to Malaysia for transit, then replace containers and deliver to the EU.

I have never operated entrepot trade before and am completely confused now: I don't know how to prepare documents, worry about goods being detained during third-country transit, have no idea about tax and foreign exchange receipt/payment operations, and also wonder if there will be problems with cargo rights during transit. I consulted several agencies recently and got different answers: some said tax-inclusive service is available, while others said full declaration is mandatory.

I am afraid of falling into compliance pitfalls and being inspected, so I want to know the complete handling process and what risks need to be avoided. Can you provide me with a set of implementable operation solutions?

First, conduct pre-document review, and sort out the full set of documents in advance: customs declaration form, commercial invoice and packing list for domestic shipment, original factory certificate of origin of the transit country (corresponding to the qualification of the transit country),and container replacement certificate. The goods description,HS code, gross weight and volume on these documents must be completely consistent, any information inconsistency may trigger anti-dumping inspection by the customs of the destination country.

The connection of core nodes is divided into three steps: declare domestic export as general trade for exit, reissue a full set of local documents after container replacement is completed in the transit country, and finally conduct customs clearance at the destination country. For the transit link, you must confirm the qualification of the container replacement site at the transit port, and require the whole process to be photographed for evidence to avoid the situation that goods do not match the description.

For abnormal contingency plans,if the customs of the transit country conducts inspection, provide the full set of cargo right documents and transaction contracts as soon as possible to prove the authenticity of the entrepot trade,if the destination country questions the certificate of origin, you can contact a third-party institution in the transit country to supplement the certification and complete the inspection and processing quickly.

The final compliance implementation needs to meet three requirements: first, the foreign exchange receipt and payment path matches the entrepot trade path, and the capital flow corresponds to the goods flow, second, all documents are archived for at least 5 years to respond to subsequent customs and tax inspections, third, operations in the transit country must comply with local trade compliance requirements,do not reduce costs by forging documents, once verified, you will face high fines or even confiscation of goods. After the whole operation is completed, you also need to conduct a full-chain compliance review, sort out potential loopholes, and prepare for subsequent business.

In the customs declaration link of entrepot trade, you should focus on the price verification issue. If cargo right change occurs during the entrepot process, the declared price must meet the customs price verification requirements of the transit country and the destination country, so as to avoid being judged as under-declaration for tax evasion. If the domestic export is transferred out, you need to declare the exit according to the actual transaction price.

If there is a transit price increase, you need to keep the real transaction contract and payment voucher to respond to customs price verification disputes. Under the integrated customs clearance mode, the declaration data of all ports across the country will be shared online. Any declaration error will trigger cross-port early warning.

Once there is a situation of order rejection or pending account, you need to check the document information as soon as possible. If the information is wrong, directly delete the declaration and re-submit it. After completing the corresponding evidence chain, you can complete the customs clearance. The whole process must ensure that the documents and declaration data are completely consistent.

The core of logistics in the transit link of entrepot trade is cargo right control and route optimization. When selecting a transit port, you should give priority to ports with mature entrepot operation experience, apply for corresponding free storage period and demurrage reduction and exemption in advance to avoid additional wharf fees.

For container replacement operation, you must require the service provider to provide photos of the whole container replacement process, including the links of seal replacement and goods counting. The bill of lading needs to be endorsed and transferred, corresponding to the transfer node of cargo right.

If there is a situation of overbooking and container rolling, you need to reserve one week of buffer space in advance. For port change operation, you need to notify both the buyer and the seller in advance and reissue the bill of lading documents to avoid affecting the subsequent customs clearance process.

The tax handling of entrepot trade needs to be sorted out by links. For the domestic link, if the goods are only exported for transit and do not enter the domestic market for secondary sale, no value-added tax is required. If the transit country meets the VAT deferral conditions, you can enjoy the deferred tax policy to reduce capital occupation cost.

Entrepot business involving cross-border related transactions must meet the relevant requirements of BEPS, and the pricing shall not deviate from the fair market price, so as to avoid being judged as base erosion. If non-resident enterprises participate in the entrepot trade, you need to calculate the withholding tax of non-resident enterprises in advance, complete the withholding and payment, and do a good job in tax risk isolation to avoid implicating domestic entities in tax inspection.

Foreign exchange receipt and payment for entrepot trade must meet the compliance requirements of cross-border payment. SWIFT or CIPS can be used to complete RMB cross-border payment.

For receipts and payments through offshore accounts, a full set of transaction vouchers must be kept, corresponding to the goods flow information of each capital flow. When settling foreign exchange and balancing accounts, you need to ensure that the amount of foreign exchange received and paid matches the amount of the transaction contract.

If there is an exchange difference, you need to complete the financial declaration and filing, and do not balance accounts through third-party personal accounts, which will be judged as foreign exchange evasion. If RMB settlement is used, you can enjoy the exchange spread optimization of CIPS, reduce exchange costs, and also better meet domestic compliance requirements.

The contract terms of entrepot trade need to clarify the transfer node of cargo right. For letters of credit, you need to check whether there are soft clauses, such as unreasonable requirements requiring the provision of anti-dumping-free certificate of the destination country, and you need to modify the clauses in advance. If a guarantee needs to be issued for the transit link, you need to clarify the scope of responsibility of the guarantee to avoid unlimited joint and several liability.

In terms of intellectual property rights, if the goods carry a brand, you need to complete the intellectual property customs protection filing in advance, and the filings in both the transit country and the destination country must be complete, so as to avoid the goods being detained by the customs on the grounds of infringement. The force majeure clause should explicitly cover congestion at transit ports, inspection delays and other situations, so as to provide a guarantee for liability.

When entrepot goods are inspected at the transit port or the destination country, you first need to check the authenticity of the seal and confirm whether the seal number is consistent with that on the bill of lading. If the seal is damaged, you need to take photos for evidence as soon as possible and apply for re-inspection by the customs.

During machine inspection, you need to ensure that the declared information of the goods is consistent with the actual goods. For unpacking inspection, you need to cooperate with the customs to count the goods and provide the corresponding packing list and invoice.

If the customs requires sampling and identification, you need to provide the original factory product description and certification documents in time, follow up the progress of the test report. If you have objection to the report results, you can apply for reinspection within the specified time.

Entrepot trade goods are loaded and unloaded twice, so the packaging requirements are higher than those for direct voyage. You need to carry out moisture-proof and reinforcement treatment according to the properties of the goods. If they are dangerous goods, you need to use dangerous goods packaging that meets UN standards, complete the classification and identification of dangerous goods in advance, and translate the MSDS documents into the official languages of the transit country and the destination country to ensure that the documents meet local regulatory requirements.

The selection of buffer packaging materials should take into account the jolt during long-distance transportation to avoid damage to the goods during secondary loading and unloading. If the goods are electronic accessories, anti-static packaging treatment is required to provide good protection and reduce the risk of cargo damage.

The export tax refund handling of entrepot trade needs to meet the requirement of consistency of four flows, that is, the goods flow, capital flow, invoice flow and contract flow are completely corresponding. If the goods are exported from China for transit and meet the tax refund conditions, you need to complete the document filing in advance and complete the declaration within the specified time.

When responding to tax inquiry letters, you need to provide a full set of entrepot trade documents, including transit container replacement certificate, destination country customs clearance documents and foreign exchange receipt vouchers. Do not have capital reflux, which will be judged as false trade, directly cancel the tax refund qualification, and you will also face fines. You need to do a good job of verification during pre-declaration, and check all information is correct before formal declaration.

The supply chain structure of entrepot trade needs to be adjusted according to the business scale. For those engaged in long-term entrepot business, fixed cooperative warehouses and container replacement sites can be set up in the transit country to implement inventory linkage strategies and reduce the operation cost of each transit. The selection of trade terms should match the transfer node of cargo right.

If the seller is responsible for delivery to the transit port, FOB transit port can be selected. If the seller is responsible for the whole transportation to the destination port, CIF destination port can be selected. Adjusting trade terms can reduce logistics and insurance costs. You can build a cost actuarial model to calculate the cost difference of different transit routes, select the most cost-effective solution, and optimize the overall trade structure.
