We are a small and medium-sized foreign trade company mainly engaged in 3C electronic products. We plan to expand the Southeast Asian market recently, and intend to deliver goods to Indonesia via Hong Kong transshipment. However, Indonesian Customs imposes strict origin requirements on transshipment trade, and our supplier is based in South Korea.

We are worried that the cargo ownership may be intercepted by intermediaries during transfer, which will cause customs clearance delays. Currently we are stuck at two core issues: "whether the transshipment trade is compliant" and "how to secure full-process cargo ownership", and hope to get advice on specific operation details and key risk control points.

Transshipment trade is fully permitted within the compliance framework, but a full-link solution targeting rules of origin of the target market (such as Indonesia),policies of the transit country and full-process cargo ownership control shall be formulated. Taking Indonesia-bound transshipment as an example, current operations shall focus on the following key links:

Pre-document audit is the core precondition: It must be ensured that the Certificate of Origin (CO or FORM F) issued by the transit country (such as Hong Kong) forms a logical closed loop with the commercial invoice of the South Korean exporter. Indonesian Customs will verify the validity of the "non-processing certificate" in the "Non-Origin Country Declaration" to avoid cargo detention caused by wrong "substantial transformation" determination. Meanwhile, the full set of through bill of lading (combined sea and land transport B/L) shall be submitted, clearly marked with "Hong Kong transit,no container unpacking, direct shipment to Indonesia".

Transit port selection shall match compliance requirements: Singapore Port or Port Klang in Malaysia is the preferred transit node, whose "Free Trade Zone" attribute can naturally avoid VAT deferral risks. If Hong Kong transit is mandatory, the "offshore warehouse" shall be filed with Hong Kong Customs in advance,to ensure that the cargo will not enter the local Hong Kong market for sale after arrival, and directly proceed with "document replacement operation" (the bill of lading shall be endorsed and transferred to the final Indonesian buyer).

Cargo ownership control shall be embedded in legal documents: The tripartite cargo ownership transfer agreement shall be signed to clarify that the transit agent only acts as a service provider, the "irrevocable bill of lading" shall be retained throughout the process and notarized, and "war risk + all risks" shall be purchased at the transit port to cover potential cargo damage during sea transportation. Special attention: Indonesia has strict foreign exchange control on "offshore entrepot trade". For large-value transactions,it is recommended to complete RMB settlement via the CIPS system to avoid fund freezing caused by SWIFT message delay.

Contingency plans for abnormal scenarios shall be prepared in advance: In case of port demurrage (for example,Indonesian Customs detains the cargo due to mismatched origin certificate data),the "emergency exemption procedure" shall be initiated, submitting the "force majeure declaration" and supplementary supporting documents from the South Korean exporter to the Indonesian Chamber of Commerce and Industry, and coordinating with the shipping company to apply for "demurrage exemption" (the maximum valid period is 14 days). For sensitive products such as high value-added chips,"pre-inspection machine screening" shall be completed before customs inspection at the transit country,to avoid manual container unpacking triggered by "parameter mismatch".

Key indicators for compliance implementation: The transit cost shall be controlled within 3.5% of the cargo value (including tariff, warehousing and insurance),and the final buyer shall complete foreign exchange filing 3 working days before the cargo arrives at the port. If the VAT deferral mode is adopted, the "departure tax rebate certificate" shall be applied for in advance,to ensure that the value-added tax (VAT) of the transit country is deductible at the time of final export.

Chief Customs Declaration Expert: High-incidence areas of price assessment disputes in transshipment trade focus on "the markup ratio of transit agents". Indonesian Customs will check whether the price difference between the invoice issued by the transit agent and the original importer's invoice exceeds 5%. It is recommended to attach a "cost breakdown list" (including sea freight, insurance and commission) during declaration. Note that "second declaration" (transit port change) may trigger system alert, so the "Customs Declaration Form Modification Application" shall be submitted 48 hours in advance. Senior Logistics Expert: Bill of lading endorsement shall adopt the dual endorsement form of "blank endorsement + special endorsement", clearly marked with "only for port of destination delivery". During the rainy season in Southeast Asia, the land transport timeliness from Malaysia to Indonesia shall be focused on, and it is recommended to adopt "sea-rail combined transport" (sea shipment to Jakarta Port + land transport to Surabaya) to shorten the free storage period to within 7 days. Tax Advisor: If the transit country is Hong Kong, the "offshore income tax exemption" rule is applicable, but the "Non-resident Enterprise Income Tax Exemption Letter" issued by the Hong Kong Inland Revenue Department shall be submitted.

For the South Korea-Hong Kong-Indonesia trade chain, it shall be ensured that the "transshipment income" does not trigger BEPS risks, and it is recommended to complete "contemporaneous documentation filing" with the Indonesian Taxation Authority to evade related transaction review. Trade Compliance Expert: The "50A/59A" fields in SWIFT messages shall be completely consistent with the final contract. When making CIPS payment, mark "transshipment trade + name of transit agent" to avoid being misjudged as "money laundering transaction". Indonesia requires that foreign exchange collection of transshipment trade be declared within 15 days, and overdue declaration will be recorded in the "foreign exchange blacklist". Foreign Trade Legal Expert: Cargo ownership transfer shall complete "bill of lading notarization + lawyer witness". Especially in Indonesia, if the intermediary refuses to release the document on the grounds of "cargo ownership certificate", arbitration can be initiated in accordance with Article 50 of the United Nations Convention on Contracts for the International Sale of Goods, and it is recommended to designate the Singapore International Arbitration Centre as the jurisdiction body in advance. On-site Inspection Expert: During Indonesian Customs inspection, mark "cargo remains unpacked, origin certificate is authentic and valid" on the inspection note. If the customs requires sampling and testing, arrange a third-party testing agency such as SGS to be present simultaneously, to ensure the test result is consistent with the declared parameters.。
