I am from a small and medium-sized foreign trade enterprise in the Yangtze River Delta that exports light industrial products. Recently, we received a transit trade order where the buyer requires us to issue an order bill of lading for title transfer in the transit country before shipping to the final destination.
I have never used order bills of lading for transit trade before. After checking many sources, opinions vary: some say direct endorsement transfer is allowed, while others warn that customs may deem title unclear and even detain the goods. The shipping schedule is already fixed, and we will declare at the port next week.
I am extremely worried about incurring huge port demurrage fees due to non-compliant operations and failing to receive the balance payment due to title transfer issues. I want to know whether order bills of lading can be used for transit trade and what requirements must be met for compliant operations.

A common industry misunderstanding is that order bills of lading can complete title transfer in transit trade directly through endorsement without prior filing with regulators or adjusting the endorsement type to match the transaction structure. This practice is the main reason many small and medium-sized foreign trade enterprises encounter problems in transit trade.
Without prior compliance adjustments, the most direct chain reaction is that the transit port customs will determine unclear title ownership, directly detain the goods, leading to high container detention and port demurrage fees ranging from thousands of yuan per day. Long-term detention may result in the port treating the goods as unclaimed and auctioning them off. Meanwhile, domestic foreign exchange authorities will suspend the enterprise's cross-border settlement authority due to mismatches between goods flow and capital flow, affecting subsequent balance payment collection. In severe cases,it will leave a negative record in the enterprise's compliance file, impacting all future cross-border business operations.
The core methods for physical risk isolation are: first, confirm the endorsement type of the order bill of lading in advance. Special endorsement or blank endorsement must strictly match the transaction structure of the transit trade—blank endorsement is only applicable to multi-layer resale transit businesses, while special endorsement requires clear final consignee information. Second, file for transit trade with domestic customs in advance and enter the bill of lading information and upstream/downstream transaction contracts into the regulatory system.
Exclusive loss prevention tips: if non-compliant operations are found after shipment, contact the carrier immediately to modify the bill of lading endorsement content. At the same time, supplement and submit upstream/downstream transit trade contracts, commercial invoices, and capital flow records to the regulatory authorities for explanation. Corrections can be completed in as fast as 3 working days to avoid more severe compliance penalties. After the operation is completed, all transaction-related documents must be retained for at least 5 years for future reference, meeting the latest 2026 cross-border trade document retention regulatory requirements to avoid problems during subsequent inspections.

When declaring customs for transit trade using order bills of lading, the "Trade Mode" column on the customs declaration form must be accurately marked as "Transit Goods" instead of declaring as general trade. Incorrect declaration will lead to abnormal price assessment and system account suspension, requiring cancellation and re-declaration later, which not only delays the shipping schedule but also affects the enterprise's customs declaration credit rating.
For order bills of lading, two upstream and downstream transaction contracts must be provided during the price assessment process to prove the authenticity of the goods resale and avoid price assessment disputes from customs due to ambiguous price declarations. If a declaration error has occurred, promptly organize the bill of lading endorsement records and resale communication documents, apply to customs for cancellation and re-declaration, cooperate with the customs clearance integration verification process, and complete the logical closure as soon as possible to eliminate abnormal records.

The core advantage of using order bills of lading for transit trade is that title transfer can be completed through endorsement without changing the bill of lading, saving the cost of logistics port change and bill of lading replacement. However, standardized endorsement operations must be noted. For multi-hand resale transit trade, each endorsement must be continuous and clear without breaks; otherwise, the carrier will not release the goods, and the consignee at the destination port cannot pick up the goods.
During operation, confirm the endorsement format requirements with the carrier in advance. Some carriers require the endorsement to be stamped with the shipper's original official seal, and electronic endorsements need to be filed in the carrier's system in advance to avoid additional container detention fees due to non-standard endorsements. You can also apply to the carrier in advance for an extension of the free storage period for transit goods to reduce port demurrage costs.

When using order bills of lading for transit trade, tax aspects need to pay attention to the tax determination of the title transfer location. If the endorsement transfer occurs outside the transit country, there is no need to pay VAT in the transit country; only relevant taxes need to be paid according to the actual transaction location. If customs clearance is required in the transit country before resale, the VAT deferral policy can be used to delay VAT payment and optimize capital occupation costs.
Note that the pricing of cross-border related transactions must comply with BEPS requirements, and the transfer price cannot deviate from the market fair price; otherwise, the tax authority will identify it as base erosion and profit shifting, triggering a tax audit. Before operation, sort out the tax structure of the entire transaction, do a good job of risk isolation, and avoid double taxation.

When conducting foreign exchange collection and payment for transit trade using order bills of lading, ensure that the collection and payment path is consistent with the bill of lading endorsement transfer path, and all capital receipts and payments must correspond to real transaction backgrounds. In 2026, the CIPS RMB cross-border payment system has covered most transit countries for transit trade.
Using RMB settlement can reduce exchange rate difference losses. It is also necessary to timely declare transit trade revenue and expenditure information in the foreign exchange bureau system and upload scanned copies of bill of lading endorsements and transaction contracts according to foreign exchange management requirements.
If using an offshore account for collection and payment, ensure the compliance of the offshore account, complete the annual stock equity declaration on time to avoid account freezing affecting capital turnover. The settlement and account balancing link needs to match the corresponding bill of lading information to ensure the consistency of three flows (goods flow, capital flow, and document flow).

For title transfer in transit trade using order bills of lading, the effective time of endorsement transfer and the division of title responsibilities among all parties must be clearly specified in the transit trade contract to avoid title ownership disputes. If the buyer fails to pay on time, the holder of the order bill of lading still retains the title and can dispose of the goods according to law.
Pay attention to the requirements for order bills of lading in letter of credit terms to avoid soft clauses, such as requiring the bill of lading to be specially endorsed to the issuing bank. Confirm in advance whether the terms are in line with the transaction structure; if necessary, issue a bank guarantee to protect the rights and interests during the title transfer process. All endorsement documents need to retain scanned copies of the original as legal evidence in case of disputes.

Transit trade is not within the scope of export tax rebates, but document filing is still required to meet the verification requirements of tax authorities. When using order bills of lading for transit trade, the original bill of lading, endorsement records, upstream/downstream transaction contracts, and foreign exchange collection receipts must be retained together to ensure the consistency of four flows: goods flow, capital flow, invoice flow, and contract flow.
If the tax authority initiates a verification letter, provide all relevant materials in a timely manner to explain the authenticity of the transit trade to avoid being identified as capital repatriation due to incomplete documents, which may affect the tax rebate process of other export businesses of the enterprise. Foreign exchange collection verification for transit trade must be completed on time and cannot be overdue across quarters; otherwise, it will affect the enterprise's tax rebate credit rating.

Order bills of lading are suitable for short-cycle multi-hand resale transit trade, which can simplify the title transfer process and reduce supply chain communication costs. For long-term stable transit trade businesses, order bills of lading can be used to optimize the supply chain structure, adjust Incoterms clauses, and reduce the shipper's logistics responsibilities.
Adjust the bill of lading type according to the resale frequency of the transit trade: if there is only one resale, choose a named order bill of lading; if it is multi-layer resale, a blank order bill of lading is more efficient. You can also establish a dynamic cost model, adjust transaction time according to exchange rate differences and tax differences, optimize the overall profit level, and adapt to the 2026 cross-border trade regulatory requirements.
