Whether an enterprise entrusting an overseas freight forwarder to carry out cross-border transportation falls within the scope of import and export business

Your China Import Partner
Reliable sourcing and import agency services.
I am the person in charge of a cross-border e-commerce export enterprise, mainly shipping small commodities from China to Europe and North America. I have just got access to overseas freight forwarding services recently. I used to find freight forwarders on my own, and my current partner is a local overseas freight forwarding company.
I am a bit confused: this overseas freight forwarder arranges the whole transportation from my domestic warehouse to the overseas warehouse, and also assists with customs clearance. Does this count as our company's import and export business? If it does, do we need to complete additional import and export filing and apply for foreign exchange tax rebates?
I also heard from peers that if it is counted as import and export business, there will be additional tax risks. I am very hesitant now and do not know how to handle this, for fear of violating regulations accidentally. Could you help me sort out this problem and the corresponding key points of compliant operation?

First, clarify the core conclusion: Overseas freight forwarding itself does not fall into the category of direct import and export business. It only provides professional agency services for cross-border cargo transportation, covering links such as domestic pickup, international transportation, overseas customs clearance and warehousing connection. However, this service is associated with compliance nodes of the entire import and export process throughout the whole cycle, and non-standard operations will still trigger compliance risks.
Preliminary document review is the starting point of compliance: you first need to verify core documents such as the entrusting party's import and export operation qualification, certificate of origin, commercial invoice, packing list, etc。to ensure clear ownership of cargo rights, and avoid unqualified agency or document inconsistency. For cross-border e-commerce goods, you also need to check the sales records on the e-commerce platform simultaneously to ensure the transaction chain is traceable.
Rights and responsibility boundaries need to be clarified at the connection of core nodes: overseas freight forwarders only act as third-party service providers,do not own cargo rights, and do not directly participate in the buying and selling transactions of goods. In operation,it is necessary to strictly distinguish between agency services and self-operated import and export. For example, when endorsing the bill of lading, you need to mark "TO ORDER OF SHIPPER" to clarify the cargo right of the entrusting party. At the same time, customs clearance responsibility, cost bearing and compliance obligations should be clearly defined in the agency agreement.
Abnormal contingency plans need to be deployed in advance: if you encounter problems such as customs inspection, port detention, document inconsistency, you need to immediately coordinate with the domestic customs declaration team to adjust the declaration information, and apply for free storage period or detention fee reduction. For high-risk goods, you also need to prepare documents such as UN packaging certificate,MSDS and other supporting documents in advance to avoid customs seizure caused by non-compliant packaging problems.
The final compliance implementation needs to meet the Four Flows Consistency requirement: that is,the cargo right flow, contract flow, invoice flow, and foreign exchange receipt and payment flow are fully matched. At the same time,a full set of documents such as agency agreements, bills of lading, customs declaration forms need to be retained for subsequent tax verification and compliance audit. If foreign exchange settlement is involved, the receipt and payment of foreign exchange shall be completed through compliant channels to avoid risks such as outstanding accounts or exchange difference losses.

It should be clarified that the core of import and export business is the cross-border transfer of cargo ownership. Overseas freight forwarders only provide logistics and customs clearance agency services, and do not involve cargo right transfer. In the customs declaration link, the freight forwarder shall declare customs in the name of the entrusting party, and the declaration subject is still the entrusting party, not the freight forwarder itself.
If the entrusting party has no import and export qualification, the freight forwarder can assist in handling the temporary customs declaration qualification, but this still does not change the business attribute. In accordance with the latest 2026 integrated customs declaration rules, freight forwarders need to connect with the national customs system simultaneously to ensure that the declaration data is consistent with the filing information of domestic enterprises.
If there is a declaration error, the declaration shall be deleted and resubmitted within 24 hours to avoid late fees. At the same time, it should be noted that overseas customs clearance in some countries requires freight forwarders to have local registration qualification, which falls under the category of logistics services, not import and export business itself.

The service scope of overseas freight forwarders usually covers door-to-door transportation, including domestic pickup, sea/air freight booking, destination port customs clearance, overseas delivery and other links, but these are all part of the logistics chain and do not constitute the core elements of import and export business. It should be noted that if the freight forwarder also provides value-added services such as payment collection on behalf of customers and tax advance payment, it is necessary to clarify the boundary with goods trading to avoid being identified as cargo right transfer.
In the 2026 cross-border logistics market, more and more freight forwarders provide VAT deferral agency services, which fall under the category of tax agency services and need to be separated from logistics services and signed with separate agreements. In addition, freight forwarders need to strictly control the endorsement and transfer of bills of lading to ensure that the cargo right always belongs to the entrusting party and avoid cargo right disputes.

Overseas freight forwarding services themselves do not incur import and export taxes and duties, but the customs clearance link involved will incur import VAT, customs duties and other expenses. If the freight forwarder advances such expenses, it shall issue a separate service fee invoice, rather than settle it together with the payment for goods. Under the 2026 cross-border tax rules, the compliance requirements for VAT deferral are stricter, and freight forwarders need to provide complete customs clearance documents to ensure that the entrusting party can normally deduct input tax.
If the entrusting party declares the freight forwarder service fee together with the payment for goods, it will lead to abnormal tax declaration and trigger tax letter verification. At the same time, it should be noted that the service fee of the freight forwarder shall comply with the arm's length principle to avoid related party transaction pricing risks.

The core of import and export business is cross-border foreign exchange receipt and payment and cargo ownership transfer. Overseas freight forwarders only provide logistics agency services and do not involve foreign exchange receipt and payment operations. However, freight forwarders need to assist the entrusting party in completing the compliant declaration of foreign exchange settlement.
For example, after receiving the payment from overseas buyers, they shall transfer it to domestic enterprises in time and provide the foreign exchange receipt certificate. After the full implementation of the CIPS system in 2026, freight forwarders need to complete fee settlement through compliant RMB cross-border payment channels to avoid compliance risks caused by the use of offshore accounts. At the same time, it should be noted that the service fee of the freight forwarder shall be declared separately from the goods transaction to avoid being recognized as part of the goods price and affecting the export tax rebate.

It is necessary to clarify the legal boundary between overseas freight forwarding and import and export business. What the entrusting party signs with the freight forwarder is a logistics service agreement, not a goods sales contract.
If the freight forwarder causes cargo damage, delay and other problems during the service process, compensation shall be made in accordance with the logistics service agreement, rather than handled in accordance with the terms of the goods sales contract. Under the 2026 international trade rules, LOI is more widely used.
If the freight forwarder needs to provide a customs clearance guarantee, the validity period and responsibility scope of the guarantee shall be clearly defined to avoid unlimited joint and several liability. At the same time, it should be noted that the qualification of the freight forwarder shall meet the legal requirements of the destination country, otherwise it may lead to customs clearance failure.

In the overseas customs clearance link, the customs usually inspects the documents submitted by the freight forwarder. If the documents are inconsistent with the actual goods, it will lead to customs seizure.
The freight forwarder shall prepare the packing list, commercial invoice, certificate of origin and other documents of the goods in advance to ensure consistency with the declaration information. Under the 2026 customs inspection rules, the machine inspection pass rate has increased compared with previous years, but some goods still need manual unpacking inspection.
The freight forwarder shall assist the entrusting party in cooperating with customs inspection, and provide necessary test reports or explanatory documents to avoid port detention fees caused by inspection delay. At the same time, attention should be paid to the authenticity identification of seals to ensure that the goods have not been tampered with during transportation.

Although overseas freight forwarding does not belong to import and export business, the packaging compliance of goods will affect customs clearance and transportation safety. For special goods such as fragile goods and dangerous goods, the freight forwarder shall assist the entrusting party in completing compliant packaging, such as using UN certified packaging materials and preparing MSDS documents.
Under the 2026 international transportation rules, the classification and identification requirements for dangerous goods are stricter, and freight forwarders need to confirm the dangerous goods grade in advance to ensure compliance with the transportation requirements of the destination country. At the same time, attention should be paid to the environmental protection of packaging materials to avoid return of goods caused by non-compliance of packaging with the environmental protection standards of the destination country.

The core of export tax rebate is that the goods actually leave the country and the foreign exchange is received. The service of overseas freight forwarder is only the logistics link, which does not affect the declaration of export tax rebate. However, the freight forwarder shall assist the entrusting party in providing complete transportation documents, such as bills of lading, manifest, etc., as proof of the departure of the goods.
Under the 2026 export tax rebate rules, the requirement of Four Flows Consistency is stricter, and the entrusting party shall ensure that the service fee invoice of the freight forwarder is declared separately from the invoice of goods transaction, so as to avoid being identified as part of the goods price by the tax authority. At the same time, it should be noted that the service fee of the freight forwarder shall be settled before the declaration of export tax rebate to avoid delayed tax rebate caused by outstanding accounts.

When selecting overseas freight forwarders, enterprises need to clarify the boundary between their own import and export business needs and logistics service needs. If enterprises only need logistics services, they can choose pure freight forwarders; if enterprises need one-stop import and export services, they can choose freight forwarders with import and export qualifications. In the 2026 cross-border supply chain market, more and more enterprises choose to separate logistics from import and export compliance business to reduce costs and risks.
At the same time, it should be noted that the service scope of the freight forwarder shall match the trade terms of the enterprise. For example, under FOB terms, the freight forwarder shall assist the entrusting party in completing domestic customs declaration and booking, while under CIF terms, the freight forwarder shall be responsible for the whole transportation and customs clearance.
