I am engaged in re-export trade of light industrial products in the Pearl River Delta. Recently, I took a re-export order to Southeast Asia. Previously, I always asked peers to handle the bill of lading generation, but this time I want to do it myself.
After almost a week of trying, either the freight forwarder says the format doesn't meet re-export requirements, or the bank says the bill of lading information doesn't match the foreign exchange collection and payment filing. Yesterday, customs issued an alert about suspicious information, and the goods were almost detained. I was so anxious that I couldn't sleep all night.
I don't understand the difference between generating re-export trade bills of lading and general import/export ones. Which information must be included? How to add endorsements for cargo ownership transfer compliantly? Can you explain the specific operations clearly and the pitfalls to avoid?

Re-export trade bill of lading generation is divided into two types: ocean bill of lading and multimodal transport bill of lading. Compliance generation of the entire process starts with pre-document review. The first step is to review the re-export trade contract and cargo ownership transfer agreement between the buyer and seller, and confirm the way the consignee is marked. For third-party re-export,the consignee is usually marked as "to order" instead of directly writing the final buyer,to avoid failure in smooth cargo ownership transfer.
In the pre-review stage,it is necessary to confirm the completeness of the three ports: port of shipment, transshipment port, and port of destination. The transshipment port information cannot be omitted. Many practitioners mistakenly delete the transshipment port, leading to customs identifying it as direct import/export,directly triggering compliance alerts, and affecting subsequent customs clearance and foreign exchange collection.
In terms of core node connection, when booking space, you need to inform the freight forwarder in advance that it is re-export trade and request a neutral bill of lading, which means not showing relevant information of the original exporting country's exporter to meet the origin operation needs of re-export trade. Bill of lading endorsement should be operated in the order of cargo ownership transfer: the first endorser is the shipper issued by the original carrier, the second endorser is the re-export trader, and then it flows to the final buyer in sequence.
Two alternative plans should be set in advance for exception handling: if the freight forwarder cannot issue a neutral bill of lading, adjustments can be made through endorsement modification,if there is an error in the bill of lading information, apply for amendment within 72 hours after the ship departs to avoid subsequent regulatory issues caused by exceeding the amendment deadline.
In the final compliance implementation stage, after generating the bill of lading, check the consistency of the bill of lading information with the re-export contract and foreign exchange collection and payment filing information. Confirm that the cargo ownership terms are clear, the transshipment port is correctly marked, and the endorsement's continuous seal is complete. Ensure compliance with the requirements of customs, foreign exchange, and banks to avoid subsequent abnormal alerts.

After generating the re-export trade bill of lading, customs valuation will focus on checking the transshipment port stay information. Some re-export trades require the goods to complete a substantial stay at the transshipment port. If the bill of lading does not mark the number of days of stay at the transshipment port, it will trigger customs valuation doubts, be identified as not belonging to re-export trade, and require tax payment according to general trade. You need to ask the freight forwarder to mark the transshipment port stay time in the cargo description column of the bill of lading.
If the transshipment port is a bonded port area, add information about entering the bonded area for storage to ensure compliance with the re-export trade identification standards. In addition, the consignor and consignee information on the bill of lading must be completely consistent with the declaration information on the customs declaration form. If there is any inconsistency, adjust it by canceling and re-declaring in time to avoid abnormal system records and affecting the subsequent customs declaration credit level of the enterprise.

When generating a re-export trade bill of lading, cargo ownership control is the core. If a straight bill of lading is chosen, the cargo ownership directly belongs to the named consignee, and the re-export trader cannot control the cargo ownership or complete the endorsement transfer. Therefore, unless explicitly requested by the customer, an order bill of lading should be chosen to facilitate subsequent cargo ownership circulation. In addition, confirm whether the issuing entity of the bill of lading is a qualified shipping company or freight forwarder.
If it is a freight forwarder bill of lading, check the freight forwarder's NVOCC qualification to avoid the bill of lading issued without qualification not being recognized by the destination port customs, leading to failure to exchange the bill and pick up the goods. Also, pay attention to the endorsement position on the bill of lading: it must be endorsed sequentially in the blank space on the back of the bill of lading, and cannot cover the original bill of lading information, otherwise the endorsement will be invalid and affect cargo ownership transfer.

The information generated in the re-export trade bill of lading must be consistent with the cross-border foreign exchange collection and payment declaration information. The consignor and consignee names, cargo description, port of shipment, transshipment port, and port of destination information must completely match the SWIFT message and foreign exchange collection and payment declaration information. Otherwise, it will trigger the bank's compliance review, leading to refusal of settlement and inability to deposit funds.
If using CIPS for RMB cross-border payment, the bill of lading must also be uploaded to the RMB Cross-border Payment Information Management System for filing. Inconsistent information will be marked as abnormal by the system, affecting subsequent cross-border payment business. For cargo ownership transfer involved in re-export trade, the bill of lading should be retained as the core document. The bank requires a scanned copy of the original bill of lading during verification, so at least three scanned copies of the original should be retained after generation to avoid affecting settlement due to loss.

After generating the re-export trade bill of lading, if letter of credit (L/C) payment is involved, check whether the bill of lading information meets the L/C terms, especially the consignee marking, cargo description, and port information. If it does not meet the L/C requirements, the bank will judge it as a discrepancy and refuse payment.
If using a letter of guarantee to exchange the bill of lading, clearly specify the cargo ownership of the bill of lading in the guarantee to avoid subsequent cargo ownership disputes. The bill of lading for re-export trade is the core document of cargo ownership. After generation, the original should be properly kept.
If the bill of lading is telex-released, the telex release recipient should be clearly defined, and telex release can only be authorized after receiving full payment. Otherwise, there will be a risk of cargo ownership transfer without receiving payment, leading to irreparable losses.

Most re-export trades do not involve export tax rebates, but some indirect re-export trades involve export tax rebate operations. After generating the bill of lading, it should be used as the core material for document filing and must meet the verification requirements of consistency of four flows (flow of goods, flow of funds, flow of invoices, flow of contracts).
The consignor and consignee information on the bill of lading must be consistent with the VAT invoice, export contract, and foreign exchange collection voucher information. Otherwise, it will trigger a tax inquiry, leading to refusal of export tax rebate or even being identified as illegal tax rebate.
The bill of lading for re-export trade should retain a copy of the original for at least five years to meet the verification requirements of the tax authority. If the bill of lading is amended, retain both the original and amended bills of lading, and attach the amendment explanation issued by the freight forwarder to avoid being unable to provide supporting materials during verification and affecting the tax rebate progress.

The way of generating re-export trade bills of lading can be adjusted to match the supply chain structure. If a supply chain structure with multiple re-exports is adopted, each cargo ownership transfer requires a corresponding endorsement. The bill of lading can use multi-link endorsement without re-issuing the bill of lading, reducing logistics operation costs.
If it involves conversion of different trade terms, such as from FOB to CIF re-export, the freight marking on the bill of lading should be consistent with the trade term: under FOB, mark freight collect; under CIF, mark freight prepaid, to avoid conflict with the trade contract and trigger the buyer's refusal to pay. When generating re-export trade bills of lading, you can reserve space for information adjustment in advance to facilitate subsequent adjustments according to supply chain changes and reduce amendment costs.

When re-export goods are inspected at the transshipment port, the bill of lading is the core verification document. The seal number on the bill of lading must be completely consistent with the actual seal number of the goods.
If the wrong seal number is entered when generating the bill of lading, it will be judged as inconsistent between goods and documents, detained at the transshipment port, and incur high port and container detention fees. The number of packages, gross weight, and volume information on the bill of lading must be completely consistent with the actual goods.
If the information error exceeds 5%, it will trigger manual unpacking inspection, prolong the transshipment time, and affect the original delivery date. If the lead seal is damaged and replaced, timely request the freight forwarder to modify the seal number information on the bill of lading to ensure consistency between the bill of lading information and the actual situation, avoiding abnormal judgments during inspection.
