I am the head of a foreign trade enterprise specializing in entrepot trade, mainly undertaking business of shipping domestic goods to Europe via Southeast Asia transshipment. Recently, our company plans to purchase a batch of goods from domestic factories, first ship them to Port Klang, Malaysia for container replacement and transshipment, then send them to Hamburg, Germany.

Only simple container replacement is carried out throughout the process, no processing in third countries. Previously, the freight forwarder told us that entrepot trade cannot apply for export tax refund, but the company's finance department said that as long as the documents are complete, it meets the refund requirements. These two statements have confused me very much.

Now this batch of goods is about to be shipped. We are worried that the tax refund issue will delay capital turnover, and also afraid that non-compliant operations will trigger tax audits. We want to clarify whether entrepot trade can apply for tax refund at all, what specific conditions need to be met, what the complete process is, and what the common operational pitfalls are.

China's 2026 cross-border trade tax refund policy has clarified that eligible entrepot trade can apply for export tax refund. The core premise is that the goods have not undergone substantial processing in the territory or the transshipment country, and the "four flows consistency" (full matching of contracts, cargo rights, funds and documents) is realized. Combined with your business scenario, the operation key points can be disassembled from the following links.

The first is the pre-document review link. You need to prepare four types of core materials: procurement contracts with domestic factories,full-process sea waybills (which need to reflect the container replacement record at Port Klang,Malaysia),container replacement warehouse receipts issued by the transshipment port yard, and foreign exchange receipt vouchers from buyers in the final destination country. Among them, the warehouse receipt and on-site photos of container replacement at the transshipment port are the core basis for the review of customs and tax authorities. It is necessary to ensure that the container replacement time and container number fully correspond to the bill of lading information,so as to avoid being identified as domestic direct shipment disguised as entrepot trade.

The second is the connection of core nodes. During the process of goods being shipped from China to the transshipment port and then to Hamburg,Germany,it is necessary to ensure that each segment of cargo right transfer has written proof: such as the container replacement agreement signed with the transshipment port freight forwarder, and the seal replacement record of the yard. At the same time, foreign exchange must be directly remitted to the domestic corporate account by the buyer in the final destination country, and shall not be collected or paid through the offshore account of the transshipment country, otherwise it will be identified as a related party transaction by the tax authority, triggering the risk of letter verification.

The last part is contingency plan for abnormalities and compliance implementation: if you receive a letter verification from customs or tax authorities, you need to provide supplementary materials such as container replacement videos, freight forwarder certificates, and goods storage records at the transshipment port within 7 working days,if documents are found missing, you need to complete them before the deadline of the declaration period, otherwise the tax refund qualification will be suspended. When declaring, you need to fill in "Entrepot Trade" in the trade mode column of the customs declaration form, and note the transshipment port information. At the same time, all documents shall be retained for at least 3 years for verification.

It should be noted that entrepot trade tax refund does not enjoy the VAT deduction policy for domestic production links, and only refunds relevant taxes and fees in the export link. If the goods have undergone non-substantial processing such as packaging and sorting in the transshipment country,a processing certificate from the third country is required, otherwise it will be judged as not meeting the tax refund conditions.

The filling of the customs declaration form for entrepot trade shall strictly correspond to the cargo right transfer path. The trade mode column must select "Entrepot Trade", and shall not be mistakenly filled as "General Trade" or "Other". In the customs valuation link, you need to provide complete proof of cargo right transfer, including domestic procurement contracts, full-process sea waybills, and transshipment port container replacement records, to prove that the goods have not generated substantial value-added in the territory. If the customs questions the authenticity of the entrepot trade, you should promptly contact the transshipment port freight forwarder to obtain the warehouse receipt certificate issued by the yard, and if necessary, provide the surveillance video of container replacement and seal replacement records as evidence.

For entrepot trade declared across ports, you shall complete the filing for National Customs Clearance Integration in advance to ensure that the document information of each port is completely consistent, so as to avoid cargo detention or declaration rejection caused by data discrepancies. In addition, it should be noted that the consignor and consignee on the customs declaration form must be consistent with the foreign exchange receipt subject. If a third-party agent is used for declaration, a formal agency agreement must be provided, otherwise it will be identified as document discrepancy. If you need to delete the original declaration and re-submit, you shall submit a correction application within the specified time limit to avoid affecting the progress of tax refund declaration.

For the selection of logistics routes for entrepot trade, priority should be given to transshipment ports with formal yard services, such as Port Klang, Malaysia and Singapore Port, to ensure that container replacement operations can be certified by third-party institutions. The bill of lading shall be endorsed in nominal terms to clarify that the cargo right is transferred to the final buyer at the transshipment port, so as to avoid cargo right disputes. At the same time, a detailed container replacement agreement shall be signed with the transshipment port freight forwarder, clarifying information such as container replacement time, container number, seal number, and goods storage location, and the container replacement warehouse receipt issued by the yard shall be retained as the core certificate.

During the transportation of goods, the location of containers shall be tracked in real time through the logistics system to ensure that the container replacement operation is carried out within the scope of customs supervision, so as to avoid being identified as false entrepot trade. In case of overbooking, port change or container rolling, the transportation plan shall be adjusted in time, and the document information such as bill of lading and dock receipt shall be updated to ensure full consistency with the customs declaration data. In addition, the free storage period and free container period of the transshipment port shall be confirmed in advance to avoid additional port detention and container detention fees, which will affect the overall capital turnover.

The tax refund for entrepot trade shall comply with international tax compliance requirements to avoid triggering BEPS (Base Erosion and Profit Shifting) risks. First, it is necessary to ensure that the transshipment country does not levy substantial value-added tax on the goods. If the transshipment country levies VAT, you shall apply for VAT deferral or refund in advance to avoid double taxation.

Second, if the entrepot trade involves related party intermediaries, the pricing of goods shall be determined in accordance with the arm's length principle, and comparable uncontrolled price certificates shall be provided, otherwise the taxable income will be adjusted by the tax authority, affecting the tax refund qualification. In addition, the foreign exchange collection and payment process shall be strictly standardized. Funds shall not be transferred through offshore accounts, and foreign exchange collection shall be completed through formal CIPS or SWIFT channels to ensure that the capital flow is fully consistent with the cargo flow and document flow.

If it involves the determination of tax resident status in a third country, the filing shall be completed in advance to avoid double taxation. At the same time, the entrepot trade tax refund only refunds the value-added tax in the domestic link, and does not enjoy the input deduction policy for the domestic production link. Tax cost calculation shall be done in advance to optimize the overall revenue.

The foreign exchange collection and payment of entrepot trade shall strictly comply with the latest 2026 cross-border compliance requirements. First, foreign exchange must be directly remitted to the domestic corporate account by the buyer in the final destination country, and shall not be transferred through the transshipment country or third-party related accounts, otherwise it will be identified as false trade by the foreign exchange administration department, affecting the tax refund qualification. Second, priority shall be given to using the CIPS RMB Cross-border Payment System or the compliant SWIFT message system to complete foreign exchange collection and payment, to ensure that each transaction has complete message records and fund flow certificates.

If foreign exchange settlement is involved, complete trade documents, including procurement contracts, sea waybills and customs declaration forms, shall be provided to ensure that the settlement funds are fully consistent with the trade background. In addition, the reconciliation of foreign exchange collection and payment shall be properly handled, and each foreign exchange receipt corresponds to the corresponding export business, so as to avoid outstanding accounts or capital return. In case of foreign exchange control or message abnormality, you shall promptly contact the foreign exchange administration department or the cooperative bank to obtain a compliant solution to avoid penalties. At the same time, self-inspection of foreign exchange collection and payment records shall be carried out regularly to ensure compliance with the latest cross-border payment compliance standards.

The contract for entrepot trade shall clarify core clauses such as cargo right transfer node, container replacement responsibility, and document requirements, so as to avoid legal disputes affecting the progress of tax refund. First, the domestic procurement contract shall clarify the transshipment requirements for the goods, as well as the entrepot-related documents to be provided by the supplier, such as container replacement certificate, dock receipt, etc. Second, the transportation contract signed with the transshipment port freight forwarder shall clarify the specific process and responsibility division of the container replacement operation, to ensure that the container replacement operation meets the audit standards of customs and tax authorities. In addition, a cargo right transfer clause shall be added to the final sales contract to clarify that the goods are transferred to the final buyer at the transshipment port, so as to avoid disputes over the ownership of cargo rights.

If third-party agency declaration business is involved, a formal agency agreement shall be signed to clarify the rights and obligations of both parties, as well as the time limit requirements for document submission. At the same time, a formal Letter of Indemnity (LOI) can be used as a guarantee for the buyer's payment to ensure the safety of foreign exchange collection. In case of force majeure events, a fallback clause shall be added to the contract to clarify the responsibility division of both parties, so as to avoid overdue tax refund declaration caused by delays. In addition, compliance review of all contract terms shall be carried out to ensure compliance with the latest 2026 international trade legal requirements.

The tax refund audit for entrepot trade shall focus on verifying the "four flows consistency" (full matching of contracts, cargo rights, funds and documents), which is the core standard for the review of tax authorities. First, complete document filing shall be done well, and materials such as domestic procurement contracts, full-process sea waybills, transshipment port container replacement warehouse receipts, foreign exchange receipts, and customs declaration forms shall be retained for at least 3 years for the tax authorities to verify at any time. Second, it is necessary to ensure that the document information of each tax refund declaration fully corresponds, including the container number, goods quantity, amount, transshipment port information, etc. in the customs declaration form, contract and foreign exchange receipt voucher. Any discrepancy will trigger the risk of letter verification.

If you receive a letter verification from the tax authority, you shall provide complete supplementary materials within 7 working days, including the surveillance video of container replacement, the certificate issued by the freight forwarder, and the goods storage record at the transshipment port, to ensure the approval of the review. In addition, self-inspection of tax refund declaration data shall be carried out regularly to avoid declaration errors or document discrepancies. If documents are found missing, they shall be completed before the deadline of the declaration period, otherwise the tax refund qualification will be suspended. At the same time, it should be kept in mind that the tax refund declaration time limit for entrepot trade is within 90 days after the goods are declared for export. No application for tax refund can be made after the deadline, so the declaration plan shall be made in advance.
