I am engaged in cross-border electronic component trade, and plan to expand transit trade business recently. However, I have always had a vague understanding of the concept of "transit trade partner".
Last week, I discussed cooperation with a freight forwarder based in Singapore, who claimed to help me handle warehousing and logistics at the transit port, but I am not sure if they count as a transit trade partner. Besides, I heard that a third-party institution is required to complete the transfer of goods ownership in transit trade, is this institution also a partner?
I have no prior experience in transit trade, and I am worried that choosing the wrong partner will lead to goods being detained by customs or problems in foreign exchange settlement. I am very anxious and want to know exactly which roles belong to transit trade partners and how to judge their reliability.

Many enterprises have misunderstandings about transit trade partners, believing that they only include freight forwarders or intermediaries. In fact, transit trade partners cover multiple roles including transit port warehousing operators, customs brokers, financial institutions and other entities. If the qualification of a certain type of partner is ignored, cascading risks may be triggered: for example, selecting a warehousing operator without bonded qualification may lead to goods being detained by customs due to non-compliant storage, cooperating with non-compliant intermediaries may result in failure of normal foreign exchange settlement.
For physical risk isolation measures,it is necessary to establish a partner qualification verification checklist: warehousing operators shall provide qualification certificates for bonded warehouses at the transit port, freight forwarders shall have more than 3 years of transit operation experience, and customs brokers shall be familiar with the customs policies of the transit country. Meanwhile,it is necessary to clarify the responsibility boundary of each partner, for example, the warehousing operator is responsible for safe storage of goods, and the freight forwarder is responsible for logistics route optimization.
Exclusive loss control tip: sign a responsibility division agreement, stipulate the compensation standards for goods loss and delivery delay, purchase special transit trade insurance to cover risks during goods ownership transfer and transportation, conduct regular compliance rechecks on partners to avoid risks caused by changes in partner qualifications.

In transit trade, the customs broker at the transit port is one of the key partners. It is necessary to ensure that the customs broker is familiar with the regulatory requirements of the transit country's customs on transit goods, such as whether it is required to submit transit declaration, certificate of origin and other documents.
Improper operation by the customs broker may lead to detention of goods by customs. It is recommended to require the customs broker to provide past transit customs declaration cases, verify its capability to quickly handle customs price review disputes, ensure the consistency of customs declaration documents with bill of lading and contract, and avoid secondary declaration caused by inconsistent documents.

Logistics service providers among transit trade partners shall focus on cargo ownership control. For example, the endorsement and transfer of bill of lading at the transit port shall be operated by a reliable partner to avoid loss of cargo ownership.
When selecting logistics partners, it is necessary to confirm whether they can provide full-track cargo ownership tracing service and have contingency plans for container rolling and space congestion. In addition, the free storage period at the transit port and demurrage clauses shall be clarified with the logistics partner in advance to avoid extra costs caused by delays.

Tax arrangements between transit trade partners shall be compliant. For example, when cooperating with warehousing operators in the transit country, it is necessary to confirm that they can issue invoices that meet local tax requirements, so as to avoid impact on tax deduction due to non-compliant invoices.
If cross-border related party transactions are involved, it is necessary to ensure that the pricing complies with BEPS principles, to avoid being identified as profit transfer by tax authorities. It is recommended to cooperate with tax consultant partners to design a reasonable tax structure, and reduce costs by using VAT deferral policies.

Partners for foreign exchange receipt and payment in transit trade shall have compliant qualifications. For example, the cooperating bank shall support CIPS RMB cross-border payment or SWIFT message parsing, to ensure smooth capital settlement.
Offshore account management partners shall be able to provide foreign exchange settlement and account balancing services to avoid foreign exchange retention. It is recommended to select financial institutions with transit trade receipt and payment experience, verify their capability to cope with changes in foreign exchange control policies, and ensure capital safety.

Contract terms between transit trade partners shall be clarified. For example, when signing an agreement with an intermediary, force majeure clauses shall be added to specify responsibility division for trade interruption caused by policy changes in the transit country.
Meanwhile, the conditions for cargo ownership transfer shall be clarified to avoid disputes caused by vague bill of lading clauses. It is recommended to cooperate with legal partners to review soft clauses in the contract, such as verifying the rationality of the "third-party inspection certificate" requirement in the letter of credit, to protect own legitimate rights and interests.

The positioning of transit trade partners in the supply chain shall be coordinated. For example, the inventory linkage between warehousing operators and logistics providers shall ensure that the storage period of goods at the transit port does not exceed the free storage period.
When selecting partners, it is necessary to consider whether they can connect with the enterprise's own supply chain system to realize real-time sharing of inventory data. It is recommended to optimize transit routes through supply chain planning partners, select the transit port with the lowest cost and minimum risk, and improve overall trade efficiency.
