I am a SME foreign trade operator who has just started transit trade business. In the past two months, I have received two transit trade orders: one batch of goods is shipped from Southeast Asia to Europe, transiting at Shanghai Port with container reloading; another batch does not enter the country directly, transiting from the US to the Middle East.

Now I am completely confused about what taxes are payable for transit trade. Colleagues say that transit trade does not need to pay import duty, but corporate income tax is payable; some also say that if goods stay for more than a certain period, additional taxes are payable.

Recently, I received a compliance self-inspection reminder from the tax authority. I am afraid of either being fined for underpayment due to incorrect filing or overpaying unnecessary taxes. I urgently need to clarify which taxes are payable for transit trade in different business scenarios and whether there are compliant ways to optimize tax costs.

Most SMEs engaged in transit trade either assume no taxes are payable for all transit business,or pay taxes as per general trade. These two extreme practices will lead to additional costs: underpayment triggering compliance penalties and affecting subsequent business development, overpayment eroding the already low transit trade profits. Under traditional models, either import duty is incorrectly paid for goods in inbound transit, leading to additional capital occupation and demurrage costs,or overseas income is not declared for income tax, triggering tax audit risks.

For different scenarios, optimization paths are clear and actionable: For goods in direct transit without entering the country, only corporate income tax on profits is payable,no import duty or VAT is required. For goods in inbound transit staying for container reloading,as long as stored in bonded supervised areas,no import duty or VAT is payable, when leaving the country for overseas destinations,no taxes are payable, only when goods actually enter the domestic market for sale, taxes are payable.

Eligible transit trade can use bonded policies and VAT deferral arrangements to reduce capital occupation. The only eligibility requirement is the consistency of business flow, title flow and capital flow. Benefits can be dynamically calculated based on the value and transit time of each business, and the optimization plan can be implemented after confirmation. No need for blind tax payment or tax avoidance, avoiding touching compliance red lines,no unnecessary tax expenses, and effectively protecting the profit margin of transit trade.

Non-resident enterprises that earn income from transit trade conducted through domestic institutions shall pay a 10% non-resident enterprise withholding income tax in accordance with regulations. If eligible for preferential tax treaty rates, they may apply for a lower withholding income tax rate. In transit trade involving cross-border payments to overseas suppliers, VAT is not levied on the payment link; only corresponding taxes on domestic service portions are to be withheld.

If profits from transit trade belong to domestic resident enterprises, they shall be included in the enterprise's taxable income for the current year to calculate and pay corporate income tax. Small and low-profit enterprises may enjoy corresponding income tax preferential rates to reduce actual tax burden. In addition, transit trade business shall retain complete title transfer documents, trade contracts and capital flow records to prove the authenticity and compliance of the business, so as to enjoy corresponding tax exemption policies and avoid taxable income adjustments.

For goods transiting into domestic customs-supervised areas, as long as they do not leave the supervised areas to enter the domestic market, no import duty or import VAT payment obligations are triggered. When declaring, it is sufficient to declare via transit customs declaration or inbound filing, no need to declare and pay taxes as per general import.

If short shipment or over shipment occurs during transit, or part of the goods is sold domestically, only corresponding taxes on the actually sold portion shall be paid; no need to pay taxes for the entire batch. If the customs valuation department questions the transaction price of transit trade, complete title transfer contracts, transit agreements and payment vouchers shall be provided to prove the authenticity of the transaction price, to avoid the customs assessing a higher dutiable price and incurring additional tax costs.

No taxes are generated in the foreign exchange receipt and payment links of transit trade; only foreign exchange receipt and payment declarations shall be completed in accordance with regulations, no taxes are payable. For transit trade conducted via cross-border RMB payments, no additional taxes are payable; only corresponding receipt and payment declarations shall be completed, and relevant transaction documents retained for verification.

If transit trade profits are retained overseas, resident enterprises shall complete declarations in accordance with foreign investment regulations; when remitted back to the country, only corporate income tax is payable, no other taxes are paid repeatedly. It should be noted that the capital flow of transit trade shall match the title flow and trade contracts, to avoid being identified as fictitious trade due to non-compliant capital flow, triggering tax supplementation and penalties.

When signing transit trade contracts, tax bearing clauses shall be clearly defined to avoid subsequent tax disputes. If additional taxes are incurred due to policy adjustments during transit, the subject of tax bearing after adjustment shall be clearly defined in the contract, to avoid unnecessary expenditures for oneself.

If involving third-party title transfer, the division of tax payment responsibilities shall be clearly defined in the agreement, and corresponding tax items' tax bearing shall be clearly agreed, to avoid being required by the tax authority to bear supplementary tax responsibility when tax underpayment occurs. Meanwhile, all transaction-related tax vouchers and tax payment receipts shall be retained as legal basis in case of disputes, reducing one's own legal risks.

Transit trade is not within the scope of export tax rebates, no need to declare export tax rebates, nor pay export-related taxes. If part of the goods in transit trade is exported to domestic bonded areas and then transited, no export tax rebate declaration is required, only document filing shall be completed.

When the tax authority conducts correspondence verification, complete transit trade contracts, title documents and foreign exchange collection vouchers shall be provided to prove the authenticity of the business, no irregularities such as capital backflow, to avoid triggering export tax rebate verification affecting other business's rebate operations. The revenue and expenditure of transit trade shall be accounted for separately, separated from general export tax rebate business, to avoid incorrect declaration due to mixed declaration, resulting in irregular records.

The tax cost of transit trade can be optimized by adjusting trade paths, choosing transit locations with preferential tax policies to reduce overall tax burden. If goods need to stay in transit, bonded supervised areas in China or overseas free trade ports can be chosen, using regional tax exemption policies to avoid unnecessary tax expenditures.

For large-value transit trade, according to tax differences of different transit locations, trade structures can be adjusted to reasonably plan profit attribution, reducing overall income tax burden. It is necessary to calculate the tax costs of different paths in advance according to the volume, transit time and destination of each single business, choose the plan with the lowest overall cost, do not only focus on logistics costs while ignoring tax costs, resulting in actual profits lower than expected.
