I am a foreign trade company focusing on 3C products. Recently we are operating a business that imports chips from Germany to Malaysia, then transships them to the United States. Now we need to clarify how many forms transit trade import has, and what are the differences among different forms in customs declaration form filling, foreign exchange settlement and tax treatment.
We previously tried the "enter the zone first then exit the zone" mode, but incomplete goods title transfer documents were found during customs inspection, leading to one week of port detention. Now we want to systematically understand all import forms to avoid operational risks in subsequent operations.

Transit trade import is mainly divided into four major categories, and operation details shall be dismantled from the full-link process:
I. Direct Transit (Transit Trade): Goods enter the designated port within China directly from overseas, and are immediately transported out of the territory after inspection, without entering the domestic circulation market throughout the whole process. Core Documents required include Customs Declaration for Transit Goods,Bill of Lading marked with the word "Transit",Certificate of Origin, and confirmation letter from the importer of the final destination country,Process Nodes: After the goods arrive at the port, exchange documents with the original bill of lading, declare to customs under the supervision mode of "Transit Goods",no import link tax is required, and the goods need to be transported out of the territory within 24 hours,Abnormal Response Plan: If the goods are detained over the time limit due to shipping schedule delay, apply for "Transit Goods Extension Certificate" in advance to avoid disputes caused by port demurrage.
II. Indirect Transit (Secondary Resale): Goods enter the domestic bonded zone or free trade zone, and are transshipped to overseas after processing/storage,which requires two declarations from "inside the border but outside the customs territory" to "overseas". Key Document Points: Bonded Warehouse Storage Agreement, import customs declaration form (supervision mode "Bonded Warehouse Storage"),transit sales contract that reflects the goods title transfer between the original importer and the transit trader shall be provided,Core Nodes: When goods enter the zone, complete the "Bonded Warehouse Warehouse-in List",and submit the "Transit Trade Verification Sheet" during transit to ensure that foreign exchange revenue and expenditure matches the goods flow direction,Compliance Red Line: It is prohibited to sell goods in the bonded zone to the domestic market without authorization. Violators will face a 50% fine and goods return.
III. Offshore Transit (Operated by Offshore Companies): Take offshore companies (such as BVI,Cayman Islands) as intermediaries, goods are transshipped from Country A to Country B via the offshore company, and the whole process is settled through offshore accounts. Operation Key Points: Complete "Offshore Trade Filing" at the registration place of the offshore company, provide the notarized and authenticated version of Offshore Company Business License, and SWIFT telegraphic transfer voucher marked with the purpose of "Transit Trade",Process Difficulties: Ensure that the offshore company is included in the "White List of Offshore Trade Enterprises" of the General Administration of Customs of China, otherwise foreign exchange payment may be rejected due to "no operation qualification",Risk Isolation: It is recommended to adopt "double endorsed bill of lading" (endorsement by the original exporter plus endorsement by the offshore company) to clarify the ownership of goods title.
IV. Inside-Border Outside-Customs-Territory Transit (Special Supervision Zone): Goods are transited via customs special supervision zones (such as Shanghai Yangshan Port,Shenzhen Qianhai),and can enjoy the policies of "tax refund upon entry into the zone" and "bonded storage". Document Portfolio: Required to submit Regional Logistics Warehouse Receipt,Processing Trade Zone Transit Trade Filing Form, and Special Supervision Zone Exit Filing List,Operation Advantages: Realize "one-time declaration, batch exit from the zone" to shorten the transit cycle,Notes: Complete settlement via Cross-border Interbank Payment System (CIPS) before the goods leave the territory to avoid foreign exchange control risks,Abnormal Response: If inspected due to "inconsistency of four flows",provide "Transit Trade Fund Closed-loop Statement" attached with supporting documents for matching between bank statements and contracts.
The core difference among different forms lies in "whether the goods title is transferred within the territory" and "whether the goods enter the domestic market". It is recommended to select the mode according to the characteristics of goods: prefer offshore transit for high-value precision equipment, and prefer the special supervision zone mode for bulk commodities,to avoid customs seizure caused by missing goods title documents.

Chief Customs Declaration Expert: The core risk of transit trade import lies in the matching degree between "declared goods title" and "trade mode on customs declaration form". For example, direct transit shall be declared as "0700 Transit Goods", indirect transit shall be declared as "0214 Bonded Warehouse Storage Transit".
If it is misdeclared as "General Trade", customs will directly reject the form due to "no importer information". It is recommended to check the "Specified Declaration Catalogue for Import and Export Commodities of Customs" in advance to ensure that the trade mode code is consistent with the actual operation, and keep the "Transit Trade Contract" as the supporting document for goods title transfer.。

Senior Logistics Expert: Logistics route design shall match the goods title control. For example, in offshore transit, the goods shall be first transported to the designated transit port of the offshore company (such as Port of Singapore), then an "order bill of lading" that requires the endorsement of the offshore company is issued, to avoid port detention caused by non-transferable straight bill of lading.
If "multimodal transport" is adopted, clearly mark the "transit place", "transit operator" and "final destination" on the transport document, and submit the "International Multimodal Transport Document" to customs for filing within 24 hours to avoid inspection due to missing logistics node information.。

Senior Tax Consultant: The tax treatment of transit trade import varies significantly. Direct transit is exempt from import link value-added tax (need to submit "Export Tax Refund Filing Form"), indirect transit is required to pay value-added tax at the rate of 13% as "import goods", but can apply for "VAT deferral" with the "Transit Trade Contract" (need to complete the transit within 90 days after import).
For offshore transit under the offshore company mode, it is required to set up an "offshore trade account" within the territory of China, and file "non-resident enterprise transaction" with the tax authority, to avoid being recognized as "connected transaction" due to "non-connected transaction between resident enterprises" and triggering transfer pricing investigation.。

Trade Compliance Expert: Foreign exchange settlement must strictly match the transit form. Direct transit shall adopt cash settlement, indirect transit can use Cross-border Interbank Payment System (CIPS), offshore transit must be settled through the dual account system of "offshore account - domestic account" (need to provide "Offshore Account Opening Certificate").
It is recommended to submit the "Transit Trade Foreign Exchange Revenue and Expenditure Statement" to the bank before receiving foreign exchange, marking the "trade background", "amount of received foreign exchange" and "payment path" to avoid abnormal verification by the State Administration of Foreign Exchange caused by missing SWIFT message information.。

Foreign Trade Legal Expert: Goods title dispute is the core legal risk of transit trade. It is recommended to clearly specify the "goods title transfer node" (such as 30 days after the issuance of bill of lading) in the contract, and adopt the "payment against documents" mode to avoid disputes of "payment after goods delivery".
In case of "transit trader bankruptcy", immediately activate the "Goods Title Preservation Agreement", and apply customs for "assisted execution of freezing" to ensure that the goods are not transferred. At the same time, affix a "non-recourse transfer seal" on the back of the bill of lading to clarify that the subsequent holder is not involved in the debts of the prior holder, so as to reduce legal risks.。

On-site Inspection Expert: During inspection, focus on the "consistency of goods flow direction". Goods under direct transit shall be completely consistent with the "Transit Goods List", for indirect transit, the goods flow records at zone entry and zone exit shall be checked, for offshore transit, "Transit Confirmation Letter" issued by the offshore company shall be provided.
If "inconsistency between package marks and declaration" is found during inspection (such as no hazardous goods information marked on MSDS), contact the declarant for correction immediately to avoid inspection delay caused by unrecorded special packages.。

Export Tax Refund Auditor: The core of transit trade export tax refund is "consistency of four flows". Ensure that the information of "Export Customs Declaration Form", "Export Foreign Exchange Receipt Verification Sheet", "Special Payment Receipt for Export Tax Refund" and "VAT Special Invoice" is completely matched.
If "bonded zone transit" is adopted, submit the "Export Tax Refund Special Customs Declaration Form" when the goods exit the zone, and complete the tax refund declaration within 90 days. Late submission will result in no access to tax refund policy.。

Supply Chain Planning Expert: The optimal route for transit trade needs to balance cost, timeliness and compliance. For example, for chip transit from Europe to Southeast Asia, if adopting direct transit (Germany → Singapore → United States), the whole process takes 45 days, and the cost includes 3000 USD demurrage; if adopting offshore transit (Germany → BVI → United States), the timeliness is shortened to 30 days, but the monthly management fee of offshore account increases by 2000 USD.
It is recommended to establish a "dynamic cost calculation model" to compare the comprehensive costs of different modes (logistics cost + tariff + exchange rate fluctuation) every month to select the optimal solution.。
