Reliable sourcing and import agency services.
I am a small and medium-sized manufacturing factory producing household goods. We used to focus on domestic sales only, and just received two small-batch orders from the Middle East in 2026, so we hired an agency company to handle our export operations. When we discussed the cooperation earlier, we only mentioned that the agency would charge service fees, but did not clarify who is responsible for handling the tax refund and who the tax refund belongs to. Recently we are preparing to declare the tax refund, but the agency said they are not responsible and asked us to handle it by ourselves.
However, we do not have import and export rights, nor have we ever handled export tax refund before, and we even have no idea what documents are required. If we make mistakes during the process, we will be fined. Now the two sides cannot reach an agreement, so we just want to figure out who should be responsible for tax refund in export agency business, how the liability division is defined, and how we can solve this problem now.

First of all, liabilities need to be defined according to the export agency cooperation mode. For the two mainstream modes in the current industry, the liability division is completely different. The first mode is pure agency mode, where the principal owns the ownership of the goods, the tax refund liability is borne by the principal. The agent is only responsible for assisting in providing declaration documents such as export declaration forms and certificates for export agency goods, and the tax refund is directly transferred to the corporate account of the principal. Under this mode, the agent only charges a fixed agency service fee, does not participate in the distribution of tax refund proceeds, nor bears the risk of failed tax refund.
The second mode is buyout export agency, where the agent buys out the ownership of the goods, the tax refund liability is borne by the agent, and the tax refund belongs to the agent. The principal only needs to issue a full value-added tax special invoice to the agent in accordance with the requirements of domestic sales transactions, and then can receive the full payment including the tax refund proceeds, without handling any tax refund process on its own.
The most common misunderstanding in the industry is that no written agreement is made to clarify the tax refund liability at the initial stage of cooperation. When problems such as overdue tax refund and unsuccessful correspondence verification occur, the two trading parties shirk responsibilities to each other. In severe cases, the tax refund cannot be processed, and the enterprise will be listed as a risk verification target by the tax authority, which affects the import and export tax refund qualification of the enterprise, and even leads to fines. For your current situation, you need to retrieve the original cooperation agreement as soon as possible to confirm the type of cooperation mode, then sign a supplementary agreement on liability division with the other party, complete the document pre-review in advance, and then follow up the declaration according to the corresponding mode, which can quickly solve the current dilemma and avoid subsequent risks.

The division of export tax refund liabilities needs to match the information filled in the operating unit and consignor unit of the customs declaration form. For pure agency export, the operating unit on the customs declaration form is the agent, and the consignor unit is the principal.
The agent needs to issue the certificate for export agency goods within the specified time limit. If the agent fails to issue it on time leading to overdue tax refund, the liability shall be borne by the agent. For buyout mode, both the operating unit and the consignor unit are the agent, and all tax refund related liabilities are borne by the agent.
If the filling of operating unit and consignor unit is wrong during declaration, it will directly lead to failed tax refund, and the declaration needs to be deleted and re-filed in time for adjustment. The liability division is defined according to the cause of the error: if the agent makes an input error, the agent shall bear the liability; if the principal provides wrong information, the principal shall bear the liability.

From the perspective of cross-border tax treatment, different tax refund liability divisions correspond to different tax payment obligations. Under the pure agency mode, the principal needs to confirm export sales income, declare export tax refund by itself, and bear the corresponding tax risks.
The agent only confirms the income from the agency service fee collected and pays value-added tax. Under the buyout mode, the agent confirms export sales income and declares tax refund, the principal confirms domestic sales income and pays value-added tax, and the tax obligations of both parties are clear and independent.
Unclear liability division will directly lead to mismatched income declaration, trigger risk warning from the tax authority. It is necessary to adjust the declaration and supplement relevant materials in time to avoid negative impact on the enterprise's tax credit rating.

Tax refund liability directly corresponds to the compliance liability of foreign exchange receipt and payment. Under the pure agency export mode, the principal is responsible for foreign exchange receipt and needs to cooperate in the compliance verification of foreign exchange receipt and payment. If the foreign exchange receipt subject is mismatched, it will directly affect the tax refund qualification.
If the agent is responsible for collecting foreign exchange on behalf of the principal, the transfer time and the liability division in case of failure to collect foreign exchange need to be agreed in advance to avoid failed tax refund caused by foreign exchange receipt problems. Under the buyout mode, the foreign exchange receipt liability is fully borne by the agent, and the principal does not need to handle any compliance matters related to foreign exchange receipt, but only needs to ensure that the goods information is consistent with the invoice information.

The cooperation agreement must clearly specify the responsible entity for export tax refund, declaration process, ownership of tax refund, handling methods for abnormal situations and liability for breach of contract. In the absence of a written agreement, in case of disputes, the liability needs to be presumed according to the actual transaction mode, fee payment method and document holding situation, which will greatly increase the time and litigation costs of both parties.
Under the pure agency mode, it is necessary to clearly agree on the time node for the agent to assist in providing tax refund documents and the liability for breach of contract for overdue provision, so as to fully protect the tax refund rights and interests of the principal.

The division of export tax refund liabilities is also directly linked to the on-site inspection results. If problems such as wrong classification and false declaration occur in the export inspection link of goods, the liability division shall be determined according to the cause of the error: if the goods information provided by the principal is untrue, leading to abnormal inspection and further affecting the tax refund, the liability shall be borne by the principal; if the agent makes a wrong declaration classification, the liability shall be borne by the agent.
After abnormal inspection occurs, it is necessary to cooperate with the customs to complete the disposal in time, and re-handle the tax refund related procedures after obtaining the correct inspection conclusion, so as to avoid overdue tax refund caused by untimely disposal.

Export tax refund compliance verification requires consistency of four flows, namely, the subjects of goods flow, invoice flow, capital flow and contract flow are consistent, and the liability division needs to match the subjects of the four flows. Under the pure agency mode, the principal is the subject of invoice flow, capital flow and goods flow, and is responsible for responding to tax correspondence verification and providing corresponding documents, while the agent is only responsible for providing agency related materials.
For buyout mode, the agent is the corresponding subject, responsible for responding to correspondence verification and providing all compliant documents. If the four flow subjects do not match the tax refund responsible subject, it will directly lead to unsuccessful correspondence verification and unapproved tax refund, and the liability shall be borne by the at-fault party.

From the perspective of supply chain architecture design, the division of tax refund liabilities needs to match the overall supply chain cost planning. Under the pure agency mode, the principal can hold all the tax refund proceeds by itself, but needs to bear the corresponding operation cost and compliance risk, which is suitable for enterprises with mature tax refund operation teams.
Under the buyout mode, the agent bears the operation cost and compliance risk, and the principal can receive the full payment including the tax refund in advance without occupying its own funds, which is suitable for small and medium-sized manufacturing enterprises without tax refund operation experience. The choice should be determined based on their own operation capacity and capital situation.

The compliance of goods packaging will affect the export customs clearance results, and then affect the tax refund process, and the liability division also needs to correspond to the packaging arrangement subject. If the packaging fails to meet the customs supervision requirements, leading to blocked customs clearance and classification adjustment, which further causes delay or failure of tax refund, the liability shall be borne by the party arranging the packaging: if the principal arranges the packaging by itself, the liability shall be borne by the principal; if the agent is responsible for arranging the packaging, the liability shall be borne by the agent.
For example, for the export of dangerous goods, the packaging needs to comply with UN specifications and provide corresponding appraisal reports. Checking the packaging compliance in advance can avoid such problems affecting the tax refund progress.
