I am the head of a foreign trade enterprise focusing on home appliance export in the Pearl River Delta. We have been operating ordinary direct export business for years. This year, as the EU further raises the anti-dumping duty on Chinese home appliances, we plan to expand into the entrepot trade sector, shipping goods to Malaysia for transshipment and container reloading before exporting to the EU.

At a gathering with peers a while ago, I heard that many entrepot trade enterprises encountered troubles in 2025: some suffered huge port detention fees due to cargo detention at transshipment ports, some were identified as issuing false invoices during tax inspection and their tax rebates were recovered, and some had problems in foreign exchange receipt and payment leading to frozen offshore accounts. I have never been exposed to the operation rules of entrepot trade before, and I want to know what risks exist in the whole chain of entrepot trade, and whether there are implementable prevention and control solutions?

Many enterprises new to entrepot trade fall into a misunderstanding that they only need to change the bill of lading of the transshipment country and apply for a third-party certificate of origin to complete the operation, completely ignoring the requirement of consistent document logic across the whole chain. Once traced by customs,it will trigger chain risks: in minor cases, cargo detention at the transshipment port will lead to detention fees and port change fees,in severe cases, the customs of the destination country will trace the authenticity of the goods source, list the enterprise on the anti-dumping blacklist, the domestic tax authority will also conduct synchronous verification, recover previous tax rebates and impose a fine of 1 to 5 times the amount, and foreign exchange accounts may also be frozen.

Risk isolation should first focus on the closed loop of document logic. The whole process of container reloading at the transshipment port shall keep complete loading supervision videos, records of seal numbers before and after reloading, and inspection reports issued by third-party institutions. The certificate of origin, packing list and invoice issued by the transshipment country shall 100% match the logistics track and actual cargo information,so as to avoid inconsistency between document information and cargo category and quantity. All documents shall be kept for at least 5 years for future reference, and no operation records shall be deleted arbitrarily.

The loss response plan can be implemented from two dimensions: first, sign a risk underwriting agreement with the transshipment port service provider to clarify the division of responsibilities and compensation standards for abnormal situations such as cargo detention and port detention, reserve a risk reserve equal to 10% of the cargo value to cover extra expenses such as sudden inspection and sample testing, second, submit all documents to the cooperative customs clearance agency at the destination port for pre-audit 3 working days in advance, and arrange shipment to the port only after confirming that it meets the traceability requirements of local customs,so as to avoid irreversible losses caused by return at the destination port.

The most common risks in the customs declaration link of entrepot trade are forged certificate of origin and inconsistent declaration logic. In 2026, customs have realized global manifest data networking verification, and the manifest information of the transshipment country, domestic exit manifest information and destination country entry manifest information will be cross-checked.

Once differences are found in cargo gross weight, volume, shipping mark and other information, it will trigger price review and verification, and serious cases will be identified as smuggling. When declaring, note that the manifest declaration time of the transshipment country shall be later than the domestic exit manifest time and earlier than the destination country entry manifest time.

The time logic of the three nodes shall be fully matched, and no time reversal is allowed. If you encounter price review queries, submit complete container reloading records, supporting materials of certificate of origin, and upstream and downstream trade contracts immediately, and do not modify the declaration data arbitrarily to avoid records of false declaration.

The core risks in the logistics link are loss of cargo ownership and overspending of transshipment port detention fees. Some transshipment agents will combine multiple shipments for container reloading. Once other goods are found to be in violation of regulations, the whole container will be implicated and detained. When selecting a transshipment scheme, priority shall be given to direct transshipment routes, apply for a free storage period of at least 14 days at the transshipment port, and arrange container reloading operations in public supervised warehouses, do not choose private warehouses of agents.

The bill of lading shall be an order bill of lading, complete transfer records shall be kept when endorsing transfer, and the cargo ownership transfer node shall be fully bound with the payment node, and do not release goods in advance without receiving full payment. If you encounter container rolling or vessel overbooking, adjust the transshipment port immediately, do not forcibly arrange shipping space, so as to avoid missing the delivery date at the destination port and incurring default compensation.

The tax risks of entrepot trade are mainly concentrated in unreasonable related party transaction pricing and non-compliant profit attribution. In 2026, BEPS 2.0 rules have been fully implemented, and tax authorities of various countries will exchange profit information of multinational enterprises. Once the profit retention ratio of entrepot trade does not conform to industry norms, it will trigger a transfer pricing investigation.

When designing the tax structure, note that the main company in the transshipment country shall have an actual business address and personnel, do not register a shell company, and the profit margin of entrepot trade shall be controlled within the reasonable industry range of 3% to 8%, not too high or too low. If VAT payment is involved, priority shall be given to applying for the VAT deferral policy of the transshipment country, and do not use a third-party VAT number for payment, so as to avoid being pursued for tax payment due to VAT arrears.

The core risk in the foreign exchange receipt and payment link is account freezing caused by mismatch between capital flow and cargo flow. In 2026, both SWIFT and CIPS systems have realized automatic verification of trade background data. Once the amount of foreign exchange received and paid is found to be mismatched with the cargo value and logistics track, it will trigger the bank's due diligence investigation, and in serious cases, offshore accounts and domestic pending verification accounts will be frozen.

The path of foreign exchange receipt and payment shall be fully consistent with the path agreed in the trade contract. The foreign exchange receipt time shall be 3 to 7 days later than the arrival time at the destination port, and the time of paying foreign exchange to upstream suppliers shall be later than the foreign exchange receipt time, and no advance foreign exchange payment is allowed. If you encounter bank verification, submit complete trade contracts, logistics documents and customs declaration forms immediately, and do not conceal the actual background of entrepot trade, so as to avoid being identified as suspicious transactions.

The core risks at the legal level are letter of credit soft clauses and intellectual property infringement. Many foreign buyers will add soft clauses to the letter of credit, such as "inspection report issued by the buyer's designated institution is required" and "the certificate of origin shall take effect only after being confirmed by the buyer". Once triggered, it will lead to payment refusal. When signing a trade contract, clarify the division of operation responsibilities at the transshipment port.

The force majeure clause shall cover special situations such as transshipment port strikes and temporary customs policy adjustments. The intellectual property clause shall clarify that the buyer shall ensure that the goods have no intellectual property disputes in the destination country, and the buyer shall bear full responsibility for any infringement problems. If an exclusive agency agreement is involved, clarify the scope of agency authority of the agent in the transshipment country, and do not sell goods beyond the agreed scope to avoid default disputes.

The core risks in the transshipment port inspection link are cargo shipping mark traceability and concealment of prohibited items. Many enterprises will not completely remove the Chinese manufacturing marks on the original shipping marks when reloading containers to save costs.

Once discovered by customs, they will be identified as forging the place of origin. When reloading containers, completely remove all Chinese marks, manufacturer information and origin marks on the original packaging, and the new shipping marks shall be fully consistent with the information on the certificate of origin of the transshipment country.

If you encounter unpacking inspection, do not touch the customs seal arbitrarily, cooperate with the requirements of the inspectors throughout the process, and retain samples simultaneously when sending samples for testing, so as to avoid no basis for recheck when the test results are biased. If the test results do not meet the requirements, apply for re-test immediately, and do not directly accept the unqualified conclusion.

Export Tax Rebate AdvisorStart a Chat

The tax rebate risk of entrepot trade is mainly concentrated in the inconsistency of four flows and capital return. In 2026, the tax authority has realized automatic comparison of four flows including customs declaration, logistics, bank and invoice data. Once the capital is found to be returned to domestic suppliers or personal accounts, it will be identified as tax fraud, the tax rebate will be recovered and a fine will be imposed.

The capital flow of entrepot trade shall follow the complete path of "overseas foreign exchange receipt - overseas foreign exchange payment - domestic foreign exchange receipt", and no direct transfer from domestic accounts to transshipment country accounts is allowed. All invoices shall be fully consistent with the information of trade contracts and customs declaration forms, and document records shall be kept for at least 10 years for future reference. If you encounter tax correspondence verification, submit complete full-chain documents of entrepot trade immediately, and do not conceal the operation of the transshipment link, so as to avoid being identified as false export.
