I am the person in charge of an enterprise mainly engaged in home appliance entrepot trade targeting Southeast Asia. In 2026, we just relocated our transit warehouse from Singapore to Shanghai Yangshan Port Free Trade Zone, and recently encountered several unsolvable tax issues: First, is it required to pay VAT on the value-added portion of goods that are directly transited and sold without entering the domestic market?

Second, can the storage and loading/unloading expenses generated during the transit period be deducted as input tax? Third, how to file tax returns for the foreign exchange receipt and payment difference without triggering early warning?

I have never dealt with domestic transit scenarios before, and I am afraid of being audited due to incorrect tax filing. Please provide clear tax payment guidelines for me.

First, clarify the core boundary of tax payment judgment: under the current 2026 policies, for the income from entrepot trade where the goods never go through customs declaration to enter the domestic consumer market throughout the whole process and are only transited in customs-supervised zones such as free trade zones,no VAT and surcharges are required, and enterprises only need to include the corresponding profit into the annual taxable income to pay corporate income tax.

Under the traditional model, many enterprises easily confuse the boundary between entrepot trade and domestic sales, mistakenly claim input tax deduction for goods transited in free trade zones. After being verified subsequently, they need to transfer out the corresponding tax amount and face a fine of 0.5 to 5 times the tax amount. This risk can be avoided through four-flow consistency control of documents: the bill of lading, warehouse receipt, trade contract, and foreign exchange receipt/payment voucher in the entrepot chain must be marked with the attribute of "entrepot trade",and the entire goods right transfer path shall not involve customs declaration for the domestic consumer end.

In terms of cost optimization, entrepot trade in free trade zones in 2026 can enjoy the policy of 10% additional deduction of input tax for transit services. Enterprises can apply for this policy as long as the revenue from transit services accounts for more than 50% of their total revenue. According to calculation, the comprehensive tax burden of a single entrepot business can be reduced by 1.2 to 2.5 percentage points. If the difference between foreign exchange receipt and payment is caused by normal exchange rate fluctuations,it can be directly recorded as financial expenses and deducted before corporate income tax, with no need for tax adjustment.

Finally, pay attention to the compliance red lines: no fictitious goods right transfer or false foreign exchange receipt and payment is allowed in entrepot trade. Once judged as false invoicing for arbitrage, the enterprise will not only be recovered all the due taxes, but also be included in the cross-border trade dishonesty list, with its subsequent import and export business authority restricted.

Compliance verification of customs supervision procedures must be completed before the tax declaration for entrepot trade. First, ensure that the data of the inbound and outbound filing lists for entrepot goods are completely consistent with the value, quantity and product name specified in the trade contracts and foreign exchange receipt/payment vouchers.

If the filing list is marked as "domestic sales", even if the goods do not actually leave the zone, it will be judged as domestic sales and the enterprise shall make supplementary payment for VAT and consumption tax. In case of pricing disputes, the enterprise can submit vouchers of international average transaction prices for same-category entrepot goods in the same period, and apply for customs to re-verify the goods value, so as to avoid the inflated taxable income of corporate income tax caused by excessively high goods value verification.

After the entrepot goods complete the second departure from the territory, the enterprise shall submit the departure filing list and copy of bill of lading to the competent customs for verification within 30 days. The verification voucher shall be kept as supporting material for subsequent tax declaration, with a retention period of no less than 10 years.

The premise of entrepot trade tax compliance is a traceable logistics chain. It is recommended to give priority to direct transit routes to avoid unclear ownership of goods caused by container unpacking and repacking in third-party countries. If container repacking is truly necessary, a third-party container supervision report issued by the transit port that marks the container seal number, product name, quantity and other information shall be provided, as supporting material to prove that no domestic goods right transfer has occurred.

The invoices for transit storage expenses and loading/unloading expenses shall be noted with the corresponding entrepot trade contract number, to facilitate subsequent attribution judgment of input tax deduction. The consignee of the bill of lading is suggested to be marked as "to order", and the goods right transfer is completed through endorsement, to avoid the scenario where a domestic enterprise is listed as the final consignee, otherwise the business will be judged as domestic sales and corresponding taxes shall be supplemented.

The corporate income tax burden of entrepot trade can be further optimized through reasonable structure design. On the premise of complying with the latest BEPS rules, part of the service links of entrepot trade can be split to subsidiaries operating in tax havens. As long as the subsidiaries have actual operation capacity, and corresponding personnel and business scale are matched, they can enjoy the local corporate income tax reduction and exemption policies.

Related party transaction pricing shall comply with the arm's length principle, and the purchase-sales price difference rate of entrepot goods shall be controlled within the range of ±20% of the average price difference rate of the same category of goods, so as to avoid transfer pricing adjustment by tax authorities and supplementary payment of extra taxes and late payment surcharges. Eligible enterprises can apply for offshore business tax incentives, and the income from entrepot trade can enjoy a preferential corporate income tax rate of 15%.

The foreign exchange receipt and payment data of entrepot trade must be completely matched with the tax declaration data. When processing foreign exchange receipt and payment, the remark column of SWIFT message or CIPS message shall be marked with "entrepot trade" and corresponding contract number, to avoid banks judging them as ordinary goods trade foreign exchange receipt and payment and triggering foreign exchange early warning. If the difference between foreign exchange receipt and payment exceeds 5% of the corresponding contract goods value, the enterprise shall submit difference explanation materials to the State Administration of Foreign Exchange.

The explanation materials shall include exchange rate fluctuation certificates, transit expense vouchers and other contents, which shall also be used as supporting materials for difference deduction during tax declaration. The receipts and expenditures of entrepot trade under offshore accounts shall be booked separately, and shall not be mixed with the receipts and expenditures of domestic sales business, to avoid being judged as concealing entrepot income by tax authorities and triggering audit.

Entrepot trade contracts shall clearly specify the clause that "the goods will not enter China's domestic consumer market and are only for transit", and clarify that the goods right transfer node is "at the time of issuance of the second-leg bill of lading", so as to avoid unclear judgment of tax obligation caused by blurred goods right transfer node. Tax responsibility division clauses shall be added to the contracts.

If the tax obligation is triggered in advance due to false documents provided by upstream suppliers, the enterprise can claim corresponding tax loss and fines from the suppliers. If the entrepot goods cannot leave the territory on time due to force majeure, the enterprise shall issue notarial certificate materials within 15 days after the occurrence of force majeure, submit to the competent tax authority for filing, and apply for deferred tax declaration to avoid late payment surcharges.

When the entrepot goods are inspected at the transit port, the inspectors shall be reminded to mark the attribute of "entrepot trade" on the inspection record. If the container seal is replaced after inspection, the seal number information on the second-leg bill of lading shall be updated in time, to ensure that the seal number on the documents is consistent with the actual goods seal number, and avoid being judged as goods right transferred during subsequent verification which will trigger tax obligation.

If the goods are sent for inspection and appraisal, the inspection report shall be kept. The product name and components specified in the report must be completely consistent with the information on the customs declaration and contract. If the product name does not match, the enterprise shall apply for modifying the filing list in time, so as to avoid being judged as falsely declaring trade nature due to inconsistent product name, which requires supplementary payment of taxes and corresponding penalties.

The shipping mark of entrepot goods shall be clearly marked with the words "transit goods, domestic sales prohibited", to avoid being mistakenly regarded as domestic sales goods during subsequent inspection and triggering unnecessary tax verification.

If the entrepot goods are dangerous goods, the enterprise shall provide UN packaging certificates conforming to UN standards, and the entrepot destination shall be marked on the MSDS document, to avoid goods port detention caused by non-compliant packaging, which will generate extra storage expenses and affect the pre-tax deduction accounting of corporate income tax. The invoices for packaging expenses shall be noted with the corresponding entrepot contract number, which can be taken as part of the transit cost and deducted when calculating taxable income.

Entrepot trade business does not apply to the export tax refund policy, and the input tax corresponding to entrepot trade shall not be used to apply for export tax refund, otherwise it will be judged as defrauding export tax refund, the defrauded tax amount shall be returned and a fine of 1 to 5 times the defrauded amount shall be imposed, and criminal responsibility will be investigated in case of serious circumstances. The documents of entrepot trade shall be filed separately.

The filing materials include trade contracts, inbound and outbound filing lists, bills of lading, warehouse receipts, foreign exchange receipt and payment vouchers, logistics expense invoices and other documents, and the filing period shall be no less than 10 years. All documents shall be provided completely when tax authorities conduct verification. Entrepot trade income shall not be declared mixed with export goods income, and shall be separately reported in the tax-exempt income column of VAT tax return, to avoid wrong declaration that triggers early warning.

The tax cost of entrepot trade can be further reduced through supply chain structure optimization. The transit warehouse can be set up in the free trade zone to enjoy the tax-exempt storage policy of the free trade zone, and the storage and logistics expenses generated during transit can enjoy the input additional deduction policy. If the annual entrepot business scale exceeds 50 million RMB, the structure mode of "free trade zone + offshore center" can be adopted.

The pricing and settlement links of entrepot trade are placed in the offshore center, and the domestic entity is only responsible for transit services, which can further reduce the corporate income tax burden. It is suggested to select FCA transit port as the trade term, to avoid blurred cost accounting caused by undertaking the international segment freight, which affects the accuracy of tax declaration.
