I am engaged in cross-border distribution of small household appliances. I have been doing general trade export to Southeast Asian markets all the time. According to recent calculation, selling small household appliances manufactured in Guangdong to the EU via Malaysia transshipment can avoid high anti-dumping duties, and the profit margin can increase by nearly 20%, so I plan to launch entrepot trade business.
But I have never been exposed to the entrepot model before. I heard from peers that the qualification requirements for entrepot trade are much stricter than that for general trade.
I am worried that incomplete qualifications will lead to detained goods, problems in foreign exchange receipt and payment, and even affect subsequent tax procedures. I would like to ask what qualifications enterprises conducting entrepot trade in 2026 actually need to have, and are there any mandatory requirements that must be met in advance?

First of all, complete the pre-access qualification processing. The business scope specified in the industrial and commercial business license must clearly include the category of "entrepot trade" or "international goods transshipment service". It is prohibited to conduct entrepot trade beyond the approved scope, otherwise all relevant transactions will be deemed non-compliant. Meanwhile, enterprises need to complete the filing of importers and exporters of goods at the local customs. The latest 2026 requirement stipulates that the customs credit rating of entrepot trade enterprises must reach AEO General Certification or above. Enterprises failing to meet the credit rating standard will be restricted from transit declaration authority, with the inspection rate increased to over 80%.
Secondly, complete the foreign exchange receipt and payment qualification filing. Enterprises need to apply to the local foreign exchange bureau for entry into the Trade Foreign Exchange Revenue and Expenditure Enterprise Directory. Only enterprises with no foreign exchange violation records in the recent 1 year can obtain Class A directory qualification. Class B and Class C enterprises will be restricted in the amount of foreign exchange receipt and payment for entrepot trade, and even cannot handle cross-border settlement. If the business involves entrepot trade under bonded supervision, enterprises also need to complete the special filing for entrepot trade at the local bonded zone management committee in advance to obtain access permissions for bonded warehousing and transshipment.
Finally, prepare for abnormal contingency plans. For anti-dumping circumvention related entrepot trade businesses, documents such as non-processing certificate, certificate of origin, and transshipment manifest issued by the transshipment country shall be prepared in advance,to avoid being judged as false trade during customs price verification. All documents related to entrepot trade shall be filed separately and retained for at least 5 years,to ensure full traceability of goods flow, capital flow and document flow, and meet verification requirements of regulatory authorities.

For customs-level qualification requirements, in addition to the conventional filing of import and export consignees and consignors, the latest 2026 Administrative Measures on Customs Credit of Declarers clearly stipulates that the credit rating of entrepot trade enterprises shall not be lower than AEO General Certification. Otherwise, the inspection rate will be raised during transshipment declaration and inbound/outbound declaration links, and even transit procedures will not be processed.
If the business involves anti-dumping circumvention related entrepot trade, it is also necessary to complete the filing of non-processing certificate for transshipped goods at the customs of the transshipment country in advance, and submit manifest information and bill of lading endorsement documents of the transshipment country synchronously during domestic declaration, to ensure traceability of goods flow direction, avoid being judged as false trade, and trigger risks such as price verification and customs investigation.

In terms of supporting qualification at the logistics end, enterprises need to have the international freight forwarder filing qualification, or entrust a freight forwarder with corresponding qualification to operate the full-link logistics of entrepot trade. Procedures such as free storage period application at the transshipment port, bill of lading endorsement transfer, and cargo right transfer registration, all require enterprises to provide corresponding entrepot trade qualification certificates for handling.
If the qualifications are incomplete, the transshipment port may refuse berthing of the goods, and even generate high container detention fees and port storage fees. When selecting entrepot trade routes, countries that have customs clearance mutual recognition agreements with China shall be prioritized as transshipment locations to reduce the complexity of qualification verification.

For tax-level qualification requirements, entrepot trade enterprises need to complete the registration of VAT general taxpayer, and have no tax dishonesty records in the recent 3 years, to enjoy the corresponding VAT exemption policy for entrepot trade.
For entrepot trade business involving related party transactions, it is also necessary to prepare contemporaneous documentation on transfer pricing in advance to ensure that the pricing of related party transactions complies with the arm's length principle, avoid special tax adjustment by tax authorities, supplementary tax payment and late payment penalty. In serious cases, enterprises will also be included in the tax dishonesty list, which affects the handling of all tax-related businesses.

For foreign exchange receipt and payment level qualification requirements, enterprises need to be included in the Class A category of the Trade Foreign Exchange Revenue and Expenditure Enterprise Directory of the State Administration of Foreign Exchange, and complete the special filing for entrepot trade, to handle the foreign exchange receipt and payment business under entrepot trade. The latest 2026 requirement stipulates that for entrepot trade foreign exchange receipt and payment, full-process logistics documents, trade contracts, non-processing certificates from transshipment countries and other materials shall be submitted.
Enterprises with non-compliant qualifications will be restricted in the amount of foreign exchange receipt and payment, and even included in the key foreign exchange supervision list, which affects all cross-border settlement businesses. In serious cases, their foreign exchange accounts will be frozen.

For legal level qualification requirements, entrepot trade enterprises need to have independent legal person status, and their business scope clearly includes entrepot trade related categories. When signing an entrepot trade contract, the division of responsibilities in the transshipment link and the node of cargo right transfer shall be clearly specified in the contract to avoid cargo right disputes.
For goods involving intellectual property rights, it is also necessary to complete the customs protection filing for intellectual property rights in advance, to avoid being identified as infringement during the transshipment link, which leads to detained goods, and even facing litigation and compensation for intellectual property infringement.

If the entrepot trade business involves export tax rebate related links, enterprises need to have the qualification of export tax rebate filing, and have no export tax rebate violation records in the recent 2 years.
Documents corresponding to entrepot trade need to be retained separately, including customs declaration form, bill of lading, trade contract, foreign exchange collection certificate, transshipment country certification documents, etc., to ensure the consistency of four flows, avoid being unable to provide corresponding materials when audited by tax authorities, which leads to rejection of tax rebate, even being identified as tax fraud, and facing penalties such as tax recovery, late payment penalty and fine. In serious cases, criminal responsibility will be investigated.
