We are a 3C digital accessories export enterprise based in the Yangtze River Delta, with nearly 4 years of foreign trade experience. Previously, we exported to Europe and the US via direct shipping, and our tax refund process was always smooth. At the end of 2025, we started expanding into the Southeast Asian market. To facilitate inventory allocation and distribution to downstream distributors, we switched to the Hong Kong entrepot trade model: we first ship goods to our Hong Kong warehouse, then distribute them to various Southeast Asian countries according to orders.

However, our last three consecutive tax refund applications were rejected by the tax bureau, citing incomplete entrepot document chains, missing proof of goods ownership transfer, and insufficient matching of logistics tracks. Currently, over 800,000 RMB in tax refunds is stuck and unavailable. We are eager to figure out how to operate Hong Kong entrepot trade properly to obtain tax refunds normally, what mandatory requirements must be met, what pitfalls to avoid, and whether there are remedies for the rejected applications.

First, conduct a comprehensive pre-review of all documents to ensure logical consistency of core materials: the port of destination on the mainland export declaration form must be marked as Hong Kong. Original copies of the second voyage bill of lading from Hong Kong to the third country, warehouse in/out slips of the Hong Kong warehouse, entrepot trade contract, and proof of goods ownership transfer must be retained. The commodity name, specification, and quantity on all documents must be 100% consistent, with no discrepancies in descriptions.

Second, retain track records of core nodes: the first voyage logistics track from the mainland to Hong Kong, inventory records of the Hong Kong warehouse, booking note and delivery receipt for the second voyage must be uploaded synchronously to the tax bureau's document filing system. The timeline of goods ownership transfer from the mainland enterprise to the Hong Kong entity and then to downstream customers must fully align with logistics nodes, with no timeline overlaps.

If a tax refund application is rejected, retrieve all retained documents immediately, supplement with third-party verification proof of logistics tracks and operation qualification documents of the Hong Kong warehouse. If a tax inquiry is initiated, cooperate by providing explanations of the actual transaction background of the entrepot trade, and do not conceal any transfer links.

Finally, complete annual document filing and archiving: all documents related to entrepot trade tax refunds must be retained for at least 5 years. Conduct a regular annual compliance self-inspection of entrepot business to check for matching issues in the document chain, fund chain, and logistics chain, avoiding batch tax refund failures.

First, entrepot trade tax refund must meet the core requirement of consistency of four flows. The fund flow must follow the complete path of "Mainland receiving payment → Hong Kong making payment → third country receiving payment", with no third-party payment or fund backflow allowed.

Document filing must cover all materials from procurement to final export, including VAT special invoices from mainland suppliers, mainland export declaration forms, warehouse in/out vouchers of Hong Kong warehouse, second voyage export declaration forms, and delivery receipts from downstream customers. If a tax inquiry is initiated, submit the full set of documents within 15 working days, ensure complete matching between invoice information and declaration form information, and keep the exchange cost within the reasonable range required by the local tax bureau to avoid tax refund delays due to abnormal exchange costs.

During the mainland export declaration process, accurately fill in "Entrepot Trade" in the "Trade Mode" column of the declaration form; do not misreport it as "General Trade". The port of destination must be filled in as Hong Kong, and the remark column must be marked with "Transshipped to [Name of Third Country]".

For Hong Kong segment declaration, complete both inbound and outbound declarations, and retain the inbound/outbound filing list from Hong Kong Customs as official supporting documents for entrepot trade. If customs valuation is involved, provide the actual pricing basis for the transaction, including upstream and downstream contracts, invoices, and payment vouchers, to prove that the pricing complies with the arm's length principle, avoiding declaration form anomalies due to valuation disputes that may affect subsequent tax refund declarations.

Tax planning for Hong Kong entrepot trade must comply with the requirements of the bilateral tax agreement between the mainland and Hong Kong. The profit share of the Hong Kong entity must match the functional risks it actually undertakes. Do not transfer profits through unreasonable related-party transaction pricing to avoid being identified as tax base erosion by tax authorities.

If the entrepot profits obtained by the Hong Kong entity meet the requirements of Hong Kong's offshore exemption, it can apply to the Hong Kong Inland Revenue Department for tax exemption on offshore income, without paying profits tax in Hong Kong, and this will not affect the mainland export tax refund application. Note that the pricing of related-party transactions must be filed in transfer pricing documents annually, and contemporaneous documentation must be retained to respond to inspections by tax authorities of both regions.

The payment and receipt link must comply with cross-border trade compliance requirements. When mainland enterprises receive payment, they must indicate the contract number and declaration form number corresponding to the entrepot trade in the remarks of the SWIFT message, with no remarks unrelated to the trade allowed. If RMB settlement is adopted, payment and receipt must be completed through the CIPS channel, and the filing proof of RMB cross-border settlement must be retained as supporting material for foreign exchange receipt verification.

When settling foreign exchange, submit the full set of entrepot trade documents to the bank to complete the authenticity review of the trade background. Do not illegally retain funds through offshore accounts to avoid warnings from the foreign exchange administration due to abnormal payment/receipt, which may affect the foreign exchange receipt verification requirements for subsequent tax refunds.

The logistics path of entrepot trade must be clear and traceable. For the first voyage transportation, select a formal freight forwarder and retain the full logistics track query records. For the Hong Kong warehouse, select a third-party warehousing enterprise with formal operation qualifications and retain monthly inventory reconciliation records. The bill of lading for the second voyage must clearly indicate the owner of the goods to avoid unclear ownership issues.

You can apply for combined bill of lading for the first and second voyages to reduce document transfer links. At the same time, apply to the freight forwarder for at least 7 days of free detention in Hong Kong to reduce port detention costs. All logistics track records must be retained for at least 5 years as logistics supporting materials for tax refund verification.

The contract terms for entrepot trade must clearly specify the nodes of goods ownership transfer, as well as the rights, responsibilities, and obligations of all parties. In the contract between the mainland and Hong Kong entities, clearly state that goods ownership will be transferred within 72 hours after the goods arrive at the Hong Kong warehouse. In the contract between Hong Kong and downstream customers, clearly state that goods ownership will be transferred after the second voyage goods are loaded on the ship.

Add compliance clauses to the contract to clarify that all transactions comply with the trade regulatory requirements of the mainland, Hong Kong, and the third country. If intellectual property issues are involved, clearly specify the owner of the intellectual property to avoid goods being detained due to intellectual property disputes, which may affect tax refund declarations. Retain original copies of all contracts, stamped with the official seal or contract-specific seal of both parties; do not use informal versions with electronic seals.
