I run a small and medium-sized foreign trade enterprise exporting light industrial products. Recently, as our core target market has imposed high additional tariffs on China, all peers recommend us to conduct entrepot trade via Shanghai to reduce overall tariff costs through third-party transit.
Two months ago, a peer I know was identified with non-compliant documents when operating entrepot trade in Shanghai, and his goods were detained at the port for nearly a month. He not only paid more than 100,000 yuan in liquidated damages to the buyer, but also incurred tens of thousands of yuan in demurrage charges, and finally lost even long-term cooperative old clients.
The value of the goods I am going to operate this time is nearly 1 million yuan. If anything goes wrong, this year's profit will be totally lost. I really dare not proceed rashly now, and want to know whether Shanghai entrepot trade has risks at all, what the common risks are, and how our small and medium-sized enterprises can prevent and avoid pitfalls in advance?

Many small and medium-sized foreign trade enterprises have misunderstandings about Shanghai entrepot trade, believing that as long as goods are transited via Shanghai and the bill of lading for transfer to a third country is provided, they meet operation requirements. In fact, most risks come from non-compliant document operation and hidden loopholes in goods ownership control. Many enterprises,in order to cut transit costs, choose unqualified small transit warehouses, and even cooperate with intermediaries to forge storage and goods transfer vouchers supporting the certificate of origin, which is the most common inducement of violations in current entrepot trade business at Shanghai Port.
Once such operations trigger customs verification,it will cause a chain of negative reactions: the first step of verification is to temporarily detain goods and suspend their circulation, and require the enterprise to supplement a full set of transit certification materials within three working days. If required vouchers cannot be provided,it will be directly identified as false origin declaration. The enterprise will not only need to pay full tax arrears and corresponding fines, but also be recorded in the enterprise's cross-border credit file, which affects the customs clearance efficiency of all import and export businesses in the next three years. Long-term goods detention will also incur high demurrage and detention charges. If the processing is not completed within three months, goods will be auctioned by the customs according to law, which is almost an irreversible loss for small and medium-sized enterprises.
The core of risk isolation is pre-verification of document logic. Before operating entrepot trade business, you shall require the transit party to provide the warehousing certificate with a unique warehouse receipt number and goods ownership transfer confirmation records, check that the goods description, quantity and container seal number on all documents are completely consistent, and do not take any chances.
The core of practical loss stopping is to reserve compliance buffer space. Do not directly affiliate goods ownership under the name of overseas shell transit companies. Connect with local compliant transit operation entities in Shanghai in advance, and sign a tripartite goods ownership agreement to clarify rights and responsibilities. If you encounter customs verification,do not blindly supplement documents by yourself, give priority to connecting with professional institutions to apply for classification negotiation,so as to control the risk impact to the minimum scope.

When entrepot trade goods are declared at Shanghai Port, risks are prone to occur in the customs valuation link. Most enterprises mistakenly declare entrepot goods as transit goods, leading to failure of logical comparison of customs declaration forms, and the system automatically triggers an early warning.
If the enterprise has completed wrong declaration, do not delete the form directly, as deleting the form will leave a system record and increase the probability of subsequent verification. You shall first supplement the goods ownership transfer agreement and transit contract of the entrepot trade, apply to the customs for form modification, and explain the actual trade attribute.
If there is a dispute over the determination of dutiable value in the valuation link, you need to provide transit payment vouchers and transit warehouse charging documents in advance to prove that the goods have not entered domestic circulation and there is no domestic value-added part, cooperate with the customs to complete price negotiation, so as to avoid additional taxes caused by raised dutiable value. At the same time, keep all documents on file to ensure the logical closed loop of the entire declaration process, and avoid abnormal situations such as pending accounts and order pushing.

The logistics risks of Shanghai entrepot trade are mainly concentrated in goods ownership control and transit warehousing links. Many enterprises choose non-filed transit warehouses with low prices, which are prone to situations such as delivery without bill of lading and loss of goods ownership.
Meanwhile, they fail to confirm free storage and free detention periods in advance, which is easy to incur high detention and storage charges. When operating entrepot trade business, you need to confirm the qualification of the transit warehouse in advance, require the transit warehouse to issue a warehouse receipt pledge certificate, and the bill of lading shall be made in a blank endorsed and transferable format, to clarify the time node of goods ownership transfer.
If you encounter abnormal customs clearance at the destination port and need to change the port, apply to the shipping company at Shanghai Port for document modification in advance, and inform the customs of the change of entrepot route simultaneously to avoid mis-delivery of goods. Meanwhile, negotiate with the shipping company for detention charge reduction in advance, and strive for an extra 7-10 days of free detention period, so as to reduce unnecessary logistics cost expenditure.

The tax risks of Shanghai entrepot trade mainly come from related party transaction pricing and non-resident enterprise withholding tax. Many entrepot trades complete goods ownership transfer through overseas affiliated companies. If the pricing is unreasonable, it is easy to be identified as profit shifting by the tax authority, triggering BEPS-related investigations.
If the goods do not enter domestic circulation during transit and are only transited via Shanghai Port, you can apply for entrepot trade tax exemption, complete cross-border related party transaction filing in advance, and set a reasonable price difference range to avoid excessive price difference triggering tax early warning. For entrepot trade businesses that need to complete fund settlement in Shanghai, you can apply for VAT deferment in advance, so there is no need to prepay value-added tax in the import link, which reduces capital occupation. At the same time, do a good job in tax risk isolation, separate the tax accounting of entrepot trade business from that of domestic business, so as to avoid affecting the compliance of original businesses.

Compliance risks are prone to occur in the payment and collection link of entrepot trade. At present, the review requirement of Shanghai foreign exchange regulatory authorities for entrepot trade payment and collection is "three-flow consistency", that is, the logic of goods flow, capital flow and document flow matches.
Many enterprises trigger the bank's compliance early warning due to excessive time difference between the payment and collection time and the goods ownership transfer time, resulting in frozen account settlement. When operating entrepot trade payment and collection, if RMB settlement is adopted, you can use the CIPS, and clearly mark the purpose of entrepot trade in the message information, so as to reduce the probability of bank verification.
If foreign exchange settlement is used, keep the full set of transit contract, bill of lading and warehouse receipt information in advance, and communicate with the bank about the trade attribute in advance, so as to avoid abnormal pending accounts in the process of foreign exchange settlement and account balancing. At the same time, make a good plan for capital flow of offshore accounts, and avoid multiple large integer inflows and outflows in a short period of time, so as to avoid triggering anti-money laundering early warning.

The legal risks of Shanghai entrepot trade are mainly concentrated in goods ownership transfer clauses and L/C soft clauses. Many buyers will require the provision of third-party transit warehouse receipt certificates in the L/C.
If the issuing qualification of the warehouse receipt is not specified in the clause, it is easy to have document discrepancy and be refused payment by the bank. When signing the entrepot trade contract, you need to clarify the node of goods ownership transfer and division of responsibilities, agree on the loss sharing rules in case of transit country policy changes or customs goods detention, and add a force majeure clause as a guarantee, so as to avoid full loss caused by sudden risks.
Require the issuing bank to modify vague soft clauses in the L/C, clarify the requirements for the issuing subject of various documents. At the same time, you can require the buyer to issue a bank guarantee to confirm payment terms, so as to avoid the situation that the buyer refuses to pay after goods are shipped, and protect your own goods ownership and capital security.

When Shanghai entrepot goods encounter on-site customs inspection, most risks come from inconsistent seal information or inconsistency between goods and declaration description. The focus of customs entrepot inspection is to check whether the container seal number, seal authenticity, goods quantity match the declaration information. Preparations in advance can reduce the probability of abnormalities. Check the container seal number and seal ID on the bill of lading in advance to ensure that they are consistent with the seal replacement record during transit.
If the seal has been replaced, prepare the seal replacement certificate in advance and submit it to the on-site customs officer for verification. Mark the goods well when they are stored, so that the corresponding goods can be found quickly during unpacking inspection, so as to avoid additional unpacking costs caused by too long unpacking time. If the customs requires inspection and appraisal, prepare materials such as MSDS and product specifications of the goods in advance, cooperate with the customs to complete the appraisal, speed up the inspection and release, and reduce goods detention time.
