I’m a foreign trade merchant specializing in exporting light industrial daily necessities. Recently, to avoid anti-dumping duties imposed by the destination country on Chinese products, I plan to switch to third-country entrepot trade. This is my first operation and I have no prior experience in this field.
I’ve searched many public materials but still can’t figure out the key points and always worry about making mistakes. I’m worried that the certificate of origin will be deemed non-compliant by the destination country’s customs, cargo title transfer issues may arise, payments and remittances will be subject to regulatory inspections, or even the entire shipment will be detained during transit.
I’ve heard from colleagues that some people operated non-compliantly, leading to detention of the entire shipment due to certificate of origin issues and losses of hundreds of thousands of dollars. Now I want to systematically figure out what needs attention in each link of entrepot trade and what compliance red lines cannot be crossed.

The most common mistake in the industry is to forge factory invoices and packing lists of transit countries to meet the certificate of origin requirements,or even issue a certificate of origin without any real transaction records in the transit country. Many merchants think it’s just a formality and customs won’t find out,but this fluke mentality is the biggest source of risk.
Once the destination country’s customs verify that the certificate of origin does not match the actual goods, the chain reaction will directly lead to detention of the entire shipment, heavy fines,or even forced return. This will not only waste the full freight and cargo value, but also the enterprise will be listed on the destination country’s customs list of untrustworthy entities, all subsequent exports of the same entity will be subject to key inspection, and domestic payments and remittances will also be subject to retrospective inspection by regulatory authorities, affecting other normal foreign trade businesses.
The core means of physical risk isolation are, first, select reliable service providers in transit countries with genuine transit qualifications, ensuring that the transit country has complete logistics, warehousing and processing records, and all documents are traceable. Second, conduct pre-document review in advance, checking the qualification of the issuing body of the certificate of origin and the consistency of goods information with the actual goods.
The exclusive stop-loss strategy is to agree on the service provider’s joint and several compliance liabilities in the contract in advance, and clarify the loss compensation clauses once the documents provided by the service provider have problems. At the same time, reserve 10%-15% of the service balance,to be settled after the goods are successfully cleared to the buyer’s warehouse,to minimize their own losses. Since 2026,domestic document filing requirements for entrepot trade have become stricter, and all transaction documents need to be retained for no less than 5 years to avoid problems in subsequent inspections.

Customs’ core focus in price verification for entrepot trade is the rationality of transaction logic. If the deviation between the entrepot price and the original origin export price exceeds a reasonable range, a price verification investigation will be directly triggered. In operation, complete transaction chain documents need to be retained, including sales contracts of upstream sellers, purchase and resale contracts of entrepot traders, payment slips, etc. The goods description, quantity, and specifications on all documents must be completely consistent.
If it involves the issuance of a certificate of origin, it is necessary to confirm the filing qualification of the issuing body of the transit country with the destination country’s customs. Some countries require the certificate of origin to be consularized, so the certification process should be completed in advance to avoid customs clearance obstruction due to invalid documents. If a price verification dispute has arisen, it is necessary to organize complete transaction cost materials as soon as possible, including details of warehousing, logistics and operation costs in the transit country, to prove the rationality of the entrepot price, and cooperate with customs to complete the verification.

The core of logistics in entrepot trade is cargo title control. When in transit, priority should be given to regular shipping companies that can endorse and transfer bills of lading, avoiding unqualified small freight forwarders, so as to avoid being unable to track cargo title after goods being rejected or port diverted.
If the transit port needs to change containers, the service provider must be required to provide photos of the entire container replacement process and seal replacement records, ensuring that the goods have not been replaced. The responsibility division of container detention fees and port detention fees needs to be agreed in advance in the contract.
If the goods are detained in the transit port due to the buyer or service provider, the corresponding fees shall be borne by the responsible party. Apply for reasonable free demurrage and free detention periods with the shipping company in advance to avoid additional high costs. When diverting ports, all transaction parties should be notified in advance, and the bill of lading information should be updated to ensure that cargo title transfer complies with contract requirements.

The core of tax planning in entrepot trade is to reasonably reduce the overall tax burden by leveraging tax differences between different countries. Since 2026, most EU countries support the VAT deferral policy.
For entrepot trade transiting through EU countries, VAT deferral can be applied for to avoid advance payment of large taxes and occupation of cash flow. If entrepot trade involves cross-border related transactions, it needs to comply with relevant BEPS requirements.
The transfer pricing must comply with the arm’s length principle, so as not to be identified as tax base erosion by tax authorities, adjust the taxable income and pay additional taxes and late fees. For profits from entrepot trade of non-resident enterprises, tax obligations need to be judged according to double taxation agreements, and tax filing and recordation should be completed in advance to avoid double taxation.

Payments and remittances of entrepot trade need to comply with domestic regulatory requirements. Since 2026, Cross-Border Interbank Payment System (CIPS) has provided very comprehensive support for entrepot trade.
Priority should be given to RMB settlement to avoid exchange rate fluctuation risks. The transaction remarks for payments and remittances must accurately indicate “entrepot trade receipts and payments”, and all payment and remittance information must match the information of contracts, invoices and bills of lading, so as to avoid payment and remittance being intercepted by banks due to information mismatch.
Complete transaction records need to be retained for capital flow in offshore accounts. Regulatory authorities will trace the entire transaction chain when verifying the capital flow of entrepot trade, ensuring that the capital flow is consistent with the cargo flow and document flow, so as not to be identified as abnormal transactions.

The cargo title transfer node must be clearly defined in the entrepot trade contract, generally after container replacement at the transit port and before shipment, to avoid cargo title disputes. Letter of credit terms need to be carefully reviewed to avoid soft terms, such as requiring the destination country’s customer to issue a receipt certificate as negotiation documents, which will directly lead to negotiation being controlled by the buyer.
If a bank guarantee is required, the effective conditions and compensation conditions of the guarantee must be clearly defined to avoid malicious claims from the other party. For intellectual property, if the goods have brands, intellectual property recordation should be completed in advance in the transit country and the destination country to avoid being detained by customs as infringing goods.

When the transit port customs inspects the entrepot goods, first verify the authenticity of the seals. Seals of regular shipping companies have unique numbers, which can be queried and verified through the shipping company’s system.
If the seal is damaged or the number does not match, photos should be taken immediately to retain evidence and hold the logistics service provider responsible. During container inspection, all documents should be organized in advance and submitted to the inspection officer to ensure that the goods’ packaging and marks are consistent with the document information.
If the goods are dangerous goods, the correct MSDS report and corresponding UN number should be prepared in advance to avoid inspection detention due to document inconsistency. The progress of the inspection and identification process should be tracked, and supplementary materials should be provided in a timely manner to shorten the inspection time and reduce port detention fees.

Entrepot trade does not belong to the category of export tax rebates and does not require export tax rebate declaration, but document recordation needs to be completed. All transaction documents need to be retained for more than 5 years.
If entrepot trade involves purchasing goods from domestic sources for export to the transit country, it is necessary to ensure the consistency of the four streams: cargo flow, capital flow, invoice flow, and contract flow, so as not to be identified as capital backflow by tax authorities and affect the tax rebate of other normal export businesses. If it involves exchange verification, the entrepot trade exchange receipt declaration should be completed in the monitoring system in time to avoid abnormal monitoring indicators triggering tax correspondence inspections.

The supply chain structure of entrepot trade needs to be comprehensively designed according to anti-dumping requirements, logistics costs, and tariff rates. When selecting a transit country, not only the requirements of rules of origin should be considered, but also the logistics efficiency and operation costs of the transit port, and the comprehensive costs of different transit schemes should be compared.
For the selection of trade terms, FOB transit port is generally selected for the transit link, with the buyer responsible for subsequent transportation to reduce their own logistics risks. In terms of inventory linkage, a small amount of safety inventory can be reserved in the transit country to deal with the buyer’s sudden orders, shorten the delivery cycle, and avoid occupying too much capital and warehousing costs.
