I am a foreign trade salesperson engaged in household goods export in the Yangtze River Delta. Our products exported to the United States are subject to high anti-dumping duties, and peers all recommend doing entrepot trade via third-country transit to cut costs. I have no prior experience in operating entrepot trade, so I consulted two small agencies.
One said that only repackaging and issuing the bill of lading are needed, while the other said a third-party certificate of origin is required, with the price difference nearly doubled. Besides, a friend of mine who did entrepot trade had his entire container seized by US Customs some time ago, which also affected his subsequent export qualification.
Now I want to reduce tariff costs, but also fear falling into compliance pitfalls. I would like to ask people with practical entrepot trade operation experience how to operate compliantly in this case to avoid risks such as customs seizure and penalties?

The most common misunderstanding in the current entrepot trade industry is only repackaging without completing full endorsement and document matching. To cut costs, many small agencies only forge third-party certificates of origin for clients, and do not sort out the complete cargo title transfer chain, nor match the corresponding logistics and capital flow traces, believing that no problem will occur as long as transit and shipment can be completed.
The chain negative reaction of this operation is very direct: when the customs of the destination country verifies the flow of cargo title,it will find that the documents do not match the actual cargo flow, and directly seize the cargo. In serious cases,it will implicate the export qualification of the original place of shipment, even impose high fines, and incur overdue port detention and container detention fees, with the extra loss far exceeding the originally saved tariff cost.
The core measure for physical risk isolation is complete third-country cargo title transfer chain. Goods shall actually enter the port of the transit country, complete customs clearance before shipment, and complete the matching of the whole process including bill of lading endorsement, certificate of origin issuance and capital flow transfer, without skipping any link.
The exclusive loss stopping tip is to reserve 10% of the cargo value as security deposit in advance, verify the qualification of the transit country agency before operation, and purchase special freight insurance for entrepot trade in advance. In case of abnormal verification, initiate cargo title transfer to stop losses immediately,so as to avoid implicating the export qualification of domestic main business and control losses to the minimum scope.

For the price verification link of entrepot trade, complete cargo title transfer agreement, storage certificate of the transit place and two-way bills of lading shall be provided. When verifying the price, the customs will pay attention to the rationality of the resale price in the transit place, and the price shall not deviate too much from the market quotation of the transit place.
In case of price verification dispute, purchase invoice and payment receipt of the transit place shall be provided to prove the authenticity of the price. In case of account hanging and order postponement, the certification materials conforming to the "three flows consistency" shall be supplemented in time to avoid being identified as false entrepot trade.
At present, the document requirements for entrepot trade are unified across all ports in China. During operation, it is necessary to ensure that the title transfer of all documents fully matches the cargo title path, and no cross-title certification is allowed, otherwise it will directly trigger order return and verification.

When selecting a transit port for entrepot trade, priority should be given to free trade ports or free transit ports. The free storage period of such ports can generally be applied for 14 to 21 days, which is sufficient to complete the operations of repackaging and bill exchange, and can also reduce the expenditure of container detention fee and port detention fee. In the link of cargo title transfer, the shipping company shall be required to issue a bill of lading with blank endorsement, and then the transit country agency shall complete the named endorsement to confirm the transfer of cargo title.
In case of space overbooking and container dumping at the transit port, reserve 3 days of buffer space in advance, and do not adopt direct call transit, so as to avoid the delay of the whole journey caused by the failure of normal transit of goods. When selecting a transit scheme, priority should be given to agencies with local physical storage to ensure that the goods are actually warehoused and meet the verification requirements.

The core of tax planning for entrepot trade is to utilize the VAT exemption policy of the transit country. When goods actually enter the transit country and then are shipped out, most free trade ports exempt VAT on entrepot goods, and arbitrage can also be carried out by taking advantage of tax differences and exchange differences between different countries.
During operation, attention shall be paid to the rationality of related party transaction pricing to avoid triggering tax base erosion verification. Non-resident enterprises shall confirm the income tax payment place for entrepot trade income in advance to avoid double taxation. For entrepot trade settled in RMB, you can apply for the preferential cross-border RMB settlement channel in advance to reduce exchange costs.

In the payment and receipt link of entrepot trade, funds shall be arranged according to the actual cargo title transfer path. The buyer shall be required to pay to the transit country account, and then the transit country account shall pay to the domestic account, and complete SWIFT messages shall be retained.
The buyer shall not pay directly to the domestic account, otherwise it will be identified as inconsistent three flows. In 2026, the CIPS RMB Cross-border Payment System has supported direct clearing of entrepot trade.
When operating RMB entrepot trade, you can use the CIPS channel to reduce the probability of message verification. For offshore account management, it is necessary to ensure that the transit country account has actual traces of capital inflow and outflow, and no fast-in and fast-out balance settlement is allowed, so as to avoid being listed as an abnormal account and frozen by the bank.

For entrepot trade, a tripartite cargo title transfer agreement shall be signed to clarify the cargo title responsibilities of all parties. The issuance of the certificate of origin shall meet the certification requirements of the destination country, so as to avoid soft clauses of the letter of credit. For example, if the certificate of origin is required to be authenticated by the embassy of the destination country in the transit country, the authentication shall be completed in advance, otherwise discrepancy and payment refusal will occur.
In case of force majeure during cargo transit, such as port strike and customs seizure, the division of responsibilities shall be stipulated in the contract in advance, and the transit agency shall bear the corresponding port detention losses. In addition, the transit agency shall be required to issue a bank guarantee to ensure the authenticity and validity of the documents, so as to avoid losses caused by false documents.

When the entrepot goods enter the on-site inspection in the transit country, it shall be ensured that the shipping mark of the goods has been replaced with that of the exporter of the transit country, the original marks of the country of origin shall not be retained on the package, and the seal shall be re-affixed by the port of the transit country to ensure that the seal number is completely consistent with that on the second leg bill of lading.
In case of unpacking inspection, arrange the agency to cooperate on site in advance, provide cargo title certificate and storage records. If inspection and appraisal are required, prepare the product test report issued by the transit country in advance to ensure that the report information is completely consistent with the document information, so as to avoid cargo seizure caused by information discrepancy.

Domestic foreign exchange receipt of entrepot trade shall meet the requirements of foreign exchange verification. If the goods are directly exported from China to the transit country and then transferred to the destination country, and meet the conditions for export tax refund, it is necessary to ensure the consistency of four flows, that is, the cargo flow, capital flow, invoice flow and contract flow are completely matched.
In case of tax letter investigation, it is necessary to provide the receipt certificate of the transit country, the second leg bill of lading and the payment receipt of the transit country, and complete the document filing in advance to avoid being identified as tax fraud due to capital return. When declaring export tax refund for entrepot trade across months, complete the pre-declaration verification in advance, and make formal declaration after checking that the foreign exchange receipt information is correct.

The structural design of entrepot trade shall be comprehensively calculated in combination with the tariff policy of the destination country and the logistics cost of the transit country. Select the transit country with low tariff and low logistics cost, and compare the cost differences under different trade terms. Generally, FOB is adopted for the domestic section of entrepot trade, and FOB is also adopted for shipment from the transit country.
The buyer shall bear the sea freight cost to reduce its own risks. In terms of inventory linkage, a small amount of standing goods can be reserved in the transit country, which can be shipped directly in case of urgent orders to shorten the delivery cycle. In cost actuarial calculation, the cost of certificate of origin, repackaging cost, storage fee and container detention fee shall all be included in the total cost to avoid overspending of hidden costs.
