I am the person in charge of an enterprise engaged in cross-border transit trade. Our company mainly purchases light industrial products from Southeast Asia, transships them via Singapore, and then sells them to Europe. We have only done direct import and export before, and this is our first time dealing with transit trade, so we are completely unclear about the tax-related procedures.

Last week, we had a batch of goods transshipped in Singapore, and now we need to file tax declarations. We don't know which links require tax payment, such as taxes at the transshipment port, whether foreign exchange receipts and payments are linked to tax payment, and if the intermediary is an offshore company, will there be additional tax risks? In addition, we heard that tax rules differ for different transit modes.

Is there any difference in tax payment between our transshipment and resale mode and the direct resale mode? Currently, we only have the bill of lading and purchase/sales contracts. We don't know what other documents are needed for declaration, and we are afraid of making mistakes and being subject to tax inspection. Can you explain in detail the full tax process and precautions for transit trade?

First, clarify the core tax rules for China's transit trade in 2026: For transit trade goods that do not enter China's customs territory, there is no need to pay domestic value-added tax (VAT) or consumption tax,but the income obtained by domestic enterprises from transit trade must be included in the taxable income for corporate income tax declaration in the current year. It should be noted that if transit trade involves domestic related-party transactions, pricing must follow the arm's length principle to avoid tax authorities adjusting the taxable amount.

Second, the relationship between foreign exchange receipts/payments and tax declaration: The 2026 cross-border foreign exchange management policy requires that foreign exchange receipts and payments for transit trade must provide real purchase and sales contracts and a full set of transportation documents. Tax authorities will compare foreign exchange revenue and expenditure data with tax declaration data. If the amount of foreign exchange receipts/payments does not match the contract amount,or if valid transaction certificates cannot be provided,it may trigger an abnormal tax inspection and affect the tax credit rating.

The tax differences between different transit trade modes are mainly reflected in income recognition: If operated through an overseas offshore intermediary, domestic enterprises only provide agency services, and income is declared and taxed based on agency service fees,if domestic enterprises directly sign purchase and sales contracts with overseas buyers and sellers, income must be confirmed based on the purchase and sales price difference and taxed. For transit trade income under the domestic intermediary mode, the full purchase and sales price difference must be included in the taxable income, not just the service fee portion.

The core documents required for tax declaration include: purchase and sales contracts of both parties, full set of ocean bills of lading (must show transshipment port information),transshipment port storage or transshipment certificates, foreign exchange receipt/payment vouchers, and the enterprise's internal transit trade business ledger. All documents must be retained for at least 10 years for future reference,in line with the 2026 new regulations on tax document management.

Finally, two key risk points need to be noted: First, avoid the goods staying outside the domestic customs special supervision area for more than 30 days, otherwise they may be regarded as entering the country and require supplementary payment of domestic turnover tax, second,if the transshipment port involves a country with a tax treaty, the tax treaty can be reasonably used to reduce indirect tax burdens, but tax structure planning must be done in advance.

In the customs declaration link of transit trade, focus should be placed on the consistency between the cargo ownership certificate and the transshipment documents. If a domestic enterprise acts as the subject of transit trade, it must provide the transaction contract between the overseas seller and buyer and a copy of the bill of lading to the customs to prove that the goods have not entered China's customs territory. If storage or loading/unloading services at the transshipment port are involved, a transshipment certificate issued by the transshipment port must be provided to avoid the customs regarding it as domestic storage behavior.

If any discrepancy between the customs declaration form and the actual transaction is found, an application for deletion and re-declaration must be made in time to avoid late fees or credit deductions. In addition, after the 2026 national customs clearance integration reform, customs declaration for transit trade can be handled at the customs where the enterprise is registered, without the need to declare at the transshipment port customs, which can significantly reduce customs clearance costs. If there are defects in the endorsement of the bill of lading for transit trade goods, it may lead to the customs questioning the ownership of the cargo, so compliance review of the bill of lading endorsement must be done in advance.

The logistics path of transit trade directly affects the compliance of tax declaration. If choosing transshipment ports such as Singapore or Dubai, it is necessary to ensure that the stay time of goods at the transshipment port complies with local customs regulations to avoid being regarded as local trade behavior due to excessive detention time. In addition, the consignee on the bill of lading must be consistent with the buyer in the sales contract.

If the consignee needs to be changed midway, a cargo ownership transfer certificate must be issued in advance to avoid the tax authorities questioning the authenticity of the transaction. In 2026, the transshipment efficiency in the international logistics market has generally improved. Direct transit routes can be chosen to reduce container detention fees and overdue free storage period fees, while ensuring the integrity of transportation documents. If transit trade of special goods is involved, packaging and transportation plans must be prepared in advance to avoid affecting the progress of tax declaration due to cargo inspection.

Tax planning for transit trade must be combined with the latest requirements of BEPS 2.0 in 2026 to avoid base erosion and profit shifting. If an offshore company is used as an intermediary, it is necessary to ensure that the company's business activities meet the requirements of substantial economic activities to avoid being regarded as a shell company, which would lead to the tax authorities not recognizing its cost deductions. In addition, tax treaties between China and the country where the transshipment port is located can be used to reduce the indirect tax burden of transit trade.

For example, in the tax treaty signed between China and Singapore, there is a preferential tax rate for service income from transit trade, but the beneficial owner requirement must be met. It should be noted that in 2026, tax authorities have increased the intensity of inspections on related-party transactions, so pricing documents for related-party transactions must be prepared in advance to prove that the transaction price complies with the arm's length principle.

Foreign exchange receipts and payments for transit trade must strictly comply with the management requirements of CIPS and SWIFT in 2026. Domestic enterprises engaged in transit trade must complete the declaration of foreign exchange receipts and payments within 15 working days after the transaction occurs, and provide complete transaction documents. If offshore accounts are used for foreign exchange receipts and payments, the compliance of the accounts must be ensured to avoid being listed as abnormal accounts.

In addition, the amount of foreign exchange receipts and payments for transit trade must be consistent with the amount in the purchase and sales contract. If there is a difference, reasonable explanation materials must be provided, such as commissions, handling fees, etc. If any discrepancy between foreign exchange receipts/payments and tax declaration data is found, the situation must be explained to the foreign exchange management department and tax authorities in time to avoid being listed as a violation.

The contract terms for transit trade must clearly specify the time of cargo ownership transfer, transportation responsibilities, and division of tax obligations. It is necessary to clearly state in the purchase and sales contracts that the goods do not enter China's customs territory to avoid being regarded as domestic trade. In addition, the contract must stipulate which party provides the transshipment certificate of the transshipment port to avoid document disputes.

If letter of credit settlement is involved, attention must be paid to whether the letter of credit terms require the provision of relevant documents for transit trade to avoid soft clauses leading to inability to settle foreign exchange. The legal environment of international trade changes rapidly in 2026, so contract templates must be updated in time to ensure compliance with the latest regulatory requirements. At the same time, third-party legal institutions can be used to review contract terms to reduce legal risks.

Although transit trade does not involve export tax rebates, document filing management must be done well to avoid tax inspection risks. In 2026, tax authorities have increased the intensity of document filing inspections for transit trade. Materials such as purchase contracts, sales contracts, bills of lading, transshipment certificates, and foreign exchange receipt/payment vouchers must be bound into volumes by year and stored at the enterprise's registered place or place of business.

If the tax authority initiates a letter inquiry, complete response materials must be provided within 10 working days, including qualification certificates of both transaction parties, capital flow vouchers, etc. In addition, a transit trade business ledger must be established to record the cargo ownership, transportation, and foreign exchange receipt/payment status of each transaction to ensure the consistency of the four flows: cargo ownership, contract, capital, and documents. If incomplete document filing is found, it must be supplemented in time to avoid being fined or affecting the tax credit rating.
