I am the foreign business director who mainly engages in export of new energy photovoltaic modules. I have been running direct shipment business from Shanghai Port all the time, and plan to expand the business line of Southeast Asia-based entrepot trade to the EU this year, to avoid anti-dumping and countervailing duties and expand profit margin.
Last week I heard from peers that one enterprise suffered a loss of more than millions because its transit port agent released goods without authorization due to lax goods title control in entrepot business, and another enterprise had its foreign exchange settlement quota locked by the foreign exchange regulatory authority due to inconsistent document logic. I have no idea about the full-link risks of entrepot trade at present, and want to know the implementable risk control measures covering the whole process from preliminary negotiation to final foreign exchange settlement, which can help me avoid these common pitfalls and reduce business risks as much as possible.

Carry out cross verification of pre-operational documents first. Ensure that the information on the certificate of origin, packing list and bill of lading provided by the transit country supplier and logistics agent fully matches the name, specification and quantity of goods specified in the upstream and downstream purchase and sales contracts. Keep both electronic and physical versions of all documents for no less than 5 years.
Implement dual isolation of goods title and capital at core nodes. In terms of goods title control, the consignee of the transit port bill of lading shall be designated as an overseas entity under your company's full control. The transit warehouse must connect to a third-party supervision institution directly authorized by your company. Each goods title transfer can only be executed with a written instruction affixed with your company's electronic seal, and unauthorized operation by the agent is strictly prohibited. In terms of capital control, split the payment and collection paths separately, physically isolate the foreign exchange collection account from accounts for other businesses, and process foreign exchange settlement for each collection only after it corresponds to a complete trade document chain.
Develop contingency plans for abnormal situations in advance. For common problems such as transit port inspection, customs valuation query, delayed payment and collection, reserve emergency handling channels in advance by cooperating with local service institutions in the transit country. Submit complete transaction chain pricing proof within 3 working days when customs valuation query is raised,so as to avoid being identified as fake trade.
Finally, complete full-link compliance verification. Within 30 days after the completion of each entrepot trade business, finish the four-flow matching verification covering documents, capital flow, goods flow and bills. Trace back and make adjustments immediately once any deviation is found,to eliminate hidden compliance risks. Following this process can cover more than 90% of common risks in entrepot trade basically.

Focus on the consistency of document logic chain in the customs declaration link of entrepot trade. Verify the authenticity of the certificate of origin issued by the transit country in advance through the official system, to avoid goods detention caused by fake documents. The declared goods value in customs declaration shall conform to the fair pricing range of upstream and downstream transactions, and shall not be obviously lower than the average market price, otherwise customs valuation alert will be easily triggered.
In case of valuation query, provide complete pricing supporting documents including upstream purchase invoice, transit port storage fee proof and logistics transport documents immediately. Do not adjust the declared value arbitrarily, otherwise your enterprise will be included in the risk list and all subsequent entrepot businesses will be subject to focused inspection.
Complete localized adaptation in advance for different declaration rules of various ports. For example, some transit ports in Southeast Asia require goods traceability code, so finish code assignment at the production end in advance to avoid delaying customs clearance by adding the code after goods arrival.

Focus on the control of goods title in the logistics link of entrepot trade. Prioritize direct transit routes, reduce the number of intermediate calling ports, and lower the risk of unauthorized goods title transfer. Apply for a free storage period of no less than 14 days at the transit port in advance, to avoid high demurrage generated by inspection delay.
The notify party of the bill of lading shall be designated as your company's overseas docking entity, instead of filling in downstream customer information directly, to avoid direct goods pick-up by customers. Select a formal qualified third-party supervised warehouse for transit storage, ask for monthly inventory count reports to grasp the goods dynamics in real time.
If container unstuffing and re-stuffing is needed, apply for on-site loading supervision in advance, take complete photos of unstuffing, re-stuffing and seal affixation, and keep the seal number record to avoid goods being swapped. In case of container rolling off or space shortage, reserve a 7-day buffer period in advance to avoid breach compensation caused by delayed downstream delivery.

Focus on the compliance of related party transaction pricing in the tax-related link of entrepot trade. The pricing of upstream and downstream transactions shall follow the arm's length principle, and shall not show obvious traces of profit transfer, otherwise BEPS compliance alert will be triggered. The entity registered in the transit country shall have substantive operations instead of being a shell company. It shall be equipped with local staff and office premises, and keep complete operation records, to avoid being identified as a conduit company and subject to additional withholding tax.
If there is a VAT deferral policy in the transit country, apply for the qualification in advance to reduce capital occupation cost. Keep all tax-related documents intact, including purchase invoices, sales invoices, logistics fee invoices, storage fee invoices, etc. All invoices shall meet the tax regulatory requirements of the host country, to avoid penalties for failure to provide supporting documents during subsequent tax audit. Conduct a tax health check for all entrepot businesses once a year, and adjust non-compliant pricing structure in a timely manner.

Focus on the matching degree between capital flow and goods flow in the payment and collection link of entrepot trade. The amount and time of each foreign exchange collection shall fully correspond to the payment node and amount specified in the sales contract, and the outward payment shall conform to the provisions in the purchase contract, to avoid capital mismatch. Fill in the corresponding contract number and bill of lading number of the transaction accurately in the SWIFT message remark, do not leave it blank or fill in irrelevant content, otherwise the bank anti-money laundering alert will be triggered.
If CIPS settlement is adopted, file the business model of entrepot trade with the bank in advance, and provide complete trade background proof to improve settlement efficiency. Do not mix the funds in the offshore account with funds from other irrelevant businesses, and keep the corresponding document record for each fund inflow and outflow to avoid account freezing. Take the initiative to provide the complete trade document chain to the bank for foreign exchange settlement, and do not settle foreign exchange through third-party channels, to avoid being identified as fake trade.

Focus on setting risk backstop clauses in the contract link of entrepot trade. The contract signed with the transit logistics agent shall clarify the ownership of goods title, and specify the compensation liability for unauthorized goods release, with the compensation amount covering more than 120% of the goods value, to ensure full recovery after loss occurs. Review soft clauses in the letter of credit in advance, do not accept the clause that payment can only be made after the downstream customer issues the inspection certificate, to avoid malicious dishonor by customers.
The force majeure clause shall clearly cover circumstances such as transit port strike, epidemic situation and customs policy change, so that exemption from liability can be obtained when abnormal situations occur. Clarify intellectual property ownership in the contracts signed with upstream and downstream customers, to avoid goods detention by customs due to intellectual property infringement. If a letter of guarantee is required, specify the effective conditions and expiration date of the letter of guarantee, and do not issue an open-ended backstop letter of guarantee, to avoid unnecessary joint and several liability.

If export tax refund is involved in entrepot trade, focus on the four-flow consistency, all information of documents, capital flow, goods flow and bills shall be fully matched without any deviation. Complete foreign exchange collection within 90 days after export customs declaration, to avoid affecting tax refund declaration. In case of tax verification letter, provide the complete trade document chain including purchase contract, sales contract, bill of lading, customs declaration form, foreign exchange collection voucher and logistics fee voucher immediately, do not hide any information, otherwise the tax refund qualification will be suspended.
Keep the document filing complete, including transport documents, storage documents, acceptance documents, etc., with a retention period of no less than 10 years. Do not participate in any operation involving capital repatriation, otherwise you will be identified as tax fraud and face fines or even criminal liabilities. Conduct tax refund compliance self-inspection once a year, and revise non-compliant documents in a timely manner.
