I am a domestic manufacturing enterprise that has just obtained import and export operation rights. Recently, we received an order from a Southeast Asian client requiring us to directly transport raw materials purchased from Europe to their factory in Southeast Asia, without the need for domestic customs clearance and warehousing.

We have never operated entrepot trade before. Currently, we are stuck on title control, foreign exchange settlement, and tax compliance. We are unclear whether we need to declare to domestic customs, how to pay taxes, whether it involves violations, and we worry that the logistics partner might release the title incorrectly, resulting in losing both money and goods.

We also fear subsequent trade disputes. We want to know exactly what steps to follow for the entire entrepot trade operation and what issues to pay attention to in order to implement it compliantly without falling into pitfalls.

Entrepot trade is divided into two common modes: transit trade and bonded warehouse entrepot. First, preliminary document review must be conducted. The first step is to confirm the qualifications of both the buyer and seller, and verify that the cargo name, specifications, and quantity in the purchase contract and sales contract are completely consistent. Focus on verifying payment terms and title transfer clauses, and screen in advance for hidden risk points in the contract.

The core nodes are connected in four steps: First is the title handover node, requiring the carrier to issue an order bill of lading, and complete the title transfer through endorsement of the bill of lading. Even if domestic customs clearance is not required,a transit declaration must be made to the domestic maritime department and customs in advance. Second is the foreign exchange settlement node, directory registration must be made with the State Administration of Foreign Exchange (SAFE) in advance, and receipt and payment of foreign exchange must be declared based on the actual transaction background, keeping the full set of transaction documents for future reference. Third is the tax declaration node, declare value-added tax (VAT) and income tax according to regulations, import VAT is not required for goods not entering domestic circulation.

Contingency plans must be prepared in advance: If either the buyer or seller defaults, immediately notify the carrier to suspend cargo release and control the title by amending the bill of lading. If encountering customs verification, promptly provide the full set of contracts, bills of lading, and foreign exchange vouchers to cooperate with the verification, ensuring the transaction logic is self-consistent.

The final compliant implementation requires achieving the unity of three flows, meaning the logic of the cargo flow, capital flow, and contract flow must be consistent. All transaction documents must be retained for at least 5 years for reference. Enterprises should regularly self-inspect the compliance of entrepot trade transactions to avoid non-compliant foreign exchange settlements or incorrect tax declarations. For entrepot goods that need to be temporarily stored in domestic bonded warehouses, entry and exit registration must be handled according to bonded supervision requirements. Goods must not be withdrawn and enter the domestic market circulation without authorization, violations will result in fines and credit downgrades. Clarifying responsibilities at each link in advance ensures smooth operation.

Regardless of whether entrepot trade enters a domestic port, declaration must be completed according to customs requirements. Goods under transit trade must declare transit at the entry port customs upon entry and write off upon exit; packaging must not be opened or goods delivered without authorization throughout the process. If price review is involved, prepare the original purchase invoice, purchase and sales contract, and payment voucher in advance to prove the authenticity of the transaction price, avoiding customs determining the price as abnormal and leading to cargo detention.

If it is entrepot goods entering a domestic bonded supervision site, handle entry and exit declarations according to bonded supervision rules. Goods must not be converted to domestic imports without authorization; goods that have not completed declaration procedures cannot leave the warehouse. When customs verify, complete transaction chain data must be provided to ensure the entire transaction background is real and valid, without false trade or tax evasion. The enterprise's import and export credit rating also affects the customs clearance efficiency of the entrepot business, so good credit records need to be maintained.

The core of title control in entrepot trade lies in bill of lading management. Try to require the freight forwarder to issue a named order bill of lading and deliver the title through endorsement. Do not issue a straight bill of lading directly to the downstream buyer to avoid the transfer of title before payment is received.

If temporary storage at a transshipment port is needed, apply for a port change buffer period with the shipping company in advance, reserving sufficient time to handle emergencies such as payment anomalies. Demurrage and detention charges and free storage time at the transshipment port should be confirmed with the shipping company in advance; try to apply for longer free storage time to avoid additional logistics costs.

If encountering rolling or overbooking, prioritize transshipment solutions that retain title control. Do not choose unqualified small freight forwarders for low freight rates to avoid situations of cargo release without the bill of lading.

Entrepot trade that does not enter the domestic circulation link does not require payment of import link VAT and tariffs; only the profit generated from the entrepot trade needs to be declared according to corporate income tax regulations. If utilizing the policy of bonded zones, VAT deferral can be applied for to reasonably delay the tax payment obligation and optimize the enterprise's cash flow.

If there are related-party transactions, pay attention to complying with the arm's length principle and reasonably set the purchase and sales prices for entrepot trade to avoid tax authorities determining it as profit transfer, generating tax risks related to BEPS. Withholding income tax involving non-resident enterprises must be withheld and remitted according to regulations; do not omit declaration obligations. Tax handling methods differ for different entrepot modes, so the corresponding handling method should be selected based on the actual cargo flow.

Entrepot trade foreign exchange settlement must be handled with real and valid transaction documents. Whether using SWIFT or CIPS RMB settlement, the full set of purchase contracts, sales contracts, bills of lading, and invoices must be provided to the bank to prove the authenticity of the transaction background.

The bank will conduct authenticity verification according to the requirements of the State Administration of Foreign Exchange. Foreign exchange settlement can be handled normally without import and export customs declaration forms, as long as the full set of documents is logically consistent.

If using offshore accounts for receipt and payment, declaration to the State Administration of Foreign Exchange is also required according to regulations; do not conceal transaction information to avoid being judged as foreign exchange evasion. Suitable exchange purchase and settlement timing can be selected based on exchange rate trends to optimize exchange rate gains and reduce conversion costs.

The node of title transfer must be clarified in the entrepot trade contract, stipulating that the title endorsement transfer is completed only after full payment is received, to avoid the situation where goods are delivered but payment is not received. Letter of Credit (L/C) terms must be clarified, and soft clauses screened out. For example, if a receipt certificate is required as a negotiation document, agree in advance on the issuer of the receipt certificate to avoid the buyer intentionally failing to issue the certificate, resulting in inability to negotiate.

If a letter of guarantee needs to be issued, clarify the effective conditions and compensation conditions of the guarantee to avoid unnecessary compensation liability. Breach of contract terms must also be clarified, stipulating the division of responsibility and compensation standards when one party breaches the contract, so that rights can be defended according to the contract in case of disputes, reducing litigation costs.

Entrepot trade does not fall within the scope of export tax refunds, so export tax refund declaration is not required. However, the full set of transaction documents, including contracts, bills of lading, and foreign exchange vouchers, must be retained for tax authority verification inquiries. The income and expenditure of entrepot trade must be handled properly in accounting to avoid capital reflux, otherwise it will affect the export tax refund qualification of the enterprise's other export businesses.

The consistency of four flows must be achieved, meaning the logic of the contract flow, cargo flow, capital flow, and invoice flow must be consistent. Transactions that do not correspond are easily judged as abnormal, triggering tax verification and affecting the enterprise's tax credit rating. Regularly organize entrepot trade documents and do a good job in filing management to avoid document loss resulting in inability to cooperate with verification.
